The minutes were then approved as amended. New Business 1. EDC 2013-15 Building Permit Reports for April 2013 No comments 2. EDC 2013-16 Building Inspection Reports for April 2013 No comments 1 3. EDC 2013-17 Property Maintenance Update Ms. Barksdale-Noble noted the 3-part memo in the packet. The topics addressed were property maintenance procedures, comprehensive lot by lot "windshield" survey and how to address the compliance process. The major offenders and the progress being made were also reviewed. The memo also discussed the downtown beautification overlay. This will also need business owners' input in meetings as well as staff input, all of which will be brought forward to the Council at a later time. Alderman Colosimo asked if other towns have these types of ordinances for their downtowns. Ms. Noble said other towns do have them in place as part of their zoning ordinances for enforceability. Ms. Milschewski commented that a similar action had been taken 6 years ago. This was a downtown vision plan dealing with land use, however, this new plan would be more technical and would involve appearance. 4. EDC 2013-18 Ordinance Renaming a Portion of Rosenwinkel Drive to Waterpark Way Mr. Olson said Raging Waves had asked for this name change. Signs have already been requested and other governmental agencies have been notified of the proposal. Ms. Milschewski asked if this road would eventually connect to Rosenwinkel and if the new name would be kept if this occurs. Mr. Olson said a decision would be made later. The committee recommended approval of this request and it will move forward to the May 16th Council meeting. S. EDC 2013-19 Countryside TIF Administrator Olson said this matter was discussed during the budget process and at City Council. One of the changes to the agreement involves the developer payout. $1.8 million will be paid and the remaining $1.2 million will be paid by amusement tax. Later in the discussion, Mr. Olson noted a Development Agreement change to the payout that $2 million would be reimbursed to the developer--$1.8 million along with the remainder of$200,000 from amusement taxes. The payout portion will move forward to the May 16th Council consent agenda. The second point is how to handle the bond refinancing. Mr. Olson said this is more of a financial discussion and could be redirected to the Administration Committee, depending if the amendment is approved. If the amendment agreement is approved, he recommending refinancing that would result in additional interest on the bond, but it would free up cash in the next few years. Alderman Colosimo was concerned that the payout had not been mentioned as part of the budget. He asked if the $1.8 million would be reinvested. Attorney Kramer said the initial land purchase was out of pocket for the developer, Mr. Ratos, and that the land and $500,000 cash had been given to the theatre group to entice them to Yorkville. With low interest rates, Mr. Ratos is able to"carry"this venture until the building is completed when repayment could begin. Selling the other lots will also be important. Mr. Ratos said the interior streets are being improved as well as water mains being replaced. A November theatre opening is still anticipated. National restaurant changes have also been spoken with about the outlots. 2 Mr. Ratos added that"Mike and Denise's"is coming to Heartland as a result of the theatre and patrons from other towns will come to Yorkville as well. Mr. Ratos recommended now is the time to refinance due to low interest rates. Mr. Colosimo said he is unsure if refinancing should be done since $750,000 would be added to the debt load for a 3-year extension. It was decided to send the refinancing issue to the Administration Committee for discussion. Old Business None Additional Business --Alderman Milschewski noted a communications problem with an event at the new fitness center at Rt. 47 and Van Emmon. Although the facility is not yet open, they were allowed a registration desk just inside the building for this function. She said that participants were running through a resident's yard and participants were climbing the rock wall. She asked how the outdoor area would be buffered from the neighborhood behind it on Heustis. Ms. Barksdale- Noble said she had a meeting with the owners who said there was a landscape plan developed. Mr. Olson said an explanation would be put in writing. Mr. Ratos added that the facility is almost completely finished. The committee members noted concerns with the current climbing structures being visible from Rt. 47 and being a possible traffic distraction. There were also suggestions for a fence or vegetation being needed as a buffer and other concerns for safety, liability issues for the business and parking issues. It was noted that some citizens are concerned about this type of facility being located in the downtown and the appearance. Ms. Dubajic noted that conversely, it could generate interest in the downtown. --Alderman Teeling asked if staff had examined the foreclosure information from Romeoville. Ms. Barksdale-Noble said her intern is creating an informational page for the website which should be done by the end of the month. --The Rowdy's sign was questioned by Alderman Colosimo. Mr. Ratos noted it is a temporary sign. He added that the business wishes to construct a deck on the back, but property lines need to be verified prior to that since there is a water main at the back of the building. They will provide a plat of survey to verify those lines and Mr. Ratos cannot review the plans until the lines are established. It was discussed that the business would possibly reverse the front entrance orientation. The owners wish to complete all phases at once. Adiournment There was no further business and the meeting was adjourned at 7:35pm. Background This agenda item was requested by the Kendall County Forest Preserve District. They have requested that the City deannex the portion of the Hoover property that includes the lodge. Because the lodge is in City limits, it must abide by City zoning, building code and liquor laws. Even though the City has amended its catering license classification to accommodate the Hoover lodge, the Forest Preserve District would prefer to operate without City interaction. In particular, the City charges incoming caterers a daily or annual fee to serve liquor at the Hoover lodge. The process of a negotiated deannexation is simply to approve an ordinance. The attached ordinance has been provided by Kendall County, and Attorney Orr has reviewed it and found it to be acceptable. Deannexing a portion of this property would have no impact on any surrounding property's contiguity to the City boundaries. A portion of Hoover Forest Preserve would still remain in City limits. Recommendation Staff makes no specific recommendation on the proposal by Kendall County. Background The City and Imperial Investments have been discussing various improvements to the City pump-house and surrounding area for the past several months. With the complete renovation of the entire block by Imperial Investments, the two remaining upgradable projects are the fagade of the pumphouse and the above-ground electric wires that run east of the West Alley all the way from W Van Emmon to W Hydraulic St. In short, this third amended agreement will cover potential undergrounding of the electric, cable, and telephone lines, a tear down of the east end of the pumphouse to facilitate a larger common area, and a fagade improvement on the pumphouse. However, the actual language for the agreement was not finalized at time of packet creation, so it is instead described in this memo. I will have a draft agreement available for the committee's review at the meeting at the latest. If we finalize the language before the meeting, I will forward it along to the committee members and post it as a supplemental EDC packet. First component—undergrounding electric, telephone, and cable wires The City and Imperial Investments expect that the final cost to underground all of the aboveground utilities in the area will cost between $200,000 and $260,000. However, this number is our own estimate. ComEd owns the poles that the electric, telephone, and cable wires are installed upon, and they can not give us a better cost estimate unless we authorize a concept design through ComEd. This concept design is expected to cost $30,000. In short, it will cost both parties $30,000 to learn how much the total project will cost. Around 80% of the cost to underground the aboveground utilities is for"public" infrastructure or private infrastructure not applicable to Imperial Investments properties. The public infrastructure would be the poles, feeder electric lines, and other electric, cable and telephone equipment used to bring the services into the immediate area. The private infrastructure would be the individual service lines into each property. Thus, only 20% of the total aboveground infrastructure cost is applicable to undergrounding the private electric lines for Imperial Investments' properties. Accordingly, we have proposed the following: 1) The City and Imperial Investments splits the cost of the due diligence study for undergrounding the utilities. This is expected to be $30,000. Imperial Investments will authorize and conduct the study, and will send the City a bill for 50% of the cost of the study. The City will pay for this study out of the TIF fund. 2) Once the due diligence study is completed, the City and Imperial Investments will review the study results, and decide whether to proceed forward with the undergrounding. Either party can decline to proceed with the undergrounding. 3) If both parties agree to proceed forward with the undergrounding of the construction, Imperial Investments will coordinate and complete the project with whatever payment system ComEd requires. Imperial Investments will send the City an invoice for 50% of the undergrounding cost, up to a maximum of$130,000. a. If the total project is $200,000, the City cuts a check to Imperial Investments for $100,000. b. If the total project is $500,000, the City cuts a check to Imperial Investments for $130,000. 4) After the undergrounding is complete, the City will pay the increment from whatever amount is paid to Imperial Investments in#3 up to 80% of the total undergrounding project cost over a 10 year period. a. In Scenario 3a above, Imperial Investments will send the City an invoice for the increment of$60,000, and the City pays that $60,000 off over 10 years at $6,000 per year. 80%x $200,000 = $160,000 $160,000 - $100,000 = $60,000 b. In Scenario 3B above, Imperial Investments will send the City an invoice for the increment of$270,000 and the City pays that $270,000 off over 10 years at $27,000 per year. 80%x $500,000 = $400,000 $400,000 - $130,000 = $270,000 5) The remaining 20% of the entire undergrounding project paid for by Imperial Investments is considered a TIF eligible and Business District Eligible Cost, available for reimbursement pursuant to those agreements. Second component—Partial tear-down of the City's pumphouse The eastern—10-feet of the pump house may be able to be torn down with minimal cost. This would allow a larger common area for the surrounding properties. Imperial Investments has agreed to upfront the cost of the partial tear-down and reconfiguration, as long as the cost is eligible for TIF and Business District reimbursement. This section will be drafted with the ability for Imperial Investments to back out of the section should they determine the costs are too high. Third component—New facade on the City's pumphouse Imperial Investments will provide a bid to the City to put a new fagade on the pumphouse, which will match the fagade of the Mongolian 211 and Cobblestone buildings. The City will review the bids and proposed plan, and if acceptable will authorize Imperial Investments to proceed with fagade improvements. The City's review process will consist of staff approval if less than $20,000, and City Council authorization if greater than $20,000. Either process will consist of requesting bids from competing contractors. Recommendation Staff recommends approval of the third amended TIF agreement with the proposals as outlined above. A draft copy of the agreement will be available at the EDC meeting or prior to the meeting via a supplemental meeting packet. 5/30/2013 Imperial Construction Project Overview for Pump House (West Alley, Downtown Yorkville) PURPOSE: To rehab and downsize existing pump house owned and operated by the United City of Yorkville located adjacent to Imperial Investments "West Side Block Development". Council Action Previously Taken: Date of Action: Action Taken: Item Number: Type of Vote Required: Majority Council Action Requested: Submitted by: Bart Olson Administration Name Department Agenda Item Notes: Memorandum To: City Council EST. 183fi From: Bart Olson, City Administrator ' CC: Date: May 30, 2013 Subject: Second amendment to the Grande Reserve annexation agreement LJILL E% Summary Approval of an annexation agreement amendment that records a land-cash agreement between the School District and Castle Bank on the property. Background The City Council approved an annexation agreement with MPI for the Grande Reserve property in 2003. Within that original agreement were various provisions for school land-cash and transition fee payments. In 2003, it was understood that 50% of the school transition fee ($1,500 per dwelling unit) would be paid at time of final plat by the developer and the remaining 50% of the transition fee ($1,500 per dwelling unit)would be paid for by the home builder at time of building permit. Subsequent to annexation agreement approval, the School District and Castle Bank entered into an arrangement where Castle Bank issued the School District a debt certificate in the amount of—$4.685m. This allowed the School District to build the Grande Reserve Elementary School. The debt certificate would be repaid by transition fees and land-cash fees as they are received by the School District. A condition of the debt certificate arrangement between Castle Bank and the School District was memorialized in the attached"annexation agreement amendment land-cash donation agreement" between MPI and the School District. Even though this land-cash donation agreement was titled as an annexation agreement amendment, it was never signed off on by the City, which means it was never incorporated into the annexation agreement for the property, nor recorded against the land. One of the provisions of the land-cash donation agreement was an amendment to the timing of the payout of the transition fee. Instead of being 50% at time of final plat and 50% at time of building permit, MPI and the School District agreed that the fee would be paid 100% at time of building permit ($3,000). Thus, the building permits were issued by the City after the builder had paid the School District the $3,000 transition fee. When the recession hit, the transition fees and land-cash fees dried up as homebuilders stopped building houses. The debt certificate arrangement between Castle Bank and the School District left Castle Bank on the hook, and so they have went without any major payments for the past several years. Throughout that time, Castle Bank has entertained offers from various developers and investors to buy or buyout the debt certificate from Castle Bank. In this scenario, an investor would give Castle Bank an amount of money and Castle Bank would either consider the debt certificate satisfied(closed) or would transfer the debt certificate ownership to the buying party(assigned). This type of transaction would make sense to someone who thinks that the property will develop in the near future and sees it as a good investment, or a developer who wants to reduce the obligation for the transition fees on the property. However, in every conversation with every interested party, Castle Bank has ran into the issue that the land-cash donation agreement is not recorded against the property. In order for Castle Bank to seriously entertain any offers in the future, they need the land-cash donation agreement provisions regarding the timing of the transition fees to be approved by the City. The attached agreement drafted by Attorney Orr incorporates the necessary provisions of the land-cash donation agreement into a formal second amendment to the Grande Reserve annexation agreement. In order for the City to properly approve the annexation agreement as proposed, the existing land-owners must sign off on the agreement. Thus, the existing landowner—Grande Reserve (Chicago) ASLI VI, LLLP—has consented to the proposal and turned in an application for annexation agreement amendment. This existing land-owner is commonly known as Avanti, and they have been using Ocean Atlantic as their local property management firm. We can confirm that the LLLP that owns the Grande Reserve property is not the same legal entity that owned the Westbury property. Further, this annexation agreement amendment is being requested by Castle Bank and is primarily for Castle Bank's benefit. This is a relatively simple agreement that was signed off on by Avanti's predecessor, which is why they are amenable to assisting Castle Bank with their request. Further, the proposal helps to reinforce that the homebuilders are responsible for the transition fees. Recommendation Staff recommends approval of the attached annexation agreement amendment. This item will be scheduled for a public hearing at the June 25th City Council meeting. o Memorandum r To: Economic Development Committee EST. , Fes` 1836 From: Krysti J. Bridge Street(Amended Development Agreement) Petitioner's Request The Petitioner, Association for Individual Development, is the current owner of the property located at 708-710 N. Bridge Street and is seeking to amend an existing Development Agreement ("Agreement") approved in 2005 which rezoned the subject property from R-2 One-Family Residence District to B-1 General Business District (see attached). The Development Agreement also placed certain requirements on the owner and successor owners with regards to landscaping and buffering, parking restrictions within the common driveway, and property development which limited the development of the property to the approved site plan attached as Exhibit `B" to the original agreement. The requested amendment would replace the original Exhibit `B" and reference a revised site plan prepared by Tebrugge Engineering which illustrates the proposed parking lot improvements for the subject property. Property Background/Development Agreement As mentioned previously, the approximately 0.5-acre property located at 708-710 N. Bridge Street just east of the intersection of IL Route 47 is zoned B-1 General Business District and formally operated as Janice L. Van Riper Insurance Agency. Currently, the property is owned by the Association for Individual Development, an organization which provides services to persons with developmental, physical and/or mental disabilities, intends to utilize the adjoined two (2) building structure for office space, make parking lot improvements and relocate the common driveway easement as a result of the IL Route 47 roadway widening and reconstruction project. The proposed changes to the property will deviate from the approved site plan made as an exhibit to the existing Development Agreement. As specified in the attached Development Agreement executed between the City and the previous owner in December 2005, Article I requires that the property conform to the Landscape Ordinance and further agrees that "no parking shall be permitted within the driveway shared with the premises located at 712-714 N. Bridge Street"which is located north of the subject property(see attached aerial). Article I1 of the agreement required the property be developed in accordance with a preliminary site plan attached as Exhibit "B" and "[i]n the event that OWNERIDEVELOPER or their heirs, successors or assigns desire to deviate from the site plan attached as Exhibit B' approval from the United City of Yorkville City Council must be obtained."Article II further required the property to adhere to the Architectural Overlay Ordinance; comply with the sign ordinance and any sign erected on the property shall be limited to a maximum height of 12 feet; and also required the construction of a sidewalk in the front yard of the property after the completion of the IL Route 47 widening project. Finally, Article III of the agreement acknowledged the rezoning of the property to within the B-I General Business District and allowed the owners to maintain their portion of the structure as a residence for a period of one year after the execution of the development agreement which has since expired on December 27,2006. Staff Recommendation Staff is supportive of the Petitioner's request for amendment to the existing Development Agreement, as the proposed site development improvements are in conformance with current City Ordinances. Additionally, staff and the City Attorney have reviewed the provisions of the original development agreement as outlined in Articles I — III (summarized above) and Article IV which stipulates the effective date have been satisfied or no longer applicable and should be deleted in the amended agreement. It is further recommended that the Petitioner's revised site plan prepared by Tebrugge Engineering which illustrates the proposed parking lot improvements should be referenced as the new Exhibit B in the development Agreement. Should the Economic Development Committee be favorable to the request, this item will be placed on an upcoming City Council meeting agenda and the attached draft ordinance considered. A representative for the Association for Individual Development, as well as staff, will be available at Tuesday night's meeting to address questions from the committee. Y. - X1'3S I.•t t a •.
