RESOLUTION
ADOPTING RECOMMENDED PLAN TO IMPLEMENT GOVERNANCE
ENHANCEMENTS AS PROPOSED BY
DR CURT WOOD AND DR GERALD GABRIS
WHEREAS, the Mayor and Aldermen of the United City of Yorkville has received
the opinion and recommendations from Dr. Curt Wood and Dr. Gerald Gabris
concerning the formulation of a plan for implementing governance enhancements as set
forth in two separate memo's delivered to the Mayor and Aldermen dated September 2,
2005 and September 15, 2005; and
WHEREAS, the Mayor and Aldermen desire to pursue the formulation of the plan
using the opinions and recommendations of Dr. Wood and Dr. Gabris.
NOW THEREFORE, upon Motion duly made, seconded and approved by the
majority of those members of the City Council voting, the Mayor and Aldermen agree
that they will endeavor to form the plan for implementing governance enhancements as
outlined in the memo's (9/2/05 and 9/15/05) from Dr. Wood and Dr. Gabris, including
but not limited to the establishment of an Administrative Procedures /Processes Task
Force and a Legislative Procedures/Process Task Force to meet, discuss, and formulate
the policies, procedures and processes and outlined in the two memos.

NORTHERN First, myself and Dr. Curt Wood wish to extend our
ILLINOIS sincere thanks to yourself, the City Administrator and
UNIVERSITY members of the City Council for participating so fully
in the August 30th, 2005 meeting. In our estimation the
meeting progressed very well and it seems there is a
consensus on your Council to take the next step. This
DIVISION OF letter, which is also being sent to Tony, contains our
PUBLIcADMINISTRATION bill' for Phase I and as requested, suggestions for how
to implement Phase II.
We have taken to heart your suggestions and also those

suggested proposal that highlights each step the City

the City Council may wish to tweak or fine -tune this
process as you see fit.
Because Dr. Jerry Gabris is on sabbatical leave this fall,
it our my recommendation that the City work with Dr. Curt
Wood as a facilitator and coach as needed. Our attached
proposal for Phase II suggests how he may be involved.
As we ended our session on August 30th we stressed the
need for the City to take action on its ideas regarding
an "enhancement" of the governance process. This can be
a win -win outcome where all officials are better off,
and can come together in the type of team that you
mentioned should be the product of good government. We
concur. Dr. Wood will be in communication with Tony
and yourself shortly. He is prepared to appear at your
Council meeting on September 20th to review Phase II

Re: Suggested Proposal for Implementing the Enhancements to the United City of Yorkville
Governance Process discussed at the August 30th, 2005 Committee of the Whole Meeting.
Dr. Curt Wood and myself wish to extend our sincere appreciation and thanks for the outstanding
involvement of Members of the City Council, the Mayor, and City Administrator at the recent
Governance Procedure Review Workshop. We feel a great deal was accomplished and that
consensus was reached on a number of important issues. As we have indicated on several
occasions, the August 30th workshop concluded Phase I of this effort, and should be followed by
new governance important for procedures. It is im
Phase II which focuses on the "implementation" of g p p
the City to achieve concrete results in its effort to enhance the current governance practices,
procedures and structures.
At the August 30th session, we feel we had consensus to discuss the next phase at the upcoming
Council meeting scheduled for September 20th, 2005. Dr. Curt Wood will lead this effort due to
the fact that Dr. Gabris will be on sabbatical leave. We were asked by the Council and the Mayor
to provide a short outline of how to proceed and organize the Phase II effort. We do so in this brief
memo. We also describe the role that Dr. Wood may play in these activities and what specific
issues the City may wish to focus on first as the highest set of priorities. Of course, these
recommendations are open to reasonable modification and fine- tuning as determined by the Mayor
f and Alderpersons. We look forward to working with the United City of Yorkville in seeing better
governance procedures achieve fruition.
Phase H Recommendations
1. Create two task forces. Task force A will focus on specific issues intended to improve the
legislative and policy- making effectiveness of the City Council.
Task force B will focus on specific issues designed to improve the office of City
Administration and this position's effectiveness in working with the City Council.
We recommend that Alderpersons associated with Group A and Group B in the Feedback
Report serve as members on both task forces. We recommend that the Mayor chair the task
force on Administration.

2. Responsibilities and deliverables of the task forces:
a. Specific statement of the governance issues that are to be addressed by the task force.
b. To brainstorm and consider potential solutions /options to identified governance issues.
Also, to consider the benefits, costs, and consequences of various options.
c. To identify from the brainstorming session, the specific option or options to be
recommended to the City Council as a whole. What are the benefits of this change and
potential limitations?
d. A succinct statement of the specific implementation steps that will lead to the
establishment of these solutions.
In addition to these action steps, the task force should identify i. who is responsible for
implementation, ii. what technical, legal, or financial costs are involved, iii. a realistic
timeframe and calendar necessary for full implementation.
e. All task forces will be expected to begin their efforts no later than October 15th, 2005,
and report back to the Committee of the Whole by April 15th, 2006. Note: the task forces
can work more quickly than this if possible. Once the task forces recommend their plans
of action and once these are approved by the full Council, implementation should begin
immediately.
3. Task Force Assignments
Task Force A:
Priority # 1 - Redesign the current Committee System.
Priority # 2 - Develop a Governance Ordinance.
We recommend that task force A address these two issues with the redesign of the
current committee system receiving the highest priority, closely followed by framing a
governance ordinance.
We recommend that item E of recommendation # 2 on the Feedback Report be dropped
from the work of Task force A. This will be worked on by Task Force B.
We also recommend that recommendation # 5, 8, and 9 be postponed for the present.
These are long term governance issues that should be addressed later.

Task Force B:
Priority # 1 - Have the City Administrator develop a regular and meaningful
communication mechanism for the City Council.
Priority # 2 - Develop a City Administrator Ordinance.
We recommend that as part of Priority 2, that item 2E from the Initial feedback report be
incorporated into this activity, as well as recommendation # 7.
We recommend that Recommendation # 8 of the Feedback Report be postponed for the
moment.
By designing the work for the task forces in this context, we have consolidated several
related items into broader categories and hopefully, have better focused where the task
forces need to spend their time. It is up to the individual task forces to design their
agenda, schedule, and modus operandi.
We do suggest that each task force avail themselves of the expertise brought to bear by
Dr. Curt Wood, Tony Graff, and the Legislative Liaison as needed.
4. Phase H tentative costs for Dr. Wood
a. Dr. Wood will meet with the Mayor and Council on September 20th, and go over Phase
II suggestions.
We recommend that the Council pass a resolution adopting Phase 11 if it finds our
recommendations acceptable.
Time 3 hours at $100 per hour = $300.
b. Meet with each task force initially to brainstorm, answer questions, and to get the process
underway.
Time 3 hours each = $600.
c. Monthly 1.5 hour Reports for 5 months if needed. 300 x 5 = $1500
d. Meetings with the City Administrator, the Mayor, and City Staff to facilitate task force
implementation. Budget 5 hours = $500.
Tentative budget for Dr. Wood = $2,900.00
Note: this could be a bit less or more depending on how much the Task Forces need Dr.
Wood.
5. Phase III
If the Council can achieve Phase II, which we think you can, then Phase III would involve: a.
strategic planning, b. City Administrator Performance Appraisal, and c. Council Governance
Assessment at a later date.
In conclusion, you are no longer at the beginning of the end, but as Winston Churchill once
remarked, you are at the end of the beginning. Good luck in your efforts to improve your
governance processes.

Subject: Amendments to the proposed governance process plan and transition thoughts
In a memo dated September 2, 2005, we submitted a proposed plan to implement
governance enhancements that were discussed at the August 30, 2005 Committee of the Whole
executive session. In light of the recent announcement of the resignation of the City
Administrator, we believe it is necessary to make a few modifications to the proposed
implementation plan and to offer our thoughts about city administration during the transition
period.
In the proposed implementation plan, we recommended that the Administrative
Procedures/Processes Task Force focus on developing a proposed city administrator ordinance
and that this item be a lower priority than developing a regular and meaningful written
communication mechanism between the City Administrator and City Council. In light of the
recent developments, we urge the Council and Mayor to consider the creation of a City
Administrator ordinance as the number one priority for the city and that the entire council work
together to develop and approve the ordinance before the process of hiring a new permanent city
administrator begins because once the advertisements go out, interested applicants are going to
want to see the ordinance before applying. We have provided you with a model city
administrator ordinance that can be found on pages 15 -17 of "A Guide to Hiring a Chief
Administrative Officer" published by the Illinois City /County Management Association. We
anticipate it will take about two months to develop and approve a city administrator ordinance.
We also suggest that the hiring of an Assistant City Administrator be delayed until a new
permanent city administrator is selected.

We believe the Mayor and Council now have the opportunity to fashion a city
administrator ordinance that creates a more professional and accountable city administrator
position. A professional city administrator position will attract the very best applicants and make
it possible to proactively respond to the increasing complexity of the urban environment. A more
accountable city administrator position will make it possible for the legislative and executive
branch to work closely together in meeting the challenges of the future.
We also suggest the two recommended task forces begin meeting after the city
administrator ordinance has been approved by the Council and the process of selecting a
permanent city administrator is underway. We do not recommend any changes to the agenda or
priorities mentioned for the Legislative Procedures/Process Task Force. The Administrative
Procedures/Process Task Force could work initially on a mechanism for the city administrator to
develop a regular and meaningful communication mechanism for the council. Once that has been
accomplished, the task force could tackle recommendation 47, finding ways for the city
administrator to free up his/her time so he /she can spend more time supervising staff and
communicating with the Mayor and Council, and then recommendation # 8, redesigning the city
admini strator's annual performance appraisal process.
Dr. Wood is available to provide the task forces general direction and advice if that is the
wish of the mayor and Council.
Transition
It will be extremely important for the Council and Mayor to hire an interim city
administrator as soon as possible to manage and coordinate the day -to -day administration of the
city until a permanent city administrator is selected, which could take as long as six months. The
interim city administrator can also assist the two task forces in their important work. The

International City and County Management Association (ICMA) Range Rider Program, made up
of retired managers with extensive experience who volunteer their time and expertise to cities, is
available to suggest city managers /administrators who are in transition and who are available to
serve as an interim city administrator. In addition, the Range Rider Program is available, at no
expense to the city, to offer advice and ideas about how to go about selecting a permanent city
administrator. However, if you wish to have a range rider manager present throughout the entire
process, there would be a cost to the city. We have included information about the Range Rider
Program in the event you are interested in pursuing this option.
September 20 meeting
At the September 20 meeting, we recommend the Council and Mayor take the following
actions:
• Discuss our September 2, 2005 recommended governance implementation plan and
suggested amendments to the plan as outlined in this memo. After discussion, approve a
resolution accepting and adopting the governance implementation plan.
• Discuss and approve a process for hiring an interim city.administrator.
• Discuss and approve the process for hiring a permanent city administrator.
