Alderman Kot later asked to have the location of that meeting added to the notes. The location was the Park Building (Riverfront Building) due to construction. Review of RFP Proposals: Traci Pleckham reported that SBC and IIS were the only 2 proposals received (out of a possible 4 or 5) for technology connections. SBC did not meet the scope of the proposal and did not feel they had enough time to respond. The quote which IIS submitted had a calculation error and did not include a $5800 boring fee, therefore it was not a complete quote to be able to move forward. IIS offered to re-do their quote including the boring fee, however, Ms. Pleckham recommended a re-bid. Alderman Sticka asked if SBC could provide another quote so the committee would have 2 quotes to consider. Traci Pleckham believes that lack of time was an issue for most to provide a quote. Alderman Sticka also felt it should be re-bid. Alderman Kot asked if a re-bid would be legal. Ms. Pleckham said that due to the incomplete bid from IIS, it would be legal. She also reiterated that IIS offered to provide an addendum to the RFP, but she doesn't feel that is the proper way to proceed at this time. Chairperson Munns summarized that the cost would be approximately$20-25,000 plus $187 a month for T-1 monthly fees. This gives a starting point for the budget for next year. Alderman Sticka asked if there were specific persons Ms. Pleckham dealt with as he felt one consistent person at SBC should serve as a contact. At this time, that contact is in Chicago. Chairperson Munns stated there should be a local contact—one that was easy to reach. Traci Pleckham pointed out that IIS has a local office in Yorkville (main office in McHenry) and that they have been very responsive. Page 2 of 2 Ad Hoc Technology December 17, 2003 Ms. Pleckham also pointed out the RFP states that the City reserves the right to reject quotes. She will ask Attorney Kramer to review the procedure again. The previous time frame for quotes was 2-3 weeks. It was suggested that the committee would meet again February 2, 2004 and would give prospective bidders until just before that time to submit bids. Finance Director Pleckham will publish the bid process after the holidays and will request that the bids be turned in by the last week of January (the 27th or 28th) Alderman Munns noted that Alderman Kots asked about maintenance on the T-1 and whether or not it was in the proposal. Traci Pleckham stated that it was in the RFP, but pointed out that it doesn't fall in the scope of the proposal. Alderman Kot asked who would maintain the lines for the entire system. He felt the vendor should take care of the T-1 line because it may be beyond the expertise of an in-house employee. Alderman Sticka inquired as to who the vendor for the T-1 is. Ms. Pleckham said that Illinois Century is the who the library uses and she will check with the library before January 28 to see if the library has an agreement with Illinois Century or who they call for maintenance. The discussion turned to laptops. Chairperson Munns asked for thoughts on the feasibility of laptops. Alderman Sticka thought it was a good idea and stated that Sandwich has gone all wireless at city hall. He did, however, pose the question of any security worries with all wireless. The committee agreed that would not be an issue. Alderman Kot asked that the minutes be amended to include the location of the last meeting being at the Park Building (The Riverfront Building). The next meeting date will be firmed up after Ms. Pleckham sets a date for the return of the RFP's, most likely the first week of February. There was no further business. The City received bids from the following four vendors: • Current Technologies Corporation • E2 Services • its • Laurus Technologies Along with the proposals, included is a summary analysis of all four bids. I also forwarded copies of all proposals to our current Technology Consultant, Software Performance Specialists (SPS), for review. Based on staff and SPS review of the bids, we noted the following: • Laurus and E2 recommend similar methods of connectivity. • Current Technology and its recommend similar methods of connectivity, which include switches that the City does not need (the City and Police Department both purchased new switches in the fall of 2003). In addition: o its also recommends an additional router, which is not necessary since the library has the router in place. o Current Technology did not bid the boring/trenching on the project. In conclusion, our recommendation is E2 Services. They presented the lowest bid and also met the requirements of the RFP. SPS did recommend that E2 include an additional firewall for the Beecher Building (Given that their fiber is meeting up at the Library, the Beecher Building would not be protected.) This would be an additional cost of $1,642, but E2 would still remain the lowest bidder. Not included in the RFP, but recommended by SPS, is upgrading the City's server to Windows 2003. This would make the wide area connections easier and offer additional security features. This should be done prior to the T-1 project, so the City's server doesn't have to be reconfigured. The current cost for the server is $1,499. SPS also recommended, which staff concurs, that the remote site VPN connections be delayed until this phase of the project is completed. At a later date, staff can look at VPN versus other viable methods for remote connectivity such as Windows 2003 terminal services for faster connections. Request for Proposal United City of Yorkville Introduction 1. The United City of Yorkville, Illinois (the City) is issuing this Request For Proposal (RFP) for the purpose of soliciting vendor proposals for the installation of the technology connections for city hall to other city offices. 2. The City intends to seek the most cost effective solution, based on the representative criteria contained in the RFP, for its needs. 3. Proposals will be accepted until 10:00 AM on January 27, 2004. Proposals submitted must be binding for a minimum of ninety (90) days after the bid opening date. The City will select proposals based on the criteria outlined in the RFP, most cost effective proposal, quality of product proposed and the positive references supplied by the vendor. The City reserves the right to reject any or portions of the proposal that does not meet the specifications of the request. Furthermore, the City may accept full proposals or a combination of the specified proposals that meets the City's specifications. The City reserves the right to inspect references sites for quality of work and/or product proposed before awarding the contract for the work to be completed. 4. Proposals dispatched, but not received by the City by proposal closing time, will be returned, after receipt, unopened to the bidder. 6. Award of contract. The United City of Yorkville City Council will make the final award of the proposal or contract, following the written recommendation by staff, and verification of references at the first available City Council meeting. 7. Contract. In addition to the completed proposal, a resulting contract may be required by the City, including but not limited to, written correspondence between the city and the vendor subsequent to the proposal submission, facsimiles and product literature. All agreements between the United City of Yorkville and the vendor will be handled through legal counsel. In addition, any legal restrictions or provisions, enforced by the vendor or its parent company, which are not in line with the industry's standards, should be pointed out. 8. Confidentiality of Documents. Proposals are submitted in confidential format and shall be opened at the specified date and time to disclose contents for competitive bid. However, all proposals that have been submitted shall be open for public inspection after contract award. Trade secrets and confidential information, as specified by the vendor, contained in the proposals shall not be open for public inspection. 9. Contact with City Employees. In order to ensure fair and objective evaluation, all questions related to this RFP should be addressed only to the person (s) so named in this RFP; that person is Traci Pleckham. Contact with any other City employee is expressly prohibited without prior consent of the persons so named herein. Vendors directly contacting other City employees will risk elimination of their proposal from further consideration. Page 2 of 3 Contractor Agreement for award of contract. The vendor by submitting a RFP proposal agrees to the following: 1. To furnish upon request, certificates of insurance with provisions that insurance policies may not be cancelled or endorsed in any way which would reduce or limit coverage within ten (10) days prior written notice to the United City of Yorkville. A. Workman's Compensation Insurance covering employees performing the services outlined in this contract. B. Comprehensive General Liability Insurance on an occurrence basis in an insurance company licensed to do business in this state. In the amount of $1,000,000.00/$2,000,000.00. 2. Best practice employment procedures and safety compliance's will be followed and work completed under this contract shall be subject to the approval of the Untied City of Yorkville. Practical implementation of the contract, the contractor agrees to meet with the City as often as necessary to discuss any and all aspects of the contract. 3. The contractor agrees. The staff of the United City of Yorkville reserves the right to cancel this contract if, it is determined the contractor is not satisfactorily performing or providing the quality of work as specified in the proposal. Notification to the contractor will be in writing within seven days notice, and will consider all or part of this contract breached. The City will assume actions for the completion of the project and may hire another contractor in order to cure any defects in performance or complete all work covered by this specification for the remaining term of this contract. 4. Neither the contactor nor the United City of Yorkville shall be held liable in damages caused beyond its control and without its fault of negligence including but not limited to, acts of God or the public enemy, acts of government, fires, floods, epidemics, quarantine restrictions, strikes, freight embargos, or unusually severe weather. The connection between City Hall, Library, and Beecher Community Building involves approximately 470 feet between the buildings. (City Hall to Library— approximately 200 feet; Library to Beecher Community Building approximately 270 feet). The request for proposal for awarding of this contract should be made with all costs associated with the materials, hardware man-hours, permitting, monthly connection charges, and installation of the technology connection. Any costs for installation not specified in the contractor's proposal shall be at the expense of the contractor for the completion of the proposed work. This document will outline the methodology that we utilize to undertake and successfully complete a project like yours. We have reviewed your RFP and it is our understanding that you wish to move forward with many of the items proposed in the plan. The following is an outline of the various aspects of the project. ❖ Inter Building Communications—To provide connectivity between the City's buildings outlined in the RFP.We propose that the 12-strand fiber lines be buried between the buildings via a Directional Bore. This will minimize the impact of the construction as well as leave paved areas intact. This boring will be at a depth no less than 36 inches deep. The fiber runs will be encased in a 2 inch polyethylene conduit to protect the fiber and provide a means to expand beyond the 12-strand fiber in the future if required. The approximate total length of the conduit is 650 feet. The details of the installation are as follows: Install (1) Quazite 24x36x36 inch vault outside of Library for future access. Core foundation wall at City Hall building and stub in 2-inch conduit. Seal Core with link seal. Core wall at Library and Beecher Community building 2 feet above grade and mount a 12x18x18 inch pull box. Install 12-strand 62.5x125 multimode indoor/outdoor rated fiber between Library& City Hall and Library& Beecher Community Building. Restore area with black dirt and seed only. Terminate fiber with pre-polished ST type connectors. Termination will be in rack- mounted enclosure in City Hall and wall mounted enclosures at the Library and Beecher Community Center. Due to trenching not being viewed as a viable alternative, separate costs for trenching have not been included in this proposal; the costs for this aspect of the proposal are: MATERIAL: $10,998.00 LABOR: $5,800.00 TOTAL MATERIAL & LABOR: $16,798.00 Project timelines are dependent upon environmental conditions at time of actual implementation. WS-G5484 The 1000BASE-LX/LH (long wavelength/long haul) GBIC interfaces fully comply with the IEEE 802.3z 1000BASE-LX standard. However, their higher optical quality allows them to reach 10 km over single-mode fiber(SMF)versus the 3.1 miles (5 km) specified in the standard. GBIC Cabling and Connection Equipment The GBIC receptacle is a 1000 Mbps optical interface in the form of an SC-type duplex receptacle(Figure 1) that supports IEEE 802.3z interfaces compliant with the 1000BASE-X standard. Table 3 provides cabling specifications for the GBICs that you install in Gigabit Ethernet devices. Note that all GBIC ports have SC-type connectors. Also, the minimum cable distance for the WS-G5484 and WS-G5486 (multimode fiber [MMF] and single-mode fiber [SMF]) is 6.5 feet (2 m). Cisco does not recommend using the C6400-GBIC-LX/LH and MMF with no patch cord for very short link distance(tens of meters). The result could be an elevated bit error rate (BER). Mode-Conditioning Patch Cord Description A mode-conditioning patch cord (Cisco Product Number CAB-GELX-625=) can be used with the C6400-GBIC-LX/LH=to allow reliable laser transmission between the single- mode laser source on the GBIC and a multimode optical fiber cable. When an unconditioned laser source designed for operation on single-mode optical fiber is directly coupled to a multimode optical fiber cable, an effect known as differential mode delay(DMD)might result in a degradation of the modal bandwidth of the optical fiber cable. This degradation results in a decrease in the link span (the distance between a transmitter and a receiver) that can be supported reliably. The effect of DMD can be overcome by conditioning the launch characteristics of a laser source. A practical means of performing this conditioning is to use a device called a mode-conditioning patch cord. A mode-conditioning patch cord is an optical fiber cable assembly that consists of a pair of optical fibers terminated with connector hardware. Specifically, the mode-conditioning patch cord is composed of a single-mode optical fiber permanently coupled off-center (see Offset in Figure 2) to a graded-index multimode optical fiber. The mode-conditioning patch cord assembly is composed of duplex optical fibers, including a single-mode-to-multimode offset launch fiber connected to the transmitter, and a second conventional graded-index multimode optical fiber connected to the receiver. The use of a plug-to-plug patch cord maximizes the power budget of multimode 1000BASE-LX and 1000BASE-LH links. %,Note The mode-conditioning patch cord (CAB-GELX-625=or equivalent) is required to comply with IEEE standards. The IEEE found that link distances could not be met with certain types of fiber-optic cable cores. The solution is to launch light from the laser at a precise offset from the center, which is accomplished by using the mode-conditioning patch cord. At the output of the patch cord, the C6400-GBIC- LX/LH is compliant with the IEEE 802.3z standard for 1000BASE-LX. Safety and Regulatory Compliance Guidelines This section describes safety and compliance guidelines you should observe before you install the GBIC in your Cisco 6400. Before handling a GBIC, observe the following guidelines: • GBICs are static-sensitive. To prevent electrostatic discharge (ESD) damage, follow your normal board- and component-handling procedures. • GBICs are dust-sensitive. When storing a GBIC or when a fiber-optic cable is not plugged in, always keep plugs in the GBIC optical bores. (See plugs in Figure 3.) • The most common source of contaminants in the optical bores is debris picked up on the ferrules of the optical connectors. Use an alcohol swab or lint-free absorbent wipes to clean the ferrules of the optical connector. AWarning Class 1 laser product. Procedures for GBIC Installation and Removal Installing a GBIC in a Cisco 6400 NRP-2SV Module To install a GBIC in a Cisco 6400 NRP-2SV module: Step 1 Attach an ESD wrist strap to your wrist and to the ESD connection socket on the chassis or to a bare metal surface on the chassis or frame. Step 2 Locate the alignment groove on the GBIC (enlargement in Figure 4.) Position the GBIC so that this groove is in the position shown in the enlargement, to ensure that the 20-pin plug on the GBIC is in the correct position. Note GBICs are keyed to prevent incorrect insertion. Step 3 Squeeze the tabs on each side of the GBIC using your thumb and forefinger, and insert the GBIC into the slot on the front panel of the NRP-2SV module(Figure 4). Y Step 4 Using moderate force, ensure that the GBIC is fully inserted into the 20-pin receptacle at the rear of the GBIC slot. The tabs on either side of the GBIC will snap into place when you have completely and properly inserted the GBIC. Step 5 Reattach the SC-type fiber-optic cable to the GBIC. Removing a GBIC AWarning Ultimate disposal of this product should be handled according to all national laws and regulations. Disconnect all cables before removing or installing a GBIC. To remove a GBIC: Step 1 Disconnect the network fiber cable from the GBIC SC connector. Step 2 Release the GBIC from the slot by simultaneously squeezing the two plastic tabs (one on each side of the GBIC). Step 3 Slide the GBIC out of the slot. A flap drops down to protect the GBIC connector. Attaching Multimode and Single-Mode Optical Fiber Cables After you install the GBIC in the NRP-2SV module on your Cisco 6400, you must attach the cables to the GBIC. Note Optical fiber cables are commercially available; they are not available from Cisco Systems. Attach the appropriate optical fiber cable directly to the SC-type receptacle on the GBIC. You can use either simplex or duplex connectors for most devices (Figure 5). • For simplex connectors, two cables are required: one cable for transmit (TX) and a second cable for receive (RX). • For duplex connectors, only one cable that has both TX and RX connectors is required. A Caution If you plan to use a C6400-GBIC-LX/LH at distances greater than 984.25 feet (300 meters)over 50/125-micron or 62.5/125-micron multimode fiber, to prevent data transmission problems you must use the mode-conditioning patch cord. (See the "Attaching the Mode-Conditioning Patch Cord" section.) Accordingly, CTC agrees that,in the event of any breach or threatened breach of this letter agreement, Client in addition to any other remedies at law or in equity which Client may have, shall be entitled,without the requirement of posting a bond or other security,to equitable relief,including injunctive relief and specific performance. 9) Successors and Assigns: Jurisdiction and Governing Law. This letter agreement shall be binding on and inure to the benefit of the parties hereto and their respective successors and assigns. CTC agrees and consents to personal jurisdiction and service and venue in any federal or state court within the State of Illinois having subject-matter jurisdiction,for the purposes of any civil action, suit or proceeding arising out of or relating to this letter agreement. This letter agreement shall be governed and construed in accordance with the laws of the State of Illinois,without giving effect to the conflict of laws provisions thereof. This letter agreement constitutes the entire agreement and understanding between Client and CTC with respect to the Information and supersedes any prior agreement or understanding relating thereto. 6 Terms 10) This quotation is valid for thirty (30) days; work will begin 1 to 3 weeks from receipt of signed agreement unless previous arrangements have been made. 11) Pricing - Pricing is valid for thirty (30) days. Pricing does not include shipping. Pricing does not include sales tax of 6.75%(to be itemized). 12) Non-Compete- Client will agree not to, directly or indirectly, on their own behalf or on behalf of any other person or entity, without the prior written consent of CTC, employ or solicit for employment with client or any other firm or entity, any employee or personnel of CTC or otherwise tortuously disrupt, impair, damage, or interfere CTC with client and CTC's relationships with its employees or personnel. CTC will reserve the right to invoke its remedies if a consultant is approached and/or offered a position. In addition, client will refrain from interviewing any consultants from CTC if the consultant applies for a position at the client site. Furthermore, it is understood that all CTC employees are bound to a non-compete/non-disclosure agreement. Client will also accept responsibility for any legal fees including court costs to CTC to enforce said paragraph, if client is found to be in default. 13) Payment Terms- CTC, which sells hardware/software, requires 75% of the total cost for hardware/software in advance and the remaining 25% balance to be paid upon completion of the project. CTC expects the balance that is owed to be paid net fifteen (30) days upon completion of project. Invoices are required to be paid in full by the invoice due date. A 2% surcharge will be compounded monthly to any outstanding invoice balance, which is not paid in full by the due date. The surcharge will be assessed on the first day of the month following the invoice due date and for every (thirty) 30 days thereafter. Client will also accept responsibility for any legal fees including court costs to CTC to enforce said paragraph, if client is found to be in default. Any invoices may be disputed within(30) days of issue date. Customer must include a written explanation of what portion of the bill is disputed. The written explanation of the portion of the invoice disputed must be addressed to either the CTC Accounting Manager and/or the assigned CTC Sales Representative. Any invoices disputed after(30)days of issuing said invoice will not be considered for credit issuance. 14) Project Additions - Any additions or changes to the project will require written pre-approval by an authorized individual. NO ADDITIONS TO THE ORIGINAL PROJECT WILL BE PERFORMED WITHOUT AN AUTHORIZED SIGNATURE. 15) Locations - All locations must be clear of any obstacles such as office furniture, partitions, pallets, racks, etc. We are not responsible for moving office furniture or partitions. Additional charges may be incurred if our technicians encounter such obstacles. 16) Work Hours - This proposal is based on CTC performing work during an 8 hour day, Monday through Friday, 8:00 AM to 5:00 PM (CTC's holidays excluded). If the client requires CTC to work other than during these indicated times, hourly incremental overtime rates may apply, unless previously arranged. 17) Delays-Delays or subsequent visits caused by the client which result in additional man-hours will be billed to the client at CTC's Time and Material rate. 18) Unforeseen Conditions - Should unforeseen concealed conditions, which affect CTC's performance, be encountered (other than those ordinarily encountered and recognized in this proposal), the client shall bear the added cost. 7 19) Storage -The client shall provide a secure area for the storage of CTC's material if there is a need for test equipment to remain over night. 20)Project Manager - The client shall provide a project manager, accessible at all times during the duration of the project,to provide direction and technical information in case questions arise. 21) Cabling - Any cabling problems encountered during any phase of this project will be the responsibility of the client. Unless CTC has provided installation or has provided upgrades to that particular cabling section, and/or it is under warranty additional charges will apply at CTC's Time and Material rate to correct the problem. 22) Tax Exempt - Client must provide documentation of tax-exempt status if CTC is to withhold sales tax. Conditions 23) Warranty-Any equipment purchased includes the standard manufacturer's warranty. 24) Software Compatibility - CTC states that software purchased from CTC in conjunction with a full unit PC will be compatible with that unit. CTC will not be responsible for the compatibility of software or hardware not purchased from CTC. CTC will also not guarantee the compatibility of software that is not purchased in conjunction with a full unit PC. 25) Purchase Orders -Upon being signed by both parties, this quote becomes an agreement between CTC and the client stating the equipment listed is desired for purchase. Once the quote is signed,CTC will procure the equipment. Client may submit a purchase order in addition to the signed agreement. 26) Labor - Any labor quoted is estimated, CTC will bill for actual time to the 'A hour at no minimum charge. A$30.00 travel fee per consultant shall be applied. 27) Limitation of Remedies - CTC shall not be liable for any damages caused by delay in furnishing equipment. CTC shall not be liable for any damages pertaining to acts of god including, but not limited to floods, tornadoes, earthquakes, fire damage and/or electrical storms. The sole and exclusive remedy for any breach of warranty, express or implied, including without limitation, any warranties of merchantability of fitness, and the sole remedy for CTC's liability of any kind including liability or negligence with respect to sales and services furnished under this agreement and all other performances by CTC under or pursuant to this agreement shall be limited to the re-performance of any defective material or service provided by CTC and shall in no event include any incidental or consequential damages of lost profits. 28) Return Policy - All returns and/or exchanges are subject to a 25% restocking fee unless prior arrangements are made. Any return or exchange must be pre-approved from CTC's customer service department. 29) Amendments - CTC and the client must agree upon any additions or changes to the quote. (4)Attorneys'Fees. In the event of any litigation arising from or related to the services provided under this AGREEMENT,the prevailing party will be entitled to recovery of all reasonable costs incurred, including staff time,court costs,attorneys'fees and other related expenses. (5)Certificate of Merit. The CLIENT shall make no claim for professional negligence,either directly or in a third party claim, against IIS unless the CLIENT has first provided IIS with a written certification executed by an independent consultant currently practicing in the same discipline as IIS in the State of Illinois. This certification shall: a)contain the name and qualifications of the certifier;b)specify each and every act or omission that the certifier contends is a violation of the standard of care expected of a Information Services Professional performing professional services under similar circumstances;and c)state in complete detail the basis for the certifier's opinion that each such act or omission constitutes such a violation. This certificate shall be provided to IIS not less than thirty(30)calendar days prior to the presentation of any claim or the institution of any arbitration or judicial proceeding. (6)Standard of Care. Services provided by IIS under this AGREEMENT will be performed in a manner consistent with that degree of care and skill ordinarily exercised by members of the same profession currently practicing under similar circumstances. (7)Site Safety. Neither the professional activities of IIS,nor the presence of IIS employees and subconsultants at a client site, shall relieve the CLIENT and any other entity of their obligations,duties and responsibilities including,but not limited to,any health or safety precautions required by any regulatory agencies. IIS and its personnel have no authority to exercise any control over any client or other entity or their employees in connection with their work or any health or safety precautions. The CLIENT agrees that it is solely responsible for job site safety,and warrants that this intent shall be made evident in the acceptance of this contract. The CLIENT also agrees that IIS and IIS consultants shall be indemnified and shall be made additional insureds under the CLIENT's general liability insurance policy. (8)Reuse and/or disclosure of information. All project documentation including,but not limited to,designs and specifications furnished by IIS under this project are intended for use on this project only. Any reuse,without specific written verification or adoption by IIS,shall be at the CLIENT's sole risk,and CLIENT shall indemnify and hold harmless IIS from all claims,damages and expenses including attorney's fees arising out of or resulting therefrom. All plans,designs,specifications and any other forms of information,either physical and/or stored in electronic format,that are related to this project shall be considered confidential and shall not be disclosed to any party other than IIS and the CLIENT without prior notice of both parties. (9)Ownership of Instruments of Service. Any equipment or software which has been leased/rented to the CLIENT during the course of this project shall remain the property of IIS upon termination of this agreement or until the end of any term established under separate contract for said equipment. (10)Opinion of Probable Cost. IIS shall submit to the CLIENT an opinion of probable cost required to complete work recommended,designed,or specified by IIS. Hardware and/or software specified by IIS for use in a project and included in an opinion of probable cost shall reflect current pricing at the time. Due to the nature of technology,prices for equipment specified by IIS may be subject to revision at the time of actual purchase. IIS will inform the CLIENT of any changes in pricing prior to final purchase authorization. IIS opinion of probable cost will be based solely upon its own experience with the technology industry. Factors involved in determining prices and market conditions at the time,and other factors over which 115 has no control are not the responsibility of IIS. Due to these potential factors, IIS cannot guarantee the complete accuracy of opinions of probable cost. In recognition of that fact,the CLIENT waives any claim against IIS relative to the accuracy of IIS opinion of probable cost. (11)Dispute Resolution. In an effort to resolve any conflicts that arise during the design or completion of a project or following the completion of a project,IIS and the CLIENT agree that all disputes between them arising out of or relating to this AGREEMENT shall be submitted to nonbinding mediation unless the parties mutually agree otherwise. If the dispute cannot be settled amicably, it shall then be settled by arbitration in the State of Illinois in accordance with the American Arbitration Associates. The Award of the arbitrator shall be conclusive and binding upon the parties. The CLIENT agrees,to the fullest extent permitted by law,to limit the liability of IIS and its subconsultants to the CLIENT for any and all claims,losses,costs,damages of any nature whatsoever or claims expenses from any cause or causes, including attorneys'fees and costs and expert witness fees and costs,so that the total aggregate liability of IIS and its subconsultants to all those named shall not exceed IIS total fee for services rendered on this project,whichever is greater. It is intended that this limitation apply to any and all liability or cause of action however alleged or arising,unless otherwise prohibited by law. (13)Payment. 1. All ongoing work will be invoiced on a monthly basis. All invoices shall be paid within 30 days of the invoice date. All outstanding invoices greater than 30 days shall have 1.5%interest compounded monthly added to the invoice. 2. For any contracts less than$1,000.00,payment will be due upon submittal of the completed work to the CLIENT. All hardware,software,peripherals and related items(EQUIPMENT)purchased from or through IIS shall be subject to the following terms and conditions. The Customer agrees to purchase and IIS agrees to sell all EQUIPMENT listed in accepted quotes or appendices provided by IIS. Accepted quotes or appendices shall be discussed and agreed upon by both the CLIENT and IIS prior to all purchases. CLIENT shall indicate acceptance through authorization of all purchase orders provided by IIS. No purchases shall take place without a CLIENT authorized purchase order. The amount authorized on the purchase order shall be considered the purchase price of the EQUIPMENT. (2)Delivery and Installation. Delivery shall be made either by the manufacturer/reseller directly to the address of the CLIENT or by IIS. Either the manufacturer/reseller or IIS shall perform any required installation tasks as set forth by the terms of the contract scope of work. Any delivery or installation charges due to the manufacturer/reseller shall be the responsibility of the CLIENT. IIS is not responsible for any EQUIPMENT delivery delay which may cause complications in pre-established project time frames between IIS and CLIENT. (3)Substitution. In the event any of the EQUIPMENT agreed upon for order is not available at the time of order or shipment, IIS will offer a substitution option to the CLIENT. Any EQUIPMENT substituted will be of equal or greater value to that of the original quote. No equipment shall be substituted without prior authorization from the CLIENT. IIS is not responsible for any EQUIPMENT substitution delay which may cause complications in pre-established time frames between IIS and CLIENT. (4)Taxes and Others Charges. In addition to the purchase price,the CLIENT shall be responsible for all transportation charges, all taxes and any special charges required to complete delivery of EQUIPMENT ordered on behalf of the CLIENT. If additional labor,rigging or equipment are required for delivery or installation due to CLIENT special site requirements,CLIENT shall be responsible for such charges. CLIENT shall not deduct any charges for transportation,taxes or special charges from any payment to IIS for the purchase of EQUIPMENT authorized by CLIENT on the purchase order. (5)Manner of Payments. The purchase price for EQUIPMENT ordered from or through IIS and any other charges arising from such purchase shall be payable to IIS in the following manner: (A) A percentage of the purchase price shall be payable to IIS upon execution of the purchase order by the CLIENT. This percentage shall be applied to the final amount due to IIS upon delivery of said EQUIPMENT to the CLIENT site. (B) The balance of the purchase price,together with any transportation charges,taxes and special charges shall be paid to IIS upon delivery of the EQUIPMENT to the CLIENT. (C) Any transportation charges,taxes and special charges incurred following delivery of EQUIPMENT to CLIENT shall be payable to IIS within ten(10)days of receipt of such charges. (6)Currency. The purchase price as set forth on the authorized purchase order and any other charges stemming from the execution of the purchase order shall be invoiced and payable to IIS in the form of U.S.dollars. (7)Late Payment. The CLIENT shall pay a late payment charge of one and one half percent(1.5%)per month,or the maximum late charge permitted by applicable law,whichever is less,on any amount payable by the CLIENT under this agreement which is not paid when due. Said late payment charge shall be applied for each calendar month(or fraction thereof)that such payment is not made following its due date. (8)Title. Until such time as the purchase price and any other charges payable to IIS as of the date of delivery have been paid in full,the EQUIPMENT and all related items thereof shall remain the property of IIS and,at the option of IIS,shall be returned to IIS at the CLIENT expense in the event the purchase price is not paid as set forth in Items 4,5&6 of this agreement. (9)Security. IIS reserves and CLIENT grants to IIS a security interest in the EQUIPMENT as security for the performance by the CLIENT of its obligations hereunder including,but not limited to, payment of the purchase price and other charges as specified in Items 1-7 of this agreement. (10)CLIENT Obligations. (A) RISK OF LOSS. From and after the date of delivery,the risk of loss or damage to the EQUIPMENT shall be the responsibility of the CLIENT. (B) OPERATION. CLIENT acknowledges and agrees that it is exclusively responsible for the operation,supervision,management and control of the EQUIPMENT, including,but not limited to,providing adequate training for its personnel,instituting appropriate security procedures and implementing reasonable procedures to examine and verify proper operation of EQUIPMENT.
