Approval/Corrections of Minutes: November 22, 2004 and December 27, 2004: Alderwoman Burd asked that the November 22, 2004 minutes be clarified regarding a conversation documented on Page 8, Paragraph 4. The 4th sentence should be revised to read, "Mr. Freeman stated that there was a good probability that the water supply was safe." The rest of the minutes for both meetings were unanimously recommended for approval. New Business: 1. Elizabeth Street Drainage Ditch: Mr. Wywrot reviewed his 1/7/05 memo regarding this ditch. Since IDOT will be re-directing most of the flow that this ditch carries when Route 47 is reconstructed, he recommends waiting until then before doing anything permanent. Mr. Schnitz asked when IDOT would be doing that work; 5 — 10 years maybe? Mayor Prochaska said the City would use this problem as another reason to have DOT bring their Route 47 project to construction sooner. All 3 residents expressed concern about their neighbor Harold who is always dumping brush and grass clippings into the drainage swale. Apparently Harold feels this is an environmentally sound practice, but it also tends to block the drainage path and cause flooding and erosion problems upstream. The neighbors have talked to him about it to no avail. Mr. Dhuse said that he had checked the plats for this area an could not find any dedicated drainage • Page 2 of 5 easements for the ditch. Mayor Prochaska asked Mr. Wywrot to consult with City Attorney Wyeth regarding the blocking of the swale. Mayor Prochaska directed Mr. Dhuse to evaluate the ditch this coming spring and place erosion- control measures where possible. Presentations: Southeast Water Works System Extension by Engineering Enterprises Mr. Freeman explained that the purpose of the system analysis was to determine locations of pressure zone boundaries, storage facilities, wells, large diameter distribution mains, and booster/pressure reducing stations. By having this analysis readily at hand, the City can discuss water improvement needs with developers and determine what should be constructed as development occurs. Mayor Prochaska asked why a watermain wasn't indicated to cross the Fox River at Eldamain Road. Mr. Freeman said that due to the high bluffs on the south side of the river, construction and maintenance of a watermain in that area would be difficult. It may be possible to construction a crossing at that location, but without more detailed information it is best to show crossings at other locations. Alderman Sticka asked what the next step would be for the analysis. Mayor Prochaska suggested that the analysis become part of the city's Comprehensive Plan. Mr. Freeman and Alderman Sticka agreed. Mr. Wywrot said that the analysis should cover the entire town if it is to be part of the Comprehensive Plan. Mr. Freeman said that much of the analysis for the north end is already complete, but would need some minor revisions. The committee directed Mr. Freeman to prepare a proposal to finish the water system analysis by including the north end of town, and recommended placing that proposal on the February 15, 2005 Committee of the Whole agenda for discussion. New Business (cont'd): 2. In-Town Road Program—Additional Engineering Costs Mr. Wywrot explained the Smith Engineering's contract with the city included design of a storm sewer system, but did not include lengthy coordination with the Illinois Department of Natural Resources. Design of the Fox River outfall has required extensive discussions with IDNR, and this request from Smith in the amount of$9640 is for that work. The Committee unanimously recommended that the request for additional costs be approved and that this item be placed on the February 1, 2005 Committee of the Whole agenda as a Consent Agenda item. 3. Faxon Road Extension—MFT Appropriation Resolution Mr. Wywrot explained that the City Council had approved an engineering agreement with EEI last summer for this work with the intention of using MFT Page 3 of 5 funds, but did not pass a corresponding MFT appropriation resolution. After discussing the ramifications of using MFT funds,the staff recommendation is to pass the appropriation resolution in the amount of$45,500. The committee unanimously recommended that the MFT resolution be approved and that this item be placed on the February 1, 2005 Committee of the Whole agenda as a Consent Agenda item. 4. Dump Truck Purchases Mr. Dhuse explained that as part of the Public Works Department equipment replacement and addition schedule, it is time to replace one tandem-axle truck and also purchase an additional single-axle truck. Ordering this equipment now will ensure that it is available for snow-plowing next winter. The committee unanimously recommended that this item be placed on the February 1, 2005 Committee of the Whole agenda for discussion of funding. 5. Street Sweeper Purchase Mr. Dhuse explained that as part of the Public Works Department equipment replacement and addition schedule, it is time to purchase a street sweeper. He has asked City Attorney Wyeth whether the City can purchase the sweeper through the GSA program, which will save time and money. This sweeper will cost $150,000 to $180,000, and should last around 15 years. The committee unanimously recommended that this item be placed on a future Committee of the Whole agenda for discussion once Attorney Wyeth gives his opinion on the purchase program. 6. Storm Water Software and Training Mr. Wywrot explained that our new Subdivision Control Ordinance allows for developers to utilize computerized methodologies for storm sewer system design. While EEI currently reviews these designs for the larger developments, we perform reviews in-house for the smaller developments and need to have the capability to review computerized designs. There are two software programs that dominate the market,those being Pondpack and HEC- HMS. Pondpack is a privately developed software package, while HEC-HMS was created by the US Army Corps of Engineers. Mr. Wywrot had not planned on choosing HEC-HMS because it is relatively new software and he had heard that it still had to have some"bugs" worked out of it. Upon talking to EEI in the last few days, he learned that those bugs have been worked out and that it is now a reliable and accurate software program. The cost to purchase the Pondpack software is $2000, with a training seminar cost of another $2000, and with annual subscriptions totaling about $700 thereafter. The HEC-HMS software can be obtained at no cost, but training will cost around $1100. There is a Pondpack training seminar in Chicago this coming May, but there is no local seminar for HEC-HMS in 2005. Mr. Wywrot recommended choosing the HEC-HMS software, with training to occur in Denver this coming June. The Page 4 of 5 Committee recommended that we obtain the HEC-HMS software and purchase the training in Denver. Since the current budget does not specifically list this training seminar, this item will be placed on the February 1, 2005 Committee of the Whole agenda for discussion. 7. Saravanos Property—Earthwork Letter of Credit Reduction #1 8. Heartland Circle—Letter of Credit Reduction #2 9. Kylyn's Ridge Unit 2—Letter of Credit Reduction #2 Mr. Wywrot recommended that these three items be discussed at the same time since they are similar in nature. He explained that all three developments have progressed with construction, and that reductions to the letters of credit are logical. The committee unanimously recommended that Mr. Wywrot's recommended reductions be approved and that these items be placed on the February 1, 2005 Committee of the Whole agenda as Consent Agenda items. 10. Countryside Pump Station—IDOT Highway Permit Mr. Wywrot explained that this is project has frontage on Route 47, with a driveway directly across from Carpenter Street. Since the project includes construction within the DOT right-of-way, a highway permit is required. A corresponding resolution guaranteeing completion of the work is also required in lieu of a bond. The committee unanimously recommended that this item be approved and placed on the Committee of the Whole agenda of February 1, 2005 as a Consent Agenda item. 11. Cannonball Trail Roadway Improvements—Change Order#1 Mr. Wywrot explained that this is the final balancing change order for this project. The net change is an increase in cost of$4572.06. The largest overrun was for landscape-related work. The project included an overlay and paving of shoulders, and the increase in pavement height and shortening of the parkway embankment width resulted in much steeper embankment slopes than anticipated. We instructed the contractor to import additional topsoil to moderate the parkway embankment slopes, resulting in additional costs for topsoil and creating a larger area to be re-seeded. The committee unanimously recommended that this item be approved and placed on the Committee of the Whole agenda of February 1, 2005 as a Consent Agenda item. 12. Rob Roy Creek Interceptor Contract#2—IDOT Highway Permit Mr. Wywrot explained that this project crosses Route 34, and is similar to the permit request for the Countryside Pump Station. We don't have the actual permit application yet; DOT has to revise it to change the name of the applicant from YBSD to the city. The committee unanimously recommended that this item be approved and placed on a future Committee of the Whole agenda as a Consent Agenda item once the permit application form and corresponding resolution is received. Page 5 of 5 Old Business: 1. Aux Sable Creek— 100 year storm release rate Mr. Wywrot explained that we have asked the county to take the lead on this matter to see if the Rempe-Sharpe study commissioned by Joliet is accurate and reasonable. Yorkville would participate in funding the review of that study. Mr. Wywrot will check with the county to see if they are going to proceed and report back to the Public Works Committee at next month's meeting. Additional Business: 1. Mayor Prochaska asked that the Public Works Department clear snow from the sidewalk along the west park in Fox Hill. There is a school bus pick-up at this location and he has received calls from concerned parents about their children having to stand in the street while waiting for the bus. Mr. Dhuse said that he was aware of this problem and the sidewalk has already been cleared. 2. Mr. Dhuse said that if any aldermen had projects that they wanted to get done next year they should let him know and he will try to incorporate them into next year's budget. Alderwoman Burd asked about constructing brick paver cross walks at some locations downtown. Mr. Dhuse will check on the type of pavers available. Alderwoman Burd also asked if the gravel area just north of the grain elevators on Mill Street could be paved. Mr. Dhuse said that this property was owned by Illinois Railnet. Alderwoman Burd said that a joint agreement could be worked out with the railroad company. 3. Chairman Alderman Besco commented that the Public Works Department did a good job of plowing after this past weekend's snowstorm. The meeting was adjourned at 8:23pm. CC: Subject: Proposed Parkway Tree Policy Joe, Here is the first draft of the proposed parkway tree policy. I would like to place this on the public works meeting agenda for February 28, 2005. If you have any questions, please let me know. ► T PUBLIC WORKS DEPARTMENT Parkway Tree Maintenance Procedures and Policies The Director of Public Works is responsible to manage, monitor, oversee all services, programs and projects that are associated with parkway tree maintenance within the United City of Yorkville's corporate boundaries and located on the City's Rights of Ways. Parkway Tree Removal Removals are performed by the City Crews unless the condition requires a private contractor specialize in climbing or has specialized equipment (clam truck). a. Potential removals are recognized by: 1. Residential requests by telephone, or a representative (alderperson) to Public Works. Office staff is notified then completes a typed service request forum distributed to the Street Crew Chief to investigate. 2. Request by City employees upon notification from visual observance. 3. Request by the United City of Yorkville Police Department upon a request from a resident, motorist, pedestrian, merchants or visitors to the community. b. Removals are determined: 1. Hazards- hazards are defined as of creating or have the potential to cause personal injury to humans or animals; damage to structures, vehicles, and other plants/vegetation. 2. All removals must be creating a hazard or the potential to cause injury or damage. 3. Diseased trees have the potential to spread a disease to other plants, trees, and vegetation. 4. Dead tree. 40%or more of the tree is dead. 5. Trees that are hollow and have the potential to fall. 6. If any tree located on the City's right of way falls into any of the above conditions, the tree is then classified for removal and is assigned a degree condition. ■ Class 1 is immediate hazard; removed as soon as possible. f AFT ■ Class 2 is low hazard, no immediate hazard: remove within 10 workdays. ■ Class 3 is NON-hazardous tree; removal when time allows. 7. The Director of Public Works must authorize all removals prior to being added to the removal list. d. Notification of the affected resident or customer: 1. The Street Foreman will notify the affected party of the results from the inspection and the City's recommendation. 2. If contact can not be made a certified letter will be sent notifying the Owner of record citing the necessary reasons for removal. e. Resolution of discrepancy with affected party or resident. 1. If the affected party is resistant to the City's recommendation, and then the City will hire a consultant that is qualified to inspect, provide results and acceptable solutions. A Certified Arborist is the most qualified professional position. 2. After the consultant has performed the inspection and provided recommendations, the Street Foreman will meet with the Director of Public Works to discuss the situation and the possible City recommendation. 3. After consulting with Director of Public Works, the Street Foreman will draft a letter to the affected party identifying the consultant's inspection, the results of the inspection, the acceptable solutions, the City's recommendation and the time schedule to resolve the tree issue if it is required. This letter is to be copied to: • Director of Public Works • City Administrator • Mayor • City Attorney • The affected Alderpersons f. Consultation by a Certified Arborist 1. Until the City has a Certified Arborist on staff, the City shall utilize a qualified consultant that is a Certified Arborist to provide information and suggestions regarding vegetation when City staff is unable to identify do so. 2. A Certified Arborist shall be used for consultation in the event there is discrepancy with an affected party that does not agree with City staffs recommendation. g. Tree removal process, personnel involved, stump removal and backfilling. NAFT 1. All personnel shall be trained prior to performing any tree removal duties. 2. A qualified and properly trained tree topper shall be on site for a tree removal requires the use of a bucket truck. 3. All United City of Yorkville safety policies and procedures shall be strictly used and enforced at all times. 4. All United City of Yorkville Personnel Manual policies and procedures shall be strictly used and enforced at all times. 5. Prior to beginning the tree removal job task, the crew leader shall attempt to notify the affected party of the scheduled activity, the process involved and of any inconviences that may occurred to the affected party. h. Planting of replacement trees. 1. Any time a tree is removed on the City's right of way; City staff must inspect the possibility of planting a new tree in a location near the tree removal. 2. All potential new tree plantings must still conform to the Parkway Shade Tree Planting Specifications. II. Parkway Shade Tree Planting a. The City recognizes potential tree planting by: 1. Residential requests by telephone or by a representative (alderperson) to Public Works. 2. Requests by a City staff employee upon visual observance. 3. From parkway tree removals. New plantings are a priority at removal sites if possible. b. Tree planting sites are determined by: 1. All Sites must be located on the City owned property or City's right of way. c. Potential planting requests and sites are determined: 1. All requests are typed on service requests forms by office personnel and distributed to the Director for inspection. The Street Foreman will inspect all potential sites for a final recommendation based upon the City's tree planting specifications. 2. The Director is qualified to inspect and make final recommendations. d. City Personnel: 1. United City of Yorkville safety policies and Personnel Manual policies shall be strictly used and enforced at all times. DRAFT d. Notification of the affected party or resident. 1. The Director or designee shall notify the affected party of the results 2. Upon arriving at the planting site, the designated crew leader will attempt to notify the affected party, if no response or the attempt fails due to the affected party not being available, the crew is authorized by the Director to plant the tree. e. Plant varieties 1. All plant varieties are in accordance with the United City of Yorkville's Landscape Ordinance. 2. All varieties selected are the most adaptable, acceptable and recommended for parkway use in this geographical region. 3. Varieties may change as new strains and research develops. f. Contractors 1. Contractors may be hired by the City to perform tasks in accordance with established planting specifications. 2. The use of a Certified Arborist and the services of Morton's Arboretum shall be utilized as needed by City staff III. Parkway Tree Pruning/Trimming Properly trained City crews perform pruning. All staff has received proper pruning/trimming method training by a Certified Arborist and re-trained annually. a. The City recognizes potential pruning/trimmings: 1. Residential requests by telephone or by a representative (alderperson) to Public Works. An office staff personnel completes a typed service request form and distributes to the Street Foreman. 2. Request by City personnel upon visual observance. 3. Requests by the Yorkville Police Department. b. The City determines pruning/trimming by: 1. Limbs/branches that creating a hazardous condition or a safety issue are the first priority. • Sight Obstructions • Pedestrian obstructions • Motorists' obstructions • Dead, diseased limbs • Limbs that are damaging a structure • Limbs/branches obstructing electrical lines • Limbs/branches obstructing street lights DRAFT 2. Corrective pruning/trimming is performed will time allows, typically after the hazards are completed. Corrective method is to promote healthy growth of the trees, not eliminate any hazards. 3. All scheduled pruning/trimming must be authorized by the Street Foreman prior to pruning/trimming any City tree. c. City staff members that perform the investigate and determination: 1. The Street Foreman receives the completed service request foiin from the office personnel. He then inspects the request and then makes a determination based on the above criteria. If he needs assistance, he consults with the Director of Public Works. 2. The Director can and periodically investigates service requests for trimming tasks. d. What pruning/trimming standards does the City use? 1. The standard the City has adopted and utilizes the "Standard Practice for Trees, Shrubs and Other Woody Plant Maintenance Standard ANSI A300" or the most recent ANSI standard. 2. All pruning/trimming must strictly conform to this ANSI A300 Standard. No deviations shall be allowed without receiving prior authorization from the Director. e. Notification of the affected party or resident. 1. The Street Foreman will notify the affected party of the results of the inspection and the City's recommendation and schedule. 2. Upon arriving at the pruning/trimming site,the designated crew leader shall make an attempt to contact the affected party prior to starting the job task. If the affected party does not respond or is unavailable, the crew is authorized by the Director of Public Works to perform scheduled task. f. Resolution of discrepancy with affected party or resident. 1. If the affected party is resistant to the City's recommendation, and then the City will hire a consultant that is qualified to inspect, provide results and acceptable suggestions. A Certified Arborist will be used to provide a professional diagnosis. 2. After the consultant has performed the inspection and provided recommendations, the Street Foreman will meet with the Director of Public Works to discuss the situation and the possible City recommendation. At this time the Director of Public Works and the Street Department Foreman will make a decision. 3. After consulting with the Director of Public Works, the Street Foreman DRAFT will draft a letter to the affected party, identifying the consultant inspection, the results of the inspection, the acceptable solutions, the City's recommendation and the time schedule to resolve the tree condition if it is necessary. Contractors may be employed by the City to perform pruning/trimming in accordance with specifications established by the United City of Yorkville. 2. Center Street Attached find a request from Mr. Doug Pierson of 103 W. Center Street to replace the public sidewalk across the front of his property. Mr. Pierson had approached us last year about doing this, but at the time he was constructing a new house at this address and didn't want us to replace it and then possibly have it damaged by his construction activities. We evaluated the sidewalk at that time and agreed that it was in poor condition and eligible for the sidewalk replacement program. Mr. Pierson ended up replacing the sidewalk himself, and is now asking for the city to reimburse him for 60% of that cost. He had several contractors work on the sidewalk as the house was being built, and therefore does not have an invoice to document the actual cost. That issue resolved itself when the developer decided to drill a supply well into the St. Peter aquifer to provide that water. Tapping that aquifer should not affect either nearby shallow private residential wells or our deeper municipal wells. We are seeing a trend, however, for non-residential developments such as banks and restaurants having permanent irrigation systems that tap off the city water system. I recommend that we develop a policy with respect to irrigation of non-residential properties. Perhaps the policy should be limited to common open-space only, but I believe it warrants more discussion. The bid package is nearly complete, with the only remaining item being possible revisions to the logo. Attached find a drawing of the logo that we proposed. This is identical to the logo painted on our three newest towers, with the exception of the font- style for"YORKVILLE". All of our towers currently have an Arial font. We are suggesting switching to a Dutch801 XBd BT font. In checking the dimensions of the two fonts, the Dutch font needs about 5 more feet in length than the Arial, and actually should be 60 feet in length for proper spacing. In order to make the entire word readable, however, it needs to be shortened so it doesn't wrap around too much of the tower bulb. Smith Engineering has been working closely with IDNR to design an outfall that meets both our needs and the DNR's requirements. The design takes the future Glen Palmer Dam improvements into account. I have reviewed the document, and while the legal description for the easement is pretty vague, it's adequate enough for the DNR so it should be acceptable for our purposes. Smith Engineering is preparing a separate plat of easement that will show the exact location of the easement, and we can attach it the easement document when we return it to the DNR. The language on Page 8 at first seems to conflict with the concept of granting a permanent easement, because it states that the easement will expire in one year. Upon further review, however, it states that what is expiring is the right of access for construction (in other words, a temporary easement). TAXES: Upon notice to LICENSEE of the amount(s)due,LICENSEE shall pay and discharge, when due and payable, LICENSEE's proportionate share of any real estate taxes, assessments, and other governmental charges which may be levied, assessed or become liens upon the PREMISES or any part thereof, and any taxes and licenses growing out of or in connection with LICENSEE's operation of its facilities upon the PREMISES during the term of this Agreement with respect to any tax year,or any portion thereof; provided, however, that no law or regulation postponing the date of payment of such taxes, assessments, or charges until after any termination of this Agreement shall relieve LICENSEE of 4 LICENSEE's obligation to make such payment.LICENSEE shall,at any time upon request of IDNR,exhibit to IDNR for examination receipts of payments of all such taxes, assessments and charges. 9. DISCRIMINATION: IDNR and LICENSEE shall not discriminate unlawfully on the basis of race, color, sex, national origin, age or handicap in admission to, or treatment or employment in, programs or activities. 10. CERTIFICATIONS: LICENSEE certifies that neither LICENSEE nor its officers nor employees have been convicted of bribery or attempting to bribe an officer or employee of the State of Illinois,nor has LICENSEE made an admission of guilt of such conduct which is a matter of record, nor is LICENSEE otherwise barred from being awarded a contract or subcontract under Section 10.1 or 10.3 of the Illinois Purchasing Act.LICENSEE certifies that neither LICENSEE nor its officers nor employees have been barred from bidding on this contract as a result of a violation of Section 33E-3 or 33E-4 of the Criminal Code of 1961. RESTORATION OF PREMISES: LICENSEE shall restore any disturbances of the PREMISES caused by LICENSEE, or resulting from the granting of this License,to the reasonable satisfaction of IDNR. 13. SUCCESSORS: All the covenants and conditions of this License Agreement shall be binding on and extend to the successors, assigns, contractors, and legal representatives of the parties hereto. 14. CANCELLATION: Should it be determined by IDNR that the PREMISES are required for public purposes incompatible with this Agreement,LICENSEE shall,upon demand by IDNR,surrender the PREMISES and remove LICENSEE's personal property therefrom within ninety(90)days of said demand. This Agreement shall be revokable for noncompliance by LICENSEE with any of the terms herein within thirty (30) days of notice of noncompliance and failure to cure, or cessation of use, or abandonment by LICENSEE, or bankruptcy of LICENSEE, either voluntary or involuntary, whether through discharge or restructuring of debt.LICENSEE shall have the right to terminate this Agreement prior to the expiration date by giving IDNR sixty (60) days of advance written notice of the date of termination. LICENSEE may properly abandon all or any portion of its facilities upon expiration or early termination of this Agreement upon the prior written consent of IDNR. 15. PUBLIC SAFETY: Should it be determined reasonably by IDNR that a particular use of the PREMISES by LICENSEE is, or will be, hazardous to the public or the property, LICENSEE upon notice by IDNR, shall install safety devices or make modifications at LICENSEE's sole expense to render the PREMISES safe for, and compatible with, public use. In the event LICENSEE fails to install such safety devices or make required modifications within thirty(30)days,or,if such modifications cannot be completed within said time frame, LICENSEE fails to begin working expeditiously to render the PREMISES safe for the public, IDNR may install such safety devices or make such modifications at LICENSEE's expense, and may cancel this Agreement, and all rights of LICENSEE hereunder shall be forfeited. 16. RENEWAL AND RATE ADJUSTMENT: This Agreement may be renewed at the end of its term, providing that sixty (60) days advance notice to IDNR has been given. However, any renewal shall be at the express written consent and approval of both parties hereto, and IDNR reserves the right to adjust rental rates on an annual basis to reflect current land values and/or conditions and circumstances. APPLICABILITY AND SEVERABILITY: IDNR and the LICENSEE mutually acknowledge that various standard provisions of this Agreement may or may not be pertinent to the proposed purpose,and that each such provision shall be interpreted as it reasonably pertains to the PREMISES. If any provision of this Agreement should be found illegal, invalid or void, said provision shall be considered severable. The remaining provisions shall not be impaired and the Agreement shall be interpreted to the extent possible to give effect to the parties' intent. 7 SPECIAL PROVISIONS: (a.) (2002); and WHEREAS, the CITY requested the DEPARTMENT to investigate the Glen Palmer Dam site to diminish or remove the public safety concerns created by the existing spillway configuration which ultimately resulted in the development of the PROJECT; and WHEREAS, the CITY recognizes the dam as a integral part of the CITY's history and economy and recognizes the dam as a recreational destination for local citizens, tourists, and sportsmen alike; and WHEREAS, the CITY, through prior resolution 2001-7 approved by the CITY on February 28, 2001, strongly urged the DEPARTMENT to preserve the existing dam in the CITY while making such safety enhancements that will protect persons from harm and create an ecologically safe passageway for fish and water craft to move both upstream and downstream of the dam without harm to the environment; and WHEREAS, the DEPARTMENT has developed improvements for the state owned Glen Palmer Dam which consists of: modifying a portion of the dam spillway with a 4-step concrete spillway and fish ladder, modifying the remainder of the dam spillway with a divider island and whitewater bypass channel/fish passage along the south bank of the river, appurtenances, and any environmental mitigation hereinafter referred to as the "PROJECT', and WHEREAS, based on a document entitled "Yorkville/Glen Palmer Dam Alternative Analysis and Preliminary Design -December 2003," prepared by Teng and Associates for the DEPARTMENT and filed with the Illinois General Assembly in summary form, it has been determined that while the DEPARTMENT prefers the ecologically beneficial removal of the dam, the PROJECT satisfies the state's objectives for safety, ecological improvements and recreational developments while minimizing land rights necessary to improve public safety, and that the DEPARTMENT should proceed to implement the PROJECT; and WHEREAS, the DEPARTMENT has jurisdiction over State property at the Yorkville Dam of the Fox River, located in Kendall County and known as Riverfront Bicentennial Park; and WHEREAS, the CITY currently operates Riverfront Bicentennial Park under Agreement Number 645A with the DEPARTMENT, dated April 25,1991 and revised January 15, 1999, and incorporated herein by reference, for open space, recreational purposes, and the operation of a 16-inch water line across state owned property, including the Fox River; and WHEREAS, the CITY recognizes the PROJECT as an integral part of their further development of the Riverfront Bicentennial Park in the CITY; and WHEREAS, the DEPARTMENT has approved participation in the PROJECT to the extent allowed by its statutory authority under the "Des Plaines and Illinois Rivers Act," 615 ILCS 60/3 (2002); and WHEREAS, the Illinois General Assembly has appropriated funds to the DEPARTMENT from the Capital Development Bond Fund under Public Act 93-0842, Article 93, Sections 105, that includes funds for this PROJECT; and WHEREAS, the DEPARTMENT has determined that the execution of this AGREEMENT is not subject to the signature requirements of the "State Finance Act," 30 ILCS 105/9.02 (2002). WHEREAS, under penalties of perjury, the CITY certifies that 36-6006169 is its correct Federal Taxpayer Identification Number and that the CITY is doing business as a government entity; and NOW THEREFORE, for and in consideration of the benefits to be derived from the completion of the PROJECT, the sufficiency of which is hereby acknowledged, the parties hereto agree to the following terms and conditions: A. SPECIAL CONDITIONS 1. The recitals set forth are incorporated by reference and made a part hereof, the same constituting the factual basis for this transaction. • 2. The PROJECT will be constructed by the DEPARTMENT in two stages, identified as STAGE 1 and STAGE 2 in this AGREEMENT. STAGE 1 will include that work necessary to modify the existing dam spillway with a four step spillway, fish ladder and to construct a temporary spillway in the vicinity of the future bypass channel. STAGE 2 will include that work necessary to remove the temporary spillway constructed in STAGE 1 and to construct a permanent divider island and bypass channel/fish passage along the south bank of the river including any landscaping and appurtenances necessary to complete the PROJECT. 3. STAGE 2 of the PROJECT will proceed based on the availability of funds, accepted design plans, permits and land rights necessary to complete the stage. In the event the CITY wishes to proceed with implementation of STAGE 2 of the PROJECT without DEPARTMENT funding, the DEPARTMENT agrees to cooperate in the exchange of existing PROJECT documents with the CITY to facilitate the CITY's efforts. 2 4. The 2003 estimated cost of the two phased PROJECT is $6,800,000. The DEPARTMENT's funding obligation will cease immediately without penalty or further payment being required if in any fiscal year the Illinois General Assembly fails to appropriate or otherwise make available sufficient funds for the PROJECT. 5. The DEPARTMENT will not approve the award of a construction contract for STAGE 1 of the PROJECT until the CITY has adopted and furnished to the DEPARTMENT a proper resolution providing that sufficient CITY funding will be set aside to adequately operate and maintain the PROJECT as defined herein. 6. The previous Agreement Number 645A entered into on April 25, 1991 and revised January 15, 1999 between the CITY and the DEPARTMENT is hereby declared null and void and is hereby replaced in total with the terms of this new AGREEMENT between the parties. 7. All provisions of this agreement will be binding upon the successors and assigns of the parties hereto. 8. This agreement may only be modified, assigned, supplemented, amended or terminated by mutual agreement, in writing, by the parties hereto. B. DEPARTMENT OF NATURAL RESOURCES 1. The DEPARTMENT will prepare or cause to be prepared, the final design plans, specifications, operation and maintenance manual, and contract documents; advertise for bids; make the contract award; supervise the construction (resident engineering); and pay for all the construction costs associated with the PROJECT. The CITY will pay for all design and construction costs associated with any enhancements added to the PROJECT at the request of the CITY. The PROJECT may be constructed in phases as determined by the DEPARTMENT. 2. The DEPARTMENT will designate on the plans all designated boundaries of the lands, easements, and rights-of-way, hereinafter referred to as "PROPERTY RIGHTS," required for the construction, environmental mitigation, operation and maintenance of the PROJECT. The DEPARTMENT will also designate, on the plans or in writing prior to the CITY commencing acquisition, the minimum title, right or interest required in each parcel of land to ensure the proper construction and future integrity of the PROJECT. 3. The DEPARTMENT will assume all responsibility for the structural repair and/or rehabilitation of the PROJECT after construction completion to ensure that it will serve the intended purpose for the life of the PROJECT. Any necessary work concerning concrete PROJECT features and any other PROJECT features related to the structural integrity of the PROJECT will be the responsibility of the DEPARTMENT. 4. The DEPARTMENT hereby grants to the CITY the right to enter upon any property rights held by the DEPARTMENT necessary for operation, maintenance inspection, and maintenance of the PROJECT as defined herein. 5. The DEPARTMENT will be responsible for obtaining all federal and state permits required to construct, operate, and maintain the PROJECT. All permits will be applied for in the DEPARTMENT's name. The CITY will be responsible for obtaining any local permits required for the PROJECT. The DEPARTMENT will be responsible for all PROJECT inspections and reports associated with the issuance of a state Dam Safety permit. 3 6. The DEPARTMENT will make periodic inspections subsequent to the completion of the PROJECT to ensure that adequate maintenance is being performed on the PROJECT. Should the DEPARTMENT determine that a maintenance problem exists, a joint inspection will be scheduled and made by the CITY and the DEPARTMENT. Failure of the CITY to properly maintain the PROJECT as defined herein and as indicated by a written report of such inspection, will permit the DEPARTMENT, upon thirty (30) days written notice and continued failure of the CITY to perform the necessary maintenance work, to enter upon any of the PROJECT property rights and perform such maintenance work. In this instance, the CITY will reimburse the DEPARTMENT for any and all costs that may be incurred by the DEPARTMENT in connection therewith. C. UNITED CITY OF YORKVILLE 1. The CITY will review and comment in writing to the DEPARTMENT on the final design plans and specifications and on the operation and maintenance manual for the PROJECT prior to the DEPARTMENT advertising for construction bids. 2. The CITY, without cost to the DEPARTMENT, will acquire and convey to the DEPARTMENT, title to all PROPERTY RIGHTS, not currently held by the DEPARTMENT required for the construction, operation, and maintenance of the PROJECT. All expenses associated with PROPERTY RIGHTS acquisition including title commitments, attorney fees, appraisal costs, plat preparation, recording costs and any other incidental expenses will be borne by the CITY. Prior to the DEPARTMENT advertising for bids, the CITY will furnish to the DEPARTMENT copies of the conveyance documents on all PROPERTY RIGHTS acquired for the construction, operation and maintenance of the PROJECT for review and approval by the DEPARTMENT. 3. The CITY, without cost to the DEPARTMENT, will acquire and convey to the DEPARTMENT, PROPERTY RIGHTS for any environmental mitigation required as a result of the construction of the PROJECT. All expenses associated with PROPERTY RIGHTS acquisition including title commitments, attorney fees, appraisal costs, plat preparation, recording costs and any other incidental expenses will be borne by the CITY. Prior to the DEPARTMENT advertising for bids, the CITY will furnish to the DEPARTMENT copies of the conveyance documents on all PROPERTY RIGHTS acquired for the mitigation of the PROJECT, if necessary, for review and approval by the DEPARTMENT. • 4. The CITY hereby grants to the DEPARTMENT the right to enter upon any PROPERTY RIGHTS held by the CITY necessary for construction, construction inspection, operation, maintenance, maintenance inspection and in the event the provisions of Item B-6 herein are invoked by the DEPARTMENT for failure of the CITY to operate and maintain the PROJECT. CITY will permit the use of any CITY-owned streets or alleys by the DEPARTMENT or its assigns as necessary to construct, inspect, operate and maintain the PROJECT. 5. The CITY, without cost to the DEPARTMENT, will assume responsibility for the operation and maintenance of the PROJECT in accordance with the operation and maintenance manual, to ensure that the PROJECT will serve the intended purpose. Maintenance will include, but not be limited to, keeping the area clear of all trash and debris, or any other matter that might tend to impede proper and free flow of water. All structures, including riffles, pools, trails, bridges and the divider island will be kept clean of any and all debris and will be maintained in a satisfactory condition. All PROJECT signage will be maintained in a satisfactory condition. Grass covered areas will be mowed to a height of six 4 • inches or less at least twice each year. On areas that cannot be mowed, measures will be taken at least annually to maintain the designated landscape plantings and eliminate unwanted woody growth larger than one-half inch in diameter. The CITY will keep all concrete and rock surfaces free of graffiti and unnecessary markings and maintain and repair all fencing and handrailing associated with the PROJECT. Measures will also be taken as conditions require to correct any erosion problems associated with the PROJECT. 6. The CITY will be responsible for expeditiously notifying the DEPARTMENT of any necessary PROJECT repair or rehabilitation conditions that exist related to substantial erosion or structural integrity of the PROJECT. 7. The CITY will be responsible for the operation and maintenance of all safety lighting, signage, water control gates, and buoy placement associated with the operation of the PROJECT. 8. The CITY, without cost to the DEPARTMENT, will be responsible for obtaining and providing the DEPARTMENT with copies of all local permits required for the construction of the PROJECT. The CITY will be responsible to abide by all federal, state and local laws, ordinances, rules and regulations during operation and maintenance of the PROJECT, and to satisfy all state environmental laws, regulations, and executive orders that apply because of state funds being used on the PROJECT. 9. The CITY, without cost to the DEPARTMENT, will be responsible for all utility alterations or relocations and for all fence removal and/or replacement required as a result of the PROJECT construction, including any utility and fence related work shown on the plans. Utilities include, but are not limited to, electrical, cable television, and communication lines and oil, gas, sewer, and water pipelines. 10. The CITY will maintain eligibility in the National Flood Insurance Program. The CITY will continue to adopt and enforce required ordinances satisfactory to the Federal Emergency Management Agency and the DEPARTMENT, relative to the regulation of development in floodplains under the jurisdiction and control of the CITY. 11 . The CITY will hold and save the DEPARTMENT and any of its duly appointed agents and employees harmless against any loss, damage, cause of action, fine or judgment, including all costs connected therewith, such as attorney and witness fees, filing fees and any other expenses incidental thereto, that may be incurred by reason of personal injury, death, property damage, flood damage and any and all other claims or suits of whatsoever nature that might arise or result from or as a consequence of the design, location, construction, operation and maintenance of the PROJECT. The CITY will not be responsible to hold the DEPARTMENT harmless against any loss, damages, costs or expenses arising out of negligent acts or omissions by the DEPARTMENT or its agents or employees. D. TERMS OF LAND USE 1. PREMISES: The lands covered by this Agreement shall include: (1) three tracts, comprising the Yorkville Dam and the abutting properties on the North and South banks of the Fox River in Section 33, Township 37 North, Range 7 East of the Third Principal Meridian, known as TRACT A (north abutment area), TRACT B (south abutment area), and TRACT C (all The DEPARTMENT property situated between said TRACTS A and B and bounded by the extended East and West boundaries thereof), (2) all PROPERTY RIGHTS acquired by the CITY in the name of the DEPARTMENT required for the construction, operation and 5 • maintenance of the PROJECT, and (3) all improvements of these lands, including the PROJECT (all hereinafter the "PREMISES"). 2. USE OF PREMISES: The DEPARTMENT grants use of the PREMISES to the CITY, at no cost to the CITY, in consideration for the CITY's responsibilities defined herein. CITY hereby agrees to use the PREMISES for open space and recreational purposes at no charge to the public and for the existing 16-inch water line and other appurtenant utilities only, in accordance with plans, specifications and operations and maintenance manual approved by both parties. The PREMISES shall not be used for the burning of refuse, deposition of debris or other material, or for any unsanitary or unhealthful purposes by the CITY in the use or occupancy of the PREMISES. Any other uses of the PREMISES, and all plans in connection herewith, shall be subject to the prior written approval of the DEPARTMENT. An unauthorized or impermissible use of the PREMISES shall be deemed to be a material breach of this Agreement. 3. ALTERATIONS: The CITY shall in no way alter or modify any existing structure(s) located on the PREMISES, nor shall the CITY modify the land within the PREMISES, without the prior express written consent of the DEPARTMENT. If the CITY wishes to make any such alterations and/or modifications, the CITY shall first contact the DEPARTMENT's Division of Planning to ensure compliance with applicable statutes and regulations including, but not limited to, consultation requirements of the Illinois Endangered Species Protection Act, 520 ILCS 10/11, and the consultation, mitigation and compensation provisions of the Interagency Wetland Policy Act of 1989, 20 ILCS 830/1-1 et seq., and with the State Agency Historic Resources Protection Act. Nothing herein contained shall be construed to mean that the DEPARTMENT shall be responsible for compliance with all applicable State or Federal statutes and regulations; that responsibility shall remain with the CITY. 4. MAINTENANCE: In consideration for the CITY's use of the PREMISES as defined in articles D-1 and D-2, the CITY agrees to perform all maintenance of the PREMISES, including litter control and vegetation management and all PROJECT maintenance as defined in Articles C-5, C-6, and C-7 of this Agreement. 5. OBSTRUCTION OF PREMISES: CITY shall do nothing that might interfere with the ability of the DEPARTMENT to inspect, maintain or improve the PREMISES or any portion • thereof, including specifically but without limitation activities of the DEPARTMENT related to the operation of the dam and associated PROJECT. The CITY shall not, in any manner, obstruct the programs of the DEPARTMENT. It is understood and agreed that the DEPARTMENT reserves the right to require the CITY to remove, relocate or modify any structures, improvements or facilities upon, under or across the PREMISES, at the CITY's sole expense, if the DEPARTMENT determines, in its sole discretion, that such actions are appropriate and necessary to preserve the integrity, character, function or use of the PREMISES. 6. RELEASE OF DAMAGES: The CITY will further hold and save the DEPARTMENT and any of its duly appointed agents and employees harmless against any loss, damage, cause of action, fine or judgment, including all costs connected therewith, such as attorney and witness fees, filing fees and any other expenses incidental thereto, that may be incurred by reason of personal injury, death, property damage, flood damage and any and all other claims or suits of whatsoever nature that might arise or result from or as a consequence of the use, operation and maintenance of the PREMISES. The CITY will not be responsible to hold the DEPARTMENT harmless against any loss, damages, costs or expenses arising out of negligent acts or omissions by the DEPARTMENT or its agents or employees. 6 7. LAWS AND REGULATIONS: The DEPARTMENT and the CITY shall comply with all applicable provisions of State and Federal constitutions, laws, regulations, orders and decrees, including but not limited to those pertaining to unlawful discrimination and equal employment opportunity, including without limitation the Illinois Human Rights Act, the Public Works Employment Discrimination Act, the Civil Rights Act of 1964, the Americans with Disabilities Act, and Article VI of the regulations of the Illinois Department of Human Rights, which are incorporated herein by reference, and all environmental and cultural heritage requirements. 8. The CITY accepts the PREMISES and all improvements thereon "as is" in their present condition, and all future PROJECT improvements as designed, approved and constructed on the PREMISES. It is further understood and agreed that the CITY has sufficiently inspected the PREMISES, prior to the execution of this Agreement, made an independent assessment of the environmental and other conditions of the PREMISES, and accepts the same in its present condition. Any environmental claims which may arise from the CITY's use shall be the sole responsibility of the CITY, who agrees to indemnify and hold harmless the DEPARTMENT thereon. 10. RESERVED RIGHTS: This Agreement is nonexclusive, and the DEPARTMENT reserves the right ofingress, egress and usage of the PREMISES, and the right to grant leases, permits, or rights-of-way in and to the PREMISES to the extent that they are not incompatible with the uses authorized herein. 7 • 11. PUBLIC SAFETY: Should it be determined by the DEPARTMENT that a particular use of the PREMISES by the CITY is, or will be, hazardous to the public or the property, the CITY , upon written notice by the DEPARTMENT, shall install safety devices or make modifications at the CITY 's sole expense to render the PREMISES safe for, and compatible with, public use. In the event the CITY fails to install such safety devices or make required modifications within thirty (30) days, or, if such modifications cannot be completed within said time frame, the CITY fails to begin working expeditiously to render the PREMISES safe for the public, the DEPARTMENT may install such safety devices or make such modifications at the CITY 's expense, and may declare the CITY to be in breach of this Agreement. 12. ENVIRONMENTAL: The CITY, except as otherwise herein provided, shall not alter or impede water flowage, apply chemicals, or disturb the terrain in any manner within the PREMISES without prior approval of the DEPARTMENT. 13. TERMINATION: The DEPARTMENT shall have the right to terminate this Agreement upon giving the CITY ninety (90) days' written notice. The CITY agrees to surrender and restore the PREMISES, and remove all personal property therefrom, prior to the expiration of said notification period. If this Agreement is terminated under this provision, the CITY shall not be liable for CITY responsibilities defined in this Agreement beyond the date of . vacating the PREMISES. It is further understood and agreed that the DEPARTMENT may terminate this Agreement if the CITY,is in default or in breach of any of the terms of the Agreement, or in the event of the CITY 's bankruptcy or receivership. In such an event, the DEPARTMENT shall give the CITY a written notification of such breach or default, and the CITY shall have thirty (30) days to cure the same. If the CITY fails to cure or remedy the breach or default within said period'of time, the DEPARTMENT shall have the right to declare this Agreement to be terminated. Upon such an occurrence, the CITY shall surrender the PREMISES to the DEPARTMENT subject to the provisions of Article D-14. Likewise, the CITY, with 90 days written notice, may terminate this Agreement if the DEPARTMENT is in breach of any of the terms of the Agreement. Upon such an occurrence, the CITY shall surrender the PREMISES to the DEPARTMENT subject to the provisions of Article D-14. 8 14. VACATING THE PREMISES: The CITY, immediately upon Agreement Termination, shall vacate the PREMISES and remove all property to which the CITY holds proper title, except that the CITY shall not remove any property that is permanently attached to the PREMISES regardless of whether the CITY holds proper title except as authorized in writing by the DEPARTMENT. Should the CITY fail to remove or dispose of the CITY's property, the DEPARTMENT may consider such property abandoned and may claim proper title to such property or dispose of same at the CITY's expense. In addition, at the termination of this Agreement, the CITY shall quit and surrender the PREMISES, including real property improvements, in a good state of repair, save ordinary wear and tear. The DEPARTMENT reserves the right to require the CITY to make such repairs and restorations as it may, in its sole discretion, deem necessary. 15. NONINTERFERENCE AND COOPERATION: The DEPARTMENT and CITY shall do nothing to interfere with or prejudice the other's right or duty to recover damages or commence action against a third party, and shall furnish all reasonable assistance and cooperation in connection with any action against such third party, including without limitation assistance in the prosecution of suit. 16. DISCRIMINATION: The DEPARTMENT and the CITY shall not discriminate unlawfully on the basis of race, color, sex, national origin, age or handicap in admission to, or treatment or employment in, programs or activities. 17. CERTIFICATIONS: The CITY will complete the attached Certification Document marked ATTACHMENT A, which will be incorporated as part of this AGREEMENT. 9 . ............... If FY 06/07, we are proposing to hire a full-time Civil Engineer or Project Manager to help with some of the administrative tasks in the office as well as working in the field as necessary. We have not yet developed a job description for this position, but since this is an FY 06/07 hire we have some time. The salary range for this position would also need to be researched more thoroughly. One additional item that I would like to clean up at this time is the salary range issue that exists regarding the Engineering Technician positions. Currently we have two Senior Engineering Technicians and one Engineering Technician. The approved salary schedule, however, only lists one salary range ($37,260 - $53,524) for engineering technician. I recommend that we revise the salary schedule add a salary range of$41,000 to $57,100 for Senior Engineering Technician. The bottom of the range is 10% more than engineering technician, and the top of the range is 39.25%above the bottom, which is the average spread for all city positions. In the past we advertised that residents could have the walk in front of their homes replaced if they paid 40% of the cost. This resulted in rather high unit prices because our contractor was hopping from one spot to another and replacing small sections of walk. We have also seen a decreasing number of residents taking advantage of this program. This year we are planning to fund 100% of the replacement/construction of sidewalk in just one part of town, which should result in better unit prices. The area we would like focus on this year are those streets in our In-Town Roadway Project. These streets are: • Center Street (Jaycee pond to Liberty) • East Main Street (Route 47 to Bruell) • Colton Street (E. Main to Somonauk) • Liberty Street (E. Main to Park) All of these streets have continuous sidewalk along at least one side of the road except Liberty Street. All of the sidewalk on Liberty Street is on the east side, with continuous sidewalk north of Spring Street and spotty sidewalk south of Spring Street. I recommend that we construct new sidewalk as necessary on Liberty Street so we would have continuous sidewalk from East Main Street to Park Street. This is about 560 LF of sidewalk, which would cost about $16,000. The sidewalk would be 5 feet wide because the existing sections of walk in that area are 5 feet wide. The roadway project also includes replacing sidewalk due to storm sewer or roadway construction. I recommend that we add spot replacement of sidewalk and replacement to conform to ADA standards, and that we fund all of that work from the $50,000 proposed for sidewalks in the general fund. As a result, we would not have a separate sidewalk project in 2005. When the pump is required to shutoff,the valve solenoid will be de-energized and the valve will start to open_ When the valve"full open”limit switch is actuated,the pump will shut down. The circuit will be wired so"Hand"operation from the MCC also provides the correct vent valve operation. This revision allows the sensor to be monitored by the PLC for low level alarm condition. > It was determined that the Bid Price was higher than warranted. After several negotiations with the contractor, the price deduct was provided. > The sidewalk was provided to the elevated water storage tank at the request of the Owner to allow paved access to the tank. > The characteristics of Well No. 8 are better than was anticipated during design. The requested changes are in the hourly rates for various classifications of employees in accordance with our enclosed Standard Schedule of Charges dated January 1, 2005. Also enclosed is our current summary of Personnel, Positions and Classifications to cross reference with the hourly rates for the individuals to whom they apply. You will note that we are requesting an increase of $6.00 per hour for most employees; however we are requesting a greater increase for our senior personnel. At a meeting held on February 7th with the School District, we discussed the potential need for a drop-off lane in front of Yorkville Grade School. A bus currently drops off handicapped students directly in front of the building. Our road project, however, will include the construction of barrier curb for all streets. A drop-off lane would be needed to maintain the current bus service for these students. The surveying services are needed to determine the extent of right-of-way dedication we would need from the school district, and also includes staking to show the location of the proposed ROW line and preparation of a plat of dedication. No. 115 Property) for recordation of any undedicated right- of-way from the north line of Conover's First Subdivision at the north and to the west line of Bristol and McClellan's Subdivision at the east. The scope also includes coordination and administration. 2. Setting of Monumentation—Iron pins (5/8" diameter—30"long) will be placed at all right-of-way corners and points of curvature. "Red-top" stakes will be placed adjacent to said iron pins. Wood lath is to be placed at approximately 200' intervals along the new right-of-way lines. Man-hour and Fee Summary This contract shall be a lump sum contract. Based upon our understanding of the project, we believe a maximum of seven(7) hours will be required to complete the Plat of Dedication and Plat of Vacation with an associated fee of$574.40 of which $500.00 is labor and $74.40 is reimbursable for prints and mylar prints. Extra work will be billed on a Time and Material basis with prior approval of the CLIENT. Outside Consultants SMITH ENGINEERING CONSULTANTS,INC.(SEC)is not responsible for accuracy of any plans,surveys or information of any type including electronic media prepared by any other consultants,etc.provided to SEC for use in preparation of plans. SEC is not responsible for accuracy of topographic surveys provided by others. A field check of a topographic survey provided by others will not be done under this contract unless indicated in the Scope of Work. Attorneys'Fees In the event of any litigation arising from or related to the services provided under this AGREEMENT,the prevailing party will be entitled to recovery of all reasonable costs incurred,including staff time,court costs,attorneys'fees and other related expenses. Certificate of Merit The CLIENT shall make no claim for professional negligence,either directly or in a third party claim,against SEC unless the CLIENT has first provided SEC with a written certification executed by an independent design professional currently practicing in the same discipline as SEC and licensed in the State of Illinois. This certification shall: a)contain the name and license number of the certifier; b) specify each and every act or omission that the certifier contends is a violation of the standard of care expected of a Design Professional performing professional services under similar circumstances;and c)state in complete detail the basis for the certifier's opinion that each such act or omission constitutes such a violation. This certificate shall be provided to SEC not less than thirty(30) calendar days prior to the presentation of any claim or the institution of any arbitration or judicial proceeding. Standard of Care Services provided by SEC under this AGREEMENT will be performed in a manner consistent with that degree of care and skill ordinarily exercised by members of the same profession currently practicing under similar circumstances. Job Site Safety Neither the professional activities of SEC,nor the presence of SEC'S employees and subconsultants at a construction site, shall relieve the General Contractor and any other entity of their obligations, duties and responsibilities including,but not limited to, construction means, methods, sequence, techniques or procedures necessary for performing, superintending or coordinating all portions of the work of construction in accordance with the contract documents and any health or safety precautions required by any regulatory agencies. SEC and its personnel have no authority to exercise any control over any construction contractor or other entity or their employees in connection with their work or any health or safety precautions. The CLIENT agrees that the General Contractor is solely responsible for job site safety,and warrants that this intent shall be made evident in the CLIENTS AGREEMENT with the General Contractor. Any reuse,without specific written verification or adoption by SEC, shall be at the CLIENT's sole risk,and CLIENT shall indemnify and hold harmless SEC from all claims,damages and expenses including attorney's fees arising out of or resulting therefrom. Ownership of Instruments of Service All reports,plans,specifications,field data,field notes,laboratory test data,calculations,estimates and other documents including all documents on electronic media prepared by SEC as instruments of service shall remain the property of SEC. SEC shall retain these records for a period of five(5)years following completion/submission of the records,during which period they will be made available to the CLIENT at all reasonable times. Failure to Abide by Design Documents or to Obtain Guidance The CLIENT agrees that it would be unfair to hold SEC liable for problems that might occur should SEC'S plans,specifications or design intents not be followed,or for problems resulting from others'failure to obtain and/or follow SEC'S guidance with respect to any errors, omissions, inconsistencies, ambiguities or conflicts which are detected or alleged to exist in or as a consequence of implementing SEC'S plans,specifications or other instruments of service. Accordingly,the CLIENT waives any claim against SEC, and agrees to defend,indemnify and hold SEC harmless from any claim for injury or losses that results from failure to follow SEC'S plans, specifications or design intent, or for failure to obtain and/or follow SEC'S guidance with respect to any alleged errors, omissions, inconsistencies, ambiguities or conflicts contained within or arising as a result of implementing SEC'S plans, specifications or other instruments of services. The CLIENT also agrees to compensate SEC for any time spent and expenses incurred by SEC'S prevailing fee schedule and expense reimbursement policy. Design Information in Electronic Form Because CADD information stored in electronic form can be modified by other parties,intentionally or otherwise,without notice or indication of said modifications,SEC reserves the right to remove all indicia of its ownership and/or involvement in the material from each electronic medium not held in its possession. The CLIENT shall retain copies of the work performed by SEC in CADD form only for information and use by the CLIENT for the specific purpose for which SEC was engaged. Said materials shall not be used by the CLIENT, or transferred to any other party, for use in other projects,additions to the current project, or any other purpose for which the material was not strictly intended by SEC without SEC'S express written permission. Any use or reuse of original or altered CADD design materials by the CLIENT,agents of the CLIENT,or other parties without the review and written approval of SEC shall be at the sole risk of the CLIENT. Furthermore,the CLIENT agrees to defend,indemnify, and hold SEC harmless from all claims,injuries,damages,losses,expenses,and attomes fees arising out of the modification or reuse of these materials. The CLIENT recognizes that designs,plans, and data stored on electronic media including,but not limited to computer disk and magnetic tape,may be subject to undetectable alteration and/or uncontrollable deterioration. The CLIENT,therefore,agrees that SEC shall not be liable for the completeness or accuracy of any materials provided on electronic media after a 30 day inspection period, during which time SEC shall correct any errors detected by the CLIENT to complete the design in accordance with the intent of the contract and specifications. After 40 days,at the request of the CLIENT,SEC shall submit a final set of sealed drawings,and any additional services to be performed by SEC relative to the submitted electronic materials shall be subject to separate AGREEMENT. 1454:'.tr! Mr.Joseph Wywrot City of Yorkville Plat of Dedication and Monumentation Game Farm Road and Somonauk Street—East and North Side Job No.YORK-040098.03-4 February 23,2005 Page 5 Dispute Resolution In an effort to resolve any conflicts that arise during the design or construction of the project or following the completion of the project,the Consultant and CLIENT agree that all disputes between them arising out of or relating to this AGREEMENT shall be submitted to nonbinding mediation unless the parties mutually agree otherwise. If the dispute cannot be settled amicably,it shall then be settled by arbitration in the State of Illinois in accordance with the American Arbitration Associates. The Award of the arbitrator shall be conclusive and binding upon the parties. The CLIENT agrees,to the fullest extent permitted by law,to limit the liability of SEC and its subconsultants to the CLIENT for any and all claims,losses,costs,damages of any nature whatsoever or claims expenses from any cause or causes,including attorneys'fees and costs and expert witness fees and costs,so that the total aggregate liability of SEC and its subconsultants to all those named shall not exceed SEC'S total fee for services rendered on this project,whichever is greater. It is intended that this limitation apply to any and all liability or cause of action however alleged or arising,unless otherwise prohibited by law. Hazardous Materials It is acknowledged by both parties that SEC'S scope of services does not include any services related to asbestos or hazardous or toxic • materials. In the event SEC or any other party encounters asbestos or hazardous or toxic materials-at the j ob site,or should it become known in any way that such materials may be present at the job site or any adjacent areas that may affect the performance of SEC'S services,SEC may,at its option and without liability for consequential or any other damages,suspend performance of services on the project until the CLIENT retains appropriate specialist consultant(s)or contractor(s)to identify,abate and/or remove the asbestos or hazardous or toxic materials,and warrant that the job site is in full compliance with applicable laws and regulations. Exclusion This fee does not include attendance at any meetings or public hearings other than those specifically listed in the Scope of Services. These work items are considered extra and are billed separately on an hourly basis. Payment 1. All work will be invoiced on a monthly basis. All invoices shall be paid within 45 days of the invoice date.All outstanding invoices greater than 45 days shall have 1.5% interest compounded monthly added to the invoice. Additionally, all outstanding invoices must be paid in full before Final Plats of Subdivision will be submitted for recording or record drawings are submitted to municipalities for final approval. Should the CLIENT fail to pay for professional services hereunder,as billed within 45 days of such billing,SEC shall be excused from rendering any further services under this project. No work shall be signed or sealed until payment in full is received. 2. This AGREEMENT shall not be enforceable by either party until each has in its possession a copy of this AGREEMENT signed by the other. Inclement Weather In the event of a substantial weather system affecting the completion of the said project,SEC retains the right to renegotiate additional fees to cover time needed to complete the said project.
