Approval/Correction of Minutes: April 25, 2005 The minutes were approved. Some of the items were moved forward to accommodate people's schedules. New Business 12. Solar Streetlight—This was brought forward as a suggestion at coffee with the mayor. It will be placed at the back of Appletree Court where it is difficult to run the electric for the streetlight to. It was discovered that this quote is for 2 lights. Eric will get another quote before the next COW. If the quote comes back under the $5,000 limit, the committee thinks it should be approved, if it comes back over $5,000 it will move on to COW. 16. Citywide Transportation Analysis—This item was based on the city's needs assessment. There was discussion about how to pay for this. The money could possibly come from the per home fee for streets in new developments, or possibly be attached to the developer's fees, or could be set up as a new fee. It is unclear if the post 2030 build out is based on the comprehensive plan. This will come back to the June Public Works and hopefully someone from Smith Engineering could give a presentation or explanation of the things that are unclear. 19. Route 126 & Route 71 Intersection Realignment by IDOT —IDOT said at the public hearing that there would be a follow up public hearing after the 10 am staff meeting that was held the week of May 15th. There was 1 minor change at old Rt. 126 where it joins new Rt. 126. Joe Wywrot will get ahold of IDOT to confirm that the meeting was a posted meeting and that it was actually held. There was discussion about moving the realignment to the South. IDOT came back and said that plan would cost more and it would require 1 house to be taken. Page 2 of 5 The Committee does not see any value for the city to take over the old Rt. 126 as a public street. It could be left as a private drive for access to the properties that are there. It is thought that as long as the property owners have access to 71, the old Rt 126 would be vacated. This is in IDOT's 5 year plan and it will be built next year. It will come out of the Safety Fund dollars. The city would like to see the streetlights on the traffic signal poles, the pre- emption equipment for BKFD be put in place and the casing pipes across 126 and 71. If the casing pipes are not put in place, there could be 2 loops for the water mains. One for the South side that would go up Wing Rd. and hook into Country Hills. The other would be on the North side that would loop back to Van Emmon. This could be front funded by the property owners,but if the do not agree, a recapture agreement could be looked into. If the landowners are not willing to front fund for the casings, it will come back to Public Works for next month. BKFD will be contacted to see if they will help fund the pre-emption equipment. Joe Wywrot will tell IDOT to move forward and have all the optional items put in place. 18. USGS —Floodplain and Flood way Mapping for Blackberry Creek and EEl Scope of Service AND 17. USGS —Amendment to 2004 Joint Funding Agreement for Blackberry Creek Floodplain Study This was discussed in 2004. A grant has since become available. It is a joint grant in the amount of$321,000 for Kane and Kendall County. Kane County is in Phase 2 of the project and Kendall County is in Phase 1. Since it is a grant for both counties, a joint funding agreement needs to be made between all the entities. There also needs to be an intergovernmental agreement in between Yorkville, Montgomery, and Kendall County. The project will be over the next 2 IA years and the funding would take place over 3 years. There is an increase in the cost. The first year will now cost $44,000. It was quoted at $24,490 last August which was already approved. Of the grant money, Kendall county gets $117,000 and Kane county gets the rest. The Kendall County's portion of the work will cost $390,000 and USGS has come up with $178,550 for cost sharing. The estimated cost for Yorkville is $59,530, the cost for Montgomery is $17,000 and the cost for Kendall County is $20,000 over 3 fiscal years. Last year the proposed cost was $24,490 for Yorkville, $7,000 for Kendall County and $6,510 for Montgomery. The increase for Yorkville's share for this year only is $20,000. The extra$20,000 for one fiscal year is to have more Phase 1 work done when Phase 2 is complete in Kane County. The effect of the Phase 2 project in Kane county may effect what happens with the Phase 1 project in Kendall county. There was discussion about whether or not it would be feesable to put a hold on Phase 1 in Kendall county until Phase 2 is done in Kane county. It is possible that if it gets put off, Kendall County may lose the grant money. The Mayor wondered why the cost has risen so much in one year. It has more than doubled. The committee would like to have someone from USGS explain why the price has gone up so much. Page 3 of 5 Since there are only 3 properties left undeveloped in Yorkville would the landowners be willing to help fund this project to offset the difference in cost. This study will also effect already developed areas. If there is a property found to be in the floodplain it would qualify them for flood insurance. It was recommended that EEI take out their scope of services out of#18 and have it as a separate item. #17 and#18 will move on to COW, #17 for discussion and# 18 with a recommendation. Jeff Freeman will have someone from USGS give an explanation on the price increase before then. Presentations 1. City Sidewalk Map by Sergeant Terry Klingel This was presented by Eric Dhuse. It is a map of the bus pickups and drop offs, and where the sidewalks are and the large gaps in the sidewalks are all over the city. It will be used as an in house tool for annual sidewalk repairs. No further action is necessary. New Business 1. In-Town Road Program Roadway Contract Construction Inspection - This is a proposal from Smith Engineering. Joe Wywrot recommends approval. It is a contract for Phase 1 of the In-Town Road Program on the North side of the river in the amount of$89,386.25. This will move on to COW Consent Agenda. 2. IDOT Highway Permit—Windett Ridge - Joe Wywrot recommends the permit application and the corresponding resolution be approved. This will move on to COW Consent Agenda. 3. IDOT Highway Permit—5/3 Bank—This is for the public sidewalk along Rt 34. The city will be the applicant. The city needs to pass a resolution and 5/3 Bank would bond to the city. This will move on to COW with legal council from John Wyeth. 4. Policy for City Engineer Authorization to Sign IDOT Highway Permits — IDOT is now requiring the city to be the applicant for all Highway Permits. The city engineer would be able to sign the applications and send the resolutions to COW. This will move on to COW for discussion. 5. Autoserve Car wash Sidewalk Agreement—This will allow the delay of the sidewalk being constructed along Rt. 47 until one of 3 things happen : 1. Until the sidewalk reaches up to the edge of their property, 2. Until they sell the property or 3. Until the city tells them it is time to build the sidewalk. This will go on to COW Consent Agenda. 6. Rob Roy Creek Interceptor Contract#1 —Change Order #3—Topsoil was placed at the Eastern End of this project, past the soccer fields. It is 3 inches thick and the cost is approximately$8,700. It will be funded by the developer eventually, by the city will be paying for it up front. Joe Wywrot recommends this be approved. This will go on to COW for discussion. Page 4 of 5 7. Rob Roy Creek Interceptor Contract#2 —Change Order#1 —This was a field decision to replace a field tile that was found that was in grade conflict. The cost is $27,076. This will go on to COW for discussion. 8. Prairie Gardens—Re subdivision of Lot 4—Line of Credit Reduction #1 This will be divided into 6 or 7 office buildings. They would like to have the plat recorded and will post the full bond amount. The letter of credit is approximately in the amount of$184,000. This will move on to COW Consent Agenda. 9. Sidewalk Replacement Program— In the past the city has paid 60% for sidewalk repairs, and now it has been changed to the city funding 100% of the sidewalk repair and focusing on specific areas instead of all around town. There would be money set aside each year for the property owners who request sidewalk repairs. They will be able to have the repairs done at the same rate as before,but a guideline will be set, and they will become the general contractor. The baseline cost will be based on last year's cost. The reimbursement will be 60 % of the actual cost, or the cost based on the baseline cost, whichever amount is less. This will move on to COW for discussion. 10. Fox Hill Unit 7—Water and Sanitary Recapture Agreement—The proposed lift station was moved to where the city could easily abandon it. Joe Wywrot does not agree with a lot of the things in the original agreement, and is negotiating them. Joe Wywrot will have John Wyeth prepare a recapture agreement and this will come back to a future Public Works meeting. 11. Fox Industrial Park Project—MFT Appropriation Resolution— Debbie Baxter found this accounting error that needs to be resolved. The last payout to Aurora Blacktop was from the MFT account, but the money was set aside from the bond fund. The material inspection cost was paid out of the general fund. A supplemental resolution needs to be passed to get the books straight. This will go on to COW and individuals will ask Tracy Pleckham if they have any questions. 13. Request for Education Class for Public Works Director—There is enough money in the budget for this class. It is tailor made for Public Works. It is 1 week a year for the next 3 years and earns college level credits. The expense is approximately$1,000 for the class, hotel and meals. Some meals will be provided with the class. This was approved. No further action is necessary. 14. In-Town Drainage Improvement Change Order#2 —This is for the work being done on Liberty Street. The plans called for the sewer to be in the parkway, but it was found that a gas main and the telephone line is in the way. The best solution is to construct the sewer under the roadway. As an added benefit, it will improve the drainage of the roadbed. The change order forms are not attached, but there are some cost estimates. This will go on to COW. Page 5of5 15. Illinois Railnet Pipeline Crossing Agreement for Raw Water Main Project—This will be a perpetual easement under the Railroad tracks. This will move on to COW Consent Agenda. 20. Route 47 Reconstruction—Non-Participating Items and Other Design Issues—Joe Wywrot recommends the Aldermen look this over and discuss it at COW. 21. Wetland Design Proposal for Bristol Bay Master Plan Community— This will go to COW for discussion. Joe Wywrot will have John Wyeth will speak about the legal issues and if there is a working relationship with these people. Usually what is done for specialized work like this is that an ad for Request for Qualifications would go out. RFQs are submitted in mass, they are looked over, they would possibly be interviewed, one is selected, and a contract is negotiated at that time. Marty Munns would like to see the Qualifications of other companies as well as this one. Old Business 1. Tree Canopy Protection Ordinance—This will come back to the June Public Works meeting. Additional Business Marty Munns expressed concern about the entrance to a subdivision on Diehl Farm Rd. He would like to ask the prior owner, Paul Dresden to take out the rocks, and put in dirt and grass or shrubs as a good will project. If he says no he would like to know what the cost would be to do this. It is possible that Countryside would donate some bulbs or plants to this project also since it is being torn up. Dean Wolfer asked what is the difference between sending an issue on consent agenda and sending it for discussion. On consent agenda the committee members all agree and recommend it for approval. Joe Besco asked who is responsible for the mowing on Countryside Dr East of Rt 47. Currently Menard's is still responsible until the fall. There has been discussion with them and progress is being made. Joe Besco wanted to thank everyone for their effort over the last few years. This matter was discussed at our June 27th Public Works Committee meeting and was forwarded on to our Committee of the 'Whole meeting of July 5th to authorize the City Clerk to call the letter of credit if it is not renewed. We also have received your June 23`d letter with as-built notes by your contractor. Your letter requests that we accept those notes as adequate record drawings since Morris Engineering does not have any record data. I will recommend that we accept those as- built notes, and that the city accept the public improvements for Greenbriar Unit 4. The earliest that our City Council could concur and accept the public improvements is at their meeting of August 9, 2005. There will still be a need for a letter of credit to be in place during the one-year warranty period, which would extend to August 9, 2006. That letter of credit would be in the amount of$2660.77,which is 10% of the approved engineer's estimate of cost. If you have any questions regarding this matter, please call me at 553-8545. This change order, in the amount of$7,750.00, is for the following items: The first item is actually for our 300,000-gallon water tower on Tower Lane. This is for modifications to the overflow piping and the installation of a flap gate. The Illinois EPA has informed us in the past that this tower needs to have this work done. The second item is for partial removal of the cathodic protection system. Years ago towers typically had these types of systems installed, which impress a very low voltage to an element suspended within the water in the bulb of the tower. The effect was to draw oxidizing forces to the element rather than the tower, reducing rust on the tower interior surface. With the new paint systems in use nowadays, these protection systems are no longer needed. This tower is being painted with the same paint system as our three new towers, none of which have cathodic protection. This work will only remove the element and related wiring from the bulb; the cathodic protection controller will remain in the base of the tower. The third item is for sealing the seams of the roof rafters. Inspection of these areas after sandblasting indicated that they should be sealed. The original bid proposal included a quotation from all bidders for this work, but was not included in the contract award amount because it wasn't known at the time if the work was necessary. I recommend that this change order be approved. Please place this on the July 25, 2005 Public Works Committee agenda for consideration. Abandonment of the Heartland Pump Station is not included in this Scope. It will be performed under separate contract by a separate contractor hired by the City. • Per the bid specifications, complete shop drawings will be submitted for review by the Engineer for the Pumps, Controls, and all accessories. ITEM CHEMICAL STORAGE TANK ADDER $672.00 3 • Per the Bid Fouii, the contractors price for the chemical storage tank was $6,000. Since the original bid date this tank manufacturer is no longer in operation. The second lowest bid was $672.00 more than that on the bid form. Therefore, the General Contractor is seeking the appropriate compensation. ITEM CONSTRUCTION DEBRIS ADDER $8,610.00 4 • When the Bruell Street Pump Station was designed, it was unknown that the property was used in the past to dispose of construction debris including: concrete curb and gutter,tyvek sheathing, rebar, etc. • Alternatives for disposing of this material were discussed with City staff. It was decided to excavate and remove all debris under the proposed footing and slab of the Bruell Street Pump station, to excavate a borrow pit at the north side of the site and to dispose of the material in this pit. • Excavated material from the borrow pit will spread throughout the site, slightly modifying the proposed grading plan. 2 of 3 ITEM • Over-excavation of the material underlying the Bruell Street ADDER $13,755.00 5 Pump Station necessitated the importing of crushed aggregate (CA-6, and CA-1)to bring the grade back up to the bottom of footing elevation shown on the plans. The amount of material used to rectify this condition was 494 cubic yards at a rate of $18.00 per yard. Material tickets from the aggregate supplier have been retained for justification of this Change Order. This amount also includes the appropriate mark-up allowed to the General Contractor as per Article 12 of the Contract Documents. This amount also includes 5261in. ft. of 6"SDS Schedule 26 drainage pipe which was placed through-out the aggregate filL to prevent future complications due to excess water. He would like the city to be the lead agency in selecting a consultant, and would like to meet to define a scope of work with that consultant. We both felt that Mike Schoppe would be a good choice, and that if Mike needed a civil engineer for some of the retaining wall analysis he could hire out a sub-consultant if necessary. Jeff said that one item in particular that he would like to see addressed by the consultant would be how to deflect or absorb the highway noise. We will also need to decide on whether the city or the county would maintain this area after construction. Please forward this information to the Committee of the Whole at their meeting tonight. The first item is the replacement of streetlighting along the • approaches to the Route 47/Route 34 intersection. We had requested IDOT to extend the lighting to reach from Countryside Parkway to Landmark Avenue, and from Center Parkway to Marketplace Drive. We had also asked IDOT if they would replace the existing lighting at their cost, with the city funding 100% of the extensions to the cross streets listed above. IDOT's response is that they are not willing to replace the existing lighting at their expense, and that they don't even want to include the replacement of the existing lights in their contract. You may need to get involved to resolve this issue. IDOT is requesting that we vacate Jefferson Street, which is one block long and immediately east of the historic Kendall County Courthouse. Removing the street will give IDOT the horizontal distance they need to eliminate the need for retaining wall near the base of the slope. Vacating this street will require that the northern courthouse parking lot entrance be reconstructed to exit onto Madison Street. We need to decide if we are willing to vacate this street, and find out if Kendall County is willing to have their driveway relocated. This may also result in the parking lot becoming a route for local through traffic. Since almost of the traffic in this area is there on county business, I think they would find this acceptable. We need to check with Kendall County on the parking lot issue, and then decide if we are willing to vacate Jefferson Street. We have asked IDOT to plan their Route 47 project to accommodate a 3-lane Fox Road intersection. IDOT responded by asking for an Intersection Design Study(IDS) showing the proposed improvements for Fox Road. I have asked EEI to check with IDOT to find S out specifically what they want and then check their contract with the city for the SW Transportation Study to see if it needs to be amended. • These items need to be addressed very soon. As soon as we hear back from EEI on the Fox Road issue, I recommend that this item be put on the next available Committee of the Whole agenda for discussion. We offer the following comments: • • The Department does not usually add street lighting to _roadway contracts, even where the municipality agrees .to reimburse 100% of the cost. Street lighting is treated as a utility on state right of way, where the responsible agency (whether utility-owned franchise lighting or municipality-owned lighting) arranges for any necessary moving, replacement, and maintenance of lighting prior to, and during construction at their expense, subject to the requirements of BDE 5- 5.02(f). The Department does add lighting items to roadway contracts in special cases such as combination street lighting and traffic signal mast arms and bridge lighting, where the lighting is an integral part of the work. • The consultant has examined the drainage issues where the existing retaining wall will be removed and side slopes constructed. Their determination is that drainage and maintenance could best be served by vacating Jefferson Street at the top of the backslope for the new cut, thereby leaving a mowable backslope and an interim drainage ditch near the bottom of the slope to catch storm water before it enters the proposed sidewalk and pavement area between Fox Street and Van Emmon Street. Please respond with the city's position on vacating Jefferson Street so that we can plan accordingly. • At the Fox Street intersection, there is an approved Intersection Design Study and we are proceeding accordingly. If the city wishes to pursue: • adding left turn lanes at Fox Street, studies would be required similar to the process now being done at Somonauk Street/IL 47. The city would be required to submit an Intersection Design Study and an independent plan to do the work on Fox Street, which would be reviewed and approved by the Department. This work would need to be done ASAP in order to maintain the current IL 47 project schedule. Fox Street Yorkville, Illinois 60560 Re: Route 47 Widening Dear Jeff: Per our meeting yesterday, I request that you inquire with the County Board regarding improvements proposed by IDOT on Route 47 in the vicinity of Jefferson Street. IDOT is proposing to remove the existing concrete retaining wall between Van Emmon and Fox Street and purchase the two homes on Jefferson Street, which is located immediately to the east of the historic Kendall County Courthouse. • IDOT has requested that the City vacate Jefferson Street to provide enough distance for a uniform, sloped embankment to be graded from Route 47 up to Jefferson Street. No retaining walls would be needed, but the slope would be fairly steep at 3H:1 V, which is the steepest allowable to mow the grass that IDOT is proposing for landscaping. If Jefferson Street were to remain in place, IDOT proposes to construct a curb along the east side of Jefferson, resulting in a 24-foot wide roadway. That width would require Jefferson to become a one-way roadway and allow parking on one side. I understand that neither alternative is desirable to the County, since traffic circulation and/or parking would be negatively impacted in the area of the courthouse. This issue presents an opportunity for the County and City to work together to prepare a safe, aesthetically pleasing design that will not only maintain traffic circulation and parking for the county buildings at the top of the hill, but also compliment the view of the historic courthouse. I suggest that we share the cost of preparing a conceptual plan of this area for IDOT, to possibly include one or more short, decorative retaining walls and low- maintenance landscaping. That design would also leave enough room at the top of the hill for to allow future improvements to Jefferson Street and/or the county parking lot. IDOT has indicated a willingness to incorporate such a design into their plans, but they do not want to pay for the cost of design and construction beyond their original plans. This development is like many others throughout town that are relatively small and don't involve a subdivision of land but include public improvements. To avoid delays caused by processing a formal acceptance request for small developments, I recommend that we establish a policy authorizing the City Administrator to accept public improvements for ownership and maintenance by the city and also to reduce the corresponding letters of credit on behalf of the City Council. Attached find location sketches and a preliminary cost estimate for adding on-street parking along Cottonwood Trail. A total of 11 new spaces are proposed at a cost of approximately$30,000. The additional parking areas would be expanded, and a new parking area would be constructed on the east side of Cottonwood Trail just north of Stoneridge Circle. Some tree removal would be necessary, but the cost estimate does not include tree replacement. A project of this size will require competitive bidding. Also included is a Bill of Sale for the watermain, sanitary sewer, storm sewer, and streetlights. Finally, attached is a partial copy of the development agreement for Heartland Circle regarding acceptance of improvements. We have inspected the watermains, sanitary sewers, and storm sewers and all current punchlist items have been completed. We have also received record drawings for the improvements. We have not been requested to accept the streetlights and have not inspected them. While we are not aware of any problems at this time, the development is far from build-out and it is inevitable that future problems will arise as build-out continues. The developer's acceptance request letter states that they will remain responsible for repairs and adjustments due to builder activity for an undefined period of time. I request that John Wyeth review the development agreement to confirm that the developer is entitled to early acceptance of individual improvements. If he concurs, I recommend that the City Council accept the watermain, sanitary sewer, and storm sewer improvements for Heartland Circle subject to the conditions of the development agreement, the developer's letter dated March 15, 2005, and excepting the temporary sanitary lift station and the offsite storm sewer not yet constructed across the Bollweg property and. The bond should be reduced by the amount of$128,693.86 because the amount the of construction guarantee drops from 15%to 10% at the time of final acceptance. The OWNER intends to construct the improvements as follows: 1) deep sandstone Water Well No. 6, and 2)the Well No. 6 Water Treatment Plant(WTP). WITNESSETH: That for and in consideration of the mutual covenants and promises between the parties hereto, it is hereby agreed: SECTION A-PROFESSIONAL DESIGN ENGINEERING SERVICES The ENGINEER shall furnish professional design engineering services as follows: 1. The ENGINEER will attend conferences with the OWNER, or other interested parties as may be reasonably necessary. 2. The ENGINEER will perform the necessary design surveys, accomplish the detailed design of the project, prepare construction drawings, specifications and contract documents, and prepare a final cost estimate based on final design for the entire system. It is also understood that if subsurface explorations (such as borings, soil tests, rock soundings and the like) are required, the ENGINEER will furnish coordination of said explorations without additional charge, but the costs incident to such explorations shall be paid for by the OWNER as set out in Section D hereof. 3. The contract documents furnished by the ENGINEER under Section A-2 shall utilize IEPA endorsed construction contract documents, including Supplemental General Conditions, Contract Change Orders, and partial payment estimates. 4. Prior to the advertisement for bids, the ENGINEER will provide for each construction contract, not to exceed 10 copies of detailed drawings, specifications, and contract documents for use by the OWNER, appropriate Federal, State, and local agencies from whom approval of the project must be obtained. The UNITED CITY OF YORKVILLE (Section A—Continued) cost of such drawings, specifications, and contract documents shall be included in the basic compensation paid to the ENGINEER. 5. The ENGINEER will furnish additional copies of the drawings, specifications and contract documents as required by prospective bidders, material suppliers, and other interested parties, but may charge them for the reasonable cost of such copies. Upon award of each contract, the ENGINEER will furnish to the OWNER five sets of the drawings, specifications and contract documents for execution. The cost of these sets shall be included in the basic compensation paid to the ENGINEER. Original documents, survey notes, tracings, and the like, except those furnished to the ENGINEER by the OWNER, are and shall remain the property of the ENGINEER. 6. The drawings prepared by the ENGINEER under the provisions of Section A-2 above shall be in sufficient detail to permit the actual location of the proposed improvements on the ground. The ENGINEER shall prepare and furnish to the OWNER without any additional compensation, three copies of map(s) showing the general location of needed construction easements and permanent easements and the land to be acquired. Property surveys, property plats, property descriptions, abstracting and negotiations for land rights shall be accomplished by the OWNER, unless the OWNER requests, and the ENGINEER agrees to provide those services. In the event the ENGINEER is requested to provide such services, the ENGINEER shall be additionally compensated as set out in Section D hereof. 7. The ENGINEER will attend the bid opening and tabulate the bid proposal, make an analysis of the bids, and make recommendations for awarding contracts for construction. 8. The ENGINEER further agrees to obtain and maintain, at the ENGINEER's expense, such insurance as will protect the ENGINEER from claims under the Workman's Compensation Act and such comprehensive general liability insurance as will protect the OWNER and the ENGINEER from all claims for bodily injury, death, or property damage which may arise from the performance by the ENGINEER or by the ENGINEER's employees of the ENGINEER's functions and services required under this Agreement. 9. The ENGINEER will complete the final plans, specifications and contract documents and submit for approval of the OWNER, and all State regulatory agencies in accordance with the project schedule as summarized in Attachment A: Well No 6 and Well No. 6 Water Treatment Plant Project Schedule dated July 25, 2005. If the above is not accomplished within the time period specified, this Agreement may be terminated by the OWNER. The time for completion may be extended by the OWNER for a reasonable time if completion is delayed due to unforeseeable cases beyond the control and without the fault or negligence of the ENGINEER. a UNITED CITY OF YORKVILLE SECTION B-PROFESSIONAL CONSTRUCTION ENGINEERING SERVICES The ENGINEER shall furnish professional construction engineering services as follows: 1. The ENGINEER will review, for conformance with the design concept, shop and working drawings required by the construction Contract Documents and indicate on the drawings the action taken. Such action shall be taken with reasonable promptness. 2. The ENGINEER will interpret the intent of the drawings and specifications to protect the OWNER against defects and deficiencies in construction on the part of the contractors. The ENGINEER will not, however, guarantee the performance by any contractor. 3. The ENGINEER will evaluate and determine acceptability of substitute materials and equipment proposed by Contractor(s). 4. The ENGINEER will establish baselines for locating the work together with a suitable number of bench marks adjacent to the work as shown in the contract documents. 5. The ENGINEER will provide general engineering review of the work of the Contractor(s) as construction progresses to ascertain that the Contractor is conforming with the design concept. (a) ENGINEER shall have authority, as the OWNER's representative, to require special inspection of or testing of the work, and shall receive and review all certificates of inspections, testing and approvals required by laws, rules, regulations, ordinances, codes, orders or the Contract Documents (but only to determine generally that their content complies with requirements of, and the results certified indicate compliance with, the Contract Documents). (b) During such engineering review, ENGINEER shall have the authority, as the OWNER's representative, to disapprove of or reject Contractor(s)' work while it is in progress if ENGINEER believes that such work will not produce a completed Project that conforms generally to the Contract Documents or that it will prejudice the integrity of the design concept of the Project as reflected in the Contract Documents. 6. The ENGINEER will provide resident construction observation. Resident construction observation shall consist of visual inspection of materials, equipment, or construction work for the purpose of ascertaining that the work is in substantial conformance with the contract documents and with the design intent. Such observation shall not be relied upon by others as acceptance of the work. The ENGINEER's undertaking hereunder shall not relieve the Contractor of Contractor's obligation to perform the work in conformity with the drawings and specifications and in a workmanlike manner; shall not make the ENGINEER an insurer • UNITED CITY OF YORKVILLE (Section B—Continued) of the Contractor's performance; and shall not impose upon the ENGINEER any obligation to see that the work is performed in a safe manner. Attachment B - The Limitations of Authority, Duties and Responsibilities of the Resident Construction Observer is attached to this Agreement. 7. The ENGINEER will cooperate and work closely with representatives of the OWNER. 8. Based on the ENGINEER's on-site observations as an experienced and qualified design professional, on information provided by the Resident Construction Observer, and upon review of applications for payment with the accompanying data and schedules by the Contractor, the ENGINEER: (a) Shall determine the amounts owing to Contractor(s) and recommend in writing payments to Contractor(s) in such amounts. Such recommendations of payment will constitute a representation to OWNER, based on such observations and review, that the work has progressed to the point indicated, and that, to the best of the ENGINEER's knowledge, information and belief, the quality of such work is generally in accordance with the Contract Documents (subject to an evaluation of such work as a functioning whole prior to or upon substantial completion, to the results of any subsequent tests called for in the Contract Documents, and to any other qualifications stated in the recommendation). (b) By recommending any payment, ENGINEER will not hereby be deemed to have represented that exhaustive, continuous or detailed reviews or examinations have been made by ENGINEER to check the quality or quantity of Contractor(s)' work as it is furnished and performed beyond the responsibilities specifically assigned to ENGINEER in the Agreement and the Contract Documents. ENGINEER's review of Contractor(s)' work for the purposes of recommending payments will not impose on Engineer responsibility to supervise, direct or control such work or for the means, methods, techniques, sequences, or procedures of construction or safety precautions or programs incident thereto or Contractor(s) compliance with laws, rules, regulations, ordinances, codes or orders applicable to their furnishing and performing the work. It will also not impose responsibility on ENGINEER to make any examination to ascertain how or for what purposes any Contractor has used the moneys paid on account of the Contract Price, or to determine that title to any of the work, materials equipment has passed to OWNER free and clear of any lien, claims, security interests, or encumbrances, or that there may not be other matters at issue between OWNER and Contractor that might affect the amount that should be paid. 9. The ENGINEER will prepare necessary contract change orders for approval of the OWNER, and others on a timely basis. UNITED CITY OF YORKVILLE (Section B—Continued) 10. The ENGINEER will make a final review prior to the issuance of the statement of substantial completion of all construction and submit a written report to the OWNER. Prior to submitting the final pay estimate, the ENGINEER shall submit the statement of completion to and obtain the written acceptance of the facility from the OWNER. 11. The ENGINEER will provide the OWNER with one set of reproducible record (as-built) drawings and two sets of prints at no additional cost to the OWNER. Such drawings will be based upon construction records provided by the contractor during construction and reviewed by the resident construction observer and from the resident construction observer's construction data. 12. If State Statutes require notices and advertisements of final payment, the ENGINEER shall assist in their preparation. 13. The ENGINEER will be available to furnish engineering services and consultations necessary to correct unforeseen project operation difficulties for a period of one year after the date of statement of substantial completion of the facility. This service will include instruction of the OWNER in initial project operation and maintenance but will not include supervision of normal operation of the system. Such consultation and advice shall be at the hourly rates as described in the attached "Standard Schedule of Charges", dated January 1, 2005. The ENGINEER will assist the OWNER in performing a review of the project during the 11th month after the date of the certificate of substantial completion. 14. The ENGINEER further agrees to obtain and maintain, at the ENGINEER's expense, such insurance as will protect the ENGINEER from claims under the Workman's Compensation Act and such comprehensive general liability insurance as will protect the OWNER and the ENGINEER from all claims for bodily injury, death, or property damage which may arise from the performance by the ENGINEER or by the ENGINEER's employees of the ENGINEER's functions and services required under this Agreement. 15. The ENGINEER will provide construction engineering services on the various projects in accordance with the project schedule as summarized in Attachment A: Well No 6 and Well No. 6 Water Treatment Plant Project Schedule dated July 25, 2005. If the above is not accomplished within the time period specified, this Agreement may be terminated by the OWNER. The time for completion may be extended by the OWNER for a reasonable time if completion is delayed due to unforeseeable cases beyond the control and without the fault or negligence of the ENGINEER. • UNITED CITY OF YORKVILLE SECTION C—COMPENSATION FOR ENGINEERING SERVICES 1. The OWNER shall compensate the ENGINEER for professional design engineering services in the amount of Two Hundred Seventeen Thousand Five Hundred and 00/100 - Fixed Fee (FF) Dollars ($ 217,500 FF ) as summarized on Attachment C: "Summary of Compensation for Professional Engineering Services" dated July 25, 2005. (a) The compensation for the professional design engineering services shall be payable as follows: (1) A sum which does not exceed ninety percent (90%) of the total compensation payable under Section C-1 shall be paid in monthly increments for work actually completed and invoiced, for the preparation and submission to the OWNER and/or IEPA of the construction drawings, specifications, cost estimates and contract documents. (2) A sum which, together with the compensation paid pursuant to Section C-1(a)(1) above, equals one hundred percent (100%) of the total compensation due and payable in accord with Section C-1 above, shall be due immediately after the award of construction contract(s) is approved by the corporate authorities. 2. The OWNER shall compensate the ENGINEER for the administration of the construction contracts (Construction Administration) in the amount of Eighty Seven Thousand and 00/100 — Fixed Fee (FF1 Dollars ($ 87,000 FF ) as summarized on Attachment C: "Summary of Compensation for Professional Engineering Services"dated July 25, 2005. (a) The compensation for the construction administration services shall be payable as follows: (1) A sum which does not exceed ninety percent (90%) of the total compensation payable under Section C-2 shall be paid in monthly increments for work actually completed and invoiced, for the administration of the construction contracts. (2) A sum which, together with the compensation paid pursuant to Section C-2(a)(1) above, equals one hundred percent (100%) of the total compensation due and payable in accord with Section C-2 above, shall be due immediately after the final Contractor pay-out is processed. 3. The OWNER shall compensate the ENGINEER for the construction staking and drafting and construction observation (including the Resident Construction Observer) on the basis of Hourly Rates - HR as described on the attached "Standard Schedule of Charges" dated January 1, 2005 or as reevaluated on May 1 of each following year. The estimated values, based on the current rate schedule, are included in Attachment C. • UNITED CITY OF YORKVILLE (Section C—Continued) (a) The compensation for the construction staking, construction observation (including the Resident Construction Observer), and any additional consultation and surveying services shall be payable as follows: (1) A sum which equals any charges for work actually completed and invoiced shall be paid at least once per month. (2) On May 1 of each calendar year, the "Standard Schedule of Charges" may be reevaluate by the ENGINEER and OWNER to account for cost of living and/or cost of engineering service changes in subsequent years. 4. The compensation for any additional engineering services authorized by the OWNER pursuant to Section D shall be payable as follows: (a) A sum which equals any charges for work actually completed and invoiced shall be paid at least once per month. SECTION D—ADDITIONAL ENGINEERING SERVICES In addition to the foregoing being performed, the following services may be provided UPON PRIOR WRITTEN AUTHORIZATION OF THE OWNER. 1. Site surveys for existing water treatment plants, sewage treatment works, dams, reservoirs, and other similar special surveys as may be required. 2. Laboratory tests, well tests, borings, specialized geological soils, hydraulic, or other studies recommended by the ENGINEER. 3. Property surveys, detailed description of sites, maps, drawings, or estimates related thereto; assistance in negotiating for land and easement rights. 4. Necessary data and filing maps for litigation, such as condemnation. 5. Redesigns ordered by the OWNER after final plans have been accepted by the OWNER and IEPA. 6. Appearances before courts or boards on matters of litigation or hearings related to the project. 7. Preparation of environmental impact assessments or environmental impact statements. • UNITED CITY OF YORKVILLE (Section D—Continued) 8. Making drawings from field measurements of existing facilities when required for planning additions or alterations thereto. 9. Services due to changes in the scope of the Project or its design, including but not limited to, changes in size, complexity, schedule or character of construction. 10. Revising studies or reports which have previously been approved by the OWNER, or when revisions are due to cases beyond the control of the ENGINEER. 11. Preparation of design documents for alternate bids where major changes require additional documents. 12. Preparation of detailed renderings, exhibits or scale models for the Project. 13. Providing special analysis of the OWNER's needs such as owning and operating analysis, plan for operation and maintenance, OWNER's special operating drawings or charts, and any other similar analysis. 14. The preparation of feasibility studies, appraisals and evaluations, detailed quantity surveys of material and labor, and material audits or inventories by the OWNER. 15. Additional or extended services during construction made necessary by (1) work damaged by fire or other cause during construction, (2) defective or incomplete work of the Contractor, and/or (3) the Contractor's default on the Construction Contract due to delinquency or insolvency. 16. Providing design services relating to future facilities, systems and equipment which are not intended to be constructed or operated as a part of the Project. 17. Providing other services not otherwise provided for in this Agreement, including services normally furnished by the OWNER as described in Section F—SPECIAL PROVISIONS—Owner's Responsibilities. Payment for the services specified in this Section D shall be as agreed in writing between the OWNER and the ENGINEER prior to commencement of the work. The ENGINEER will render to OWNER for such services an itemized bill, separate from any other billing, once each month, for compensation for services performed hereunder during such period, the same to be due and payable by OWNER to the ENGINEER on or before the 10th day of the following period. Payment for services noted in Section D shall be at Actual Cost(AC), Fixed Fee (FF)or Hourly(HR). UNITED CITY OF YORKVILLE SECTION E -INTEREST ON UNPAID SUMS OWNER shall make all payments to ENGINEER in accord with the requirements of the Illinois Local Government Prompt Payment Act, 50 ILCS 505/1 et seq., including but not limited to the penalty provisions contained therein. SECTION F-SPECIAL PROVISIONS 1. OWNER'S RESPONSIBILITIES (a) Provide to the ENGINEER all criteria, design and construction standards and full information as to the OWNER's requirements for the Project. (b) Designate a person authorized to act as the OWNER's representative. The OWNER or his representative shall receive and examine documents submitted by the ENGINEER, interpret and define the OWNER's policies and render decisions and authorizations in writing promptly to prevent unreasonable delay in the progress of the ENGINEER's services. (c) Furnish laboratory tests, air and water pollution tests, reports and inspections of samples, materials or other items required by law or by governmental authorities having jurisdiction over this Project, or as recommended by the ENGINEER. (d) Provide legal, accounting, right-of-way acquisition and insurance counseling services necessary for the Project, legal review of the construction Contract Documents, and such auditing services as the OWNER may require to account for expenditures of sums paid to the Contractor. (e) Furnish above services at the OWNER's expense and in such manner that the ENGINEER may rely upon them in the performance of his services under this Agreement and in accordance with the Project timetable. (f) In the event that the OWNER shall bring any suit, cause of action or counterclaim against the ENGINEER, to the extent that the ENGINEER shall prevail, the party initiating such action shall pay to the ENGINEER the cost and expenses incurred to answer and/or defend such action, including reasonable attorney fees and court costs. In no event shall the ENGINEER indemnify any other party for the consequences of that party's negligence, including failure to follow the ENGINEER's recommendations. (g) Guarantee full and free access for the ENGINEER to enter upon all property required for the performance of the ENGINEER's services under this Agreement. UNITED CITY OF YORKVILLE (Section F—Continued) (h) Give prompt written notice to the ENGINEER whenever the OWNER observes or otherwise becomes aware of any defect in the Project or other event which may substantially affect the ENGINEER's performance of services under this Agreement. (i) Protect and preserve all survey stakes and markers placed at the project site prior to the assumption of this responsibility by the Contractor and bear all costs of replacing stakes or markers damaged or removed during said time interval. 2. All original documents, including but not limited to ideas, designs, drawings and specifications, are to remain the property of the ENGINEER, however, the ENGINEER shall provide signed duplicate originals of same to the OWNER. Modifications of any signed duplicate original document not authorized by ENGINEER will be at OWNER's sole risk and without legal liability to the ENGINEER. Use of any incomplete, unsigned document will, likewise, be at the OWNER's sole risk and without legal liability to the ENGINEER. 3. Delegation of Duties - Neither the OWNER nor the ENGINEER shall delegate his duties under this Agreement without the written consent of the other. 4. Extent of Agreement - This Agreement represents the entire and integrated Agreement between the OWNER and the ENGINEER and supersedes all prior negotiations, representations or agreement, either written or oral. This Agreement may be amended only by written instrument signed by the OWNER and the ENGINEER. 5. Governing Law - Unless otherwise specified within this Agreement, this Agreement shall be governed by the law of the principal place of business of the ENGINEER. 6. In the event any provisions of this Agreement shall be held to be invalid and unenforceable, the remaining provisions shall be valid and binding upon the parties. 7. The ENGINEER has not been retained or compensated to provide design services relating to the Contractor's safety precautions or to means, methods, techniques, sequences, or procedures required by the Contractor to perform his work but not relating to the final or completed structure; omitted services include but are not limited to shoring, scaffolding, underpinning, temporary retainment of excavations and any erection methods and temporary bracing. 8. The ENGINEER intends to render his services under this Agreement in accordance with generally accepted professional practices for the intended use of the Project. Since the ENGINEER has no control over the cost of labor, materials, equipment or services furnished by others, or over the Contractor(s) methods of determining prices, or over competitive bidding or market conditions, his opinions of probable Project Costs and Construction Costs provided for herein are to be made on the basis of his experience and qualifications and represent his best judgment as an experienced and qualified professional engineer, familiar with the construction industry; but the ENGINEER cannot and does not guarantee that proposals, bids or actual project or construction cost will not vary from opinions of probable cost prepared by him. If prior to the bidding or negotiating phase OWNER wishes greater assurance as to project or construction costs he shall employ an independent cost estimator. 10. TERMINATION (a) Should the OWNER decide to abandon, discontinue, or terminate the Project at any stage of development, the ENGINEER shall receive seven (7) days written notice and be compensated for their services through the appropriate fee schedule provided for in the Agreement to date of abandonment, discontinuance or termination. (b) In the event the project is delayed for causes beyond the control of the ENGINEER for a period of six months or more, the ENGINEER shall be paid for his services to the beginning of the delay on the basis of actual cost plus 125% to cover profit, overhead and readiness to serve- "actual cost" being defined as material costs plus actual payrolls, insurance, social security and retirement deductions. Traveling and other out-of-pocket expense will be reimbursed to the ENGINEER at his actual cost. UNITED CITY OF YORKVILLE ATTACHMENT B to Agreement for Professional Engineering Services THE LIMITATIONS OF AUTHORITY, DUTIES AND RESPONSIBILITIES OF THE RESIDENT CONSTRUCTION OBSERVER ARE AS FOLLOWS: 1. The Resident Construction Observer shall act under the direct supervision of the ENGINEER, shall be the ENGINEER's agent in all matters relating to on-site construction review of the Contractor's work, shall communicate only with the ENGINEER and the Contractor (or Contractors), and shall communicate with subcontractors only through the Contractor or his authorized superintendent. The OWNER shall communicate with the Resident Construction Observer only through the ENGINEER. 2. The Resident Construction Observer shall review and inspect on-site construction activities of the Contractor relating to portions of the Project designed and specified by the Engineer as contained in the Construction Contract Documents. 3. Specifically omitted from the Resident Construction Observer's duties are any review of the Contractor's safety precautions, or the means, methods, sequences, or procedures required for the Contractor to perform the work but not relating to the final or completed Project. Omitted design or review services include but are not limited to shoring, scaffolding, underpinning, temporary retainment of excavations and any erection methods and temporary bracing. 4. The specific duties and responsibilities of the Resident Construction Observer are enumerated as follows: (a) Schedules: Review the progress schedule, schedule of Shop Drawing submissions and schedule of values prepared by Contractor and consult with ENGINEER concerning their acceptability. (b) Conferences: Attend preconstruction conferences. Arrange a schedule of progress meetings and other job conferences as required in consultation with ENGINEER and notify those expected to attend in advance. Attend meetings and maintain and circulate copies of minutes thereof. (c) Liaison: (1) Serve as ENGINEER's liaison with Contractor, working principally through Contractor's superintendent and assist him in understanding the intent of the Contract Documents. 1 UNITED CITY OF YORKVILLE (Attachment B—Continued) (2) Assist ENGINEER in serving as OWNER's liaison with Contractor when Contractor's operations affect OWNER's on-site operations. (3) As requested by ENGINEER, assist in obtaining from OWNER additional details or information, when required at the job site for proper erection of the work. (d) Shop Drawings and Samples: (1) Receive and record date of receipt of Shop Drawings and samples. (2) Receive samples that are furnished at the site by Contractor, and notify ENGINEER of their availability for examination. (3) Advise ENGINEER and Contractor or its superintendent immediately of the commencement of any work requiring a Shop Drawing or sample submission if the submission has not been approved by ENGINEER. (e) Review of Work, Rejection of Defective Work, Inspections and Tests: (1) Conduct on-site inspection of the work in progress to assist ENGINEER in determining if the work is proceeding in accordance with the Contract Documents and that completed work will conform to the Contract Documents. (2) Report to ENGINEER whenever he believes that any work is unsatisfactory, faulty or defective or does not conform to the Contract Documents, or does not meet the requirements of any inspections, test or approval required to be made or has been damaged prior to final payment; and advise ENGINEER when he believes work should be corrected or rejected or should be uncovered for inspection, or requires special testing, inspection or approval. (3) Verify that tests, equipment and systems start-ups, and operating and maintenance instructions are conducted as required by the Contract Documents and in presence of the required personnel, and that Contractor maintains adequate records thereof; observe, record and report to ENGINEER appropriate details relative to the test procedures and start-ups. 2 UNITED CITY OF YORKVILLE (Attachment B—Continued) (4) Accompany visiting inspectors representing public or other agencies having jurisdiction over the Project, record the outcome of these inspections and report to ENGINEER. (f) Interpretation of Contract Documents: Transmit to Contractor ENGINEER's clarifications and interpretations of the Contract Documents. (g) Modifications: Consider and evaluate Contractor's suggestions for modifications in Drawings or Specifications and report them with recommendations to ENGINEER. (h) Records: (1) Maintain at the job site orderly files for correspondence, reports of job conferences, Shop Drawings and samples submissions, reproductions of original Contract Documents including all addenda, change orders, field orders, additional drawings issued subsequent to the execution of the Contract, ENGINEER's clarifications and interpretations of the Contract Documents, progress reports, and other Project related documents. (2) Keep a diary or log book, recording hours on the job site, weather conditions, data relative to questions of extras or deductions, list of visiting officials and representatives of manufacturers, fabricators, suppliers and distributors, daily activities, decisions, observations in general and specific observations in more detail as in the case of observing test procedures. Send copies to ENGINEER. (3) Record names, addresses and telephone numbers of all Contractors, subcontractors and major suppliers of materials and equipment. (i) Reports: (1) Furnish ENGINEER periodic reports as required of progress of the work and Contractor's compliance with the approved progress schedule and schedule of Shop Drawing submissions. (2) Consult with ENGINEER in advance of schedule major tests, inspections or start of important phases of the work. (3) Report immediately to ENGINEER upon the occurrence of any accident. 3 UNITED CITY OF YORKVILLE (Attachment B—Continued) (j) Payment Requisitions: Review applications for payment with Contractor for compliance with the established procedure for their submission and forward them with recommendations to ENGINEER, noting particularly their relation to the schedule of values, work completed and materials and equipment delivered at the site but not incorporated in the work. (k) Certificates, Maintenance and Operating Manuals: During the course of the work, verify that certificates, maintenance and operation manuals and other data required to be assembled and furnished by Contractor are applicable to the items actually installed; and deliver this material to ENGINEER for his review and forwarding to OWNER prior to final acceptance of the work. (I) Completion: (1) Before ENGINEER issues a Statement of Substantial Completion, submit to Contractor a list of observed items requiring completion or correction. (2) Conduct final review in the company of ENGINEER, OWNER and Contractor and prepare a final list of items to be completed or corrected. While proceeding through the engineering work for this road project, Smith Engineering found that a formal right-of-way dedication was never recorded by the State of Illinois for their Game Farm property. When they transferred title of the property to the city years ago, they also transferred ownership to the middle of Game Farm Road. Our proposed roadway project has federal funding, and the federal guidelines require that the improvements be located within dedicated right-of-ways. Consequently, Smith has prepared this plat so we can dedicate the right-of-way to ourselves. Please place this item on the Public Works Committee agenda of July 25, 2005 for consideration.
