A RESOLUTION OF THE UNITED CITY OF YORKVILLE, KENDALL COUNTY,
ILLINOIS, APPROVING A FIRST AMENDMENT TO PROFESSIONAL
SERVICES AGREEMENT
WHEREAS, the United City of Yorkville, Kendall County, Illinois (the "City") is a duly
organized and validly existing non home rule municipality of the State of Illinois within the
meaning of Article VII, Section 10 of the 1970 Illinois Constitution; and
WHEREAS, the City and InterDev LLC, a Georgia limited liability company (the
"Consultant"), entered into a Professional Services Agreement (the "Original Agreement") for
information technology services in June of 2023 for managed IT and Security Services; and,
WHEREAS, the Original Agreement was for a term of three years expiring on June 30,
2026, however, the Original Agreement provided that it may be extended for an additional two
years; and,
WHEREAS, the City desires to extend the Original Agreement for two years commencing
July 1, 2026 and terminating July 1, 2028 and also to increase the services provided by the
Consultant to cover an additional onsite day per week of a System Engineer II, all as set forth in
the First Amendment to Professional Services Agreement (the "First Amendment") attached
hereto; and,
WHEREAS, the City has reviewed the First Amendment and believes it is in the best
interest of the City to proceed with its approval.
NOW, THEREFORE, BE IT RESOLVED by the Mayor and City Council of the United
City of Yorkville, Kendall County, Illinois, as follows:
Section 1. The foregoing recitals are incorporated in this Resolution as if restated in this
Section 1.

Section 2. That the First Amendment to Professional Services Agreement by and between
the United City of Yorkville and InterDev LLC in the form attached hereto and made a part hereof
by reference, is hereby approved; and the Mayor and City Clerk are hereby authorized to execute
on behalf of the United City of Yorkville.
Section 3. That this Resolution shall be in full force and effect from and after its passage
and approval as provided by law.

FIRST AMENDMENT TO PROFESSIONAL SERVICES
AGREEMENT
(Managed IT and Security Services)
This First Amendment to Professional Services Agreement ("Amendment") is entered into
as of V Oe 23.2026, by and between the City of Yorkville, an Illinois home rule municipal
corporation ("City"), and InterDev LLC ("Consultant").
RECITALS
WHEREAS, the City and Consultant previously entered into a Professional Services
Agreement dated June 16, 2023 for Managed IT and Security Services ("Agreement");
WHEREAS, Section 3 of the Agreement provides for successive two-year renewal terms
upon mutual written agreement of the parties;
WHEREAS, the City and Consultant desire to exercise the first two-year renewal term
and extend the Agreement through June 30, 2028;
WHEREAS, the Agreement permits modification by written amendment approved by
both parties;
WHEREAS, the City desires the option to expand available services by adding additional
onsite engineering support; and
WHEREAS, Consultant is willing to provide such additional services under the same
terms and conditions of the Agreement except as expressly modified herein.
NOW, THEREFORE, in consideration of the mutual covenants contained herein, the
parties agree as follows:
1. AGREEMENT TERM EXTENSION
Pursuant to Section 3 of the Professional Services Agreement dated June 16, 2023, the City
and Consultant hereby agree to exercise the first two-year renewal term.
The Agreement term shall be extended from July 1, 2026 through June 30, 2028.
Except as expressly modified by this Amendment, all terms and conditions of the
Professional Services Agreement shall remain in full force and effect.

2. OPTIONAL ADDITIONAL ONSITE SYSTEM ENGINEER II
a. Optional Service Addition
The City shall have the option, but not the obligation, to add one (1) additional onsite day
per week of a System Engineer It resource.
b. Scope of Services
i. Advanced systems administration
ii. Infrastructure support and optimization
iii. End -user technical assistance
iv. Project implementation support
V. Security remediation and engineering tasks
vi. Escalation support for complex technical issues
vii. Coordination with City departments and technology vendors
Monthly Cost:
If exercised by the City, the additional onsite engineering support shall be provided at a
fixed rate of $3,242.00 per month.
The monthly rate for the optional onsite engineering support shall be subject to the annual
escalation provisions of the Agreement.
c. Term and Activation
i. Service may be activated at any time upon written request by the City.
ii. Service shall continue month -to -month unless terminated by either
party upon thirty
(30) days written notice.
iii. This service is optional and does not modify existing base
service levels unless activated.
3. NO CHANGE TO EXISTING AGREEMENT TERMS
Except as expressly modified by this Amendment, all terms, conditions, insurance
requirements, indemnification provisions, and service obligations contained in the original
Agreement remain in full force and effect.
The annual escalation provisions contained in Sections 3 and 8 of the Professional Services
Agreement shall remain in full force and effect and continue to apply during the renewal
term established by this Amendment.
4. ORDER OF PRECEDENCE
In the event of a conflict between this Amendment and the Agreement, this Amendment
shall control only with respect to the services described herein.
