Ordinance No. 2026-50 AN ORDINANCE OF THE UNITED CITY OF YORKVILLE, KENDALL COUNTY, ILLINOIS APPROVING THE FIRST AMENDMENT TO THE PLANNED UNIT DEVELOPMENT AGREEMENT BY AND BETWEEN THE UNITED CITY OF YORKVILLE, A MUNICIPAL CORPORATION AND C1 YORKVILLE, LLC WHEREAS, the United City of Yorkville, Kendall County, Illinois (the "City"), is a duly organized and validly existing non -home rule municipality created in accordance with the Constitution of the State of Illinois of 1970 and the laws of the State; and WHEREAS, the City and Cl Yorkville, LLC, a limited liability company of the State of Delaware (the "Developer") entered into a Planned Unit Development Agreement on July 9, 2024 (the "PUD Agreement") in which the City approved a Special Use Planned Unit Development ("PUD") and Preliminary Plan (the "Site Plan") covering 228 acres providing for the development of a data center campus (the "Development Site"); and, WHEREAS, February 10, 2026, Mayor and City Council (the "Corporate Authorities") approved minor changes to the approved Site Plan and PUD (the "Minor Amendment") due to the relocation and reduction in size of the substation to serve the PUD from 800,000 square feet to approximately 400,000 square feet; thereby reducing the Site Plan from nine (9) two-story data center buildings totaling approximately 2,451,200 square feet to eight (8) buildings totaling approximately 2,163,800 square feet and other corresponding modifications to the internal roadway network and storm water management facilities to accommodate reduced substation square footage; and, WHEREAS, on April 21, 2026, the Developer submitted a new application for a Major Amendment to the PUD and Site Plan (the "Major Amendment") to decrease the total building square footage to approximately 1,854,805 square feet from the 2,163,800 square feet as previously approved; a reduction in maximum building height from approximately seventy (70) feet to not more than fifty (50) feet ten (10) inches; relocation and reconfiguration of access points from Eldamain Road and a new secondary emergency access (right in/ right out) also off Eldamain Road located approximately 800 feet north of the preliminary access on Eldamain Road; removal of a secondary emergency access drive off of Faxon Road; addition of a new restricted employee access drive off of Beecher Road; revised internal circulation patterns; and, revised mechanical Ordinance No. 2026-50 Page 2 yard locations all of which resulting in a new site layout, all as depicted on the final Site Plan attached hereto as Exhibit A; and, WHEREAS, on June 10, 2026, the City's Planning and Zoning Commission (the "PCZ") held a public hearing to review the application for the Major Amendment and all materials submitted with the application (the "Application Materials") and heard testimony of expert witnesses responsible for the preparation of the Application Materials who responded to questions from the members of the PCZ and all persons in attendance wishing to speak; and, WHEREAS, upon conclusion of the Public Hearing, the PCZ considered the findings of fact, the Application Materials and the testimony of witnesses and experts and voted unanimously to recommend approval of the Major Amendment; and, WHEREAS, due to the modifications to the approved Site Plan pursuant to the Major Amendment, it is necessary to amend the PUD Agreement to include the modifications and such other terms as set forth in the First Amendment to the Planned Unit Development Agreement By and Between the United City of Yorkville, Kendall County, Illinois and C1 Yorkville, LLC (the "First Amendment") in the form attached hereto as Exhibit B; and, WHEREAS, the Corporate Authorities have reviewed the recommendation of the PCZ and is prepared to approve the First Amendment as hereinafter provided. NOW THEREFORE, BE IT ORDAINED, by the Mayor and City Council of the United City of Yorkville, Kendall County, Illinois as follows: Section 1. The above recitals are incorporated and made a part of this Ordinance. Section 2. That the First Amendment to the Planned Unit Development Agreement by and between the United City of Yorkville, Kendall County, Illinois and C 1 Yorkville, LLC, in the form attached hereto as Exhibit B, is hereby approved and the Mayor and City Clerk are hereby authorized to execute. Section 3. This Ordinance shall be in full force and effect upon its passage, approval and publication as provided by law. ARTICLE 1 — PREAMBLES 1.1 The United City of Yorkville, Kendall County, Illinois (the "City') and C1 Yorkville, LLC, a limited liability company of the State of Delaware (the "Developer') entered into a Planned Unit Development Agreement on July 9, 2024 (the "PUD Agreement') in which the City approved a Special Use Planned Unit Development ("PUD") and Preliminary Plan (the "Site Plan") covering 228 acres providing for the development of a data center campus (the "Development Site"). 1.2 On February 10, 2026, Mayor and City Council (the "Corporate Authorities") approved minor changes to the approved Site Plan and PUD (the "Minor Amendment') due to the relocation and reduction in size of the substation to serve the PUD from 800,000 square feet to approximately 400,000 square feet; thereby reducing the Site Plan from nine (9) two-story data center buildings totaling approximately 2,451,200 square feet to eight (8) buildings totaling approximately 2,163,800 square feet and other corresponding modifications to the internal roadway network and storm water management facilities to accommodate reduced substation square footage. 1.3 The Developer has now submitted a new application for a major amendment to the PUD and Site Plan (the "Major Amendment') to decrease the total building square footage to approximately 1,854,805 square feet from the 2,163,800 square feet as previously approved; reduction in maximum building height from approximately seventy (70) feet to approximately fifty- one (51) feet; relocation and reconfiguration of access points from Eldamain Road and a new secondary emergency access (right in/right out) also off Eldamain Road located approximately 800 feet north of the primary access on Eldamain Road; removal of a secondary emergency access drive off of Faxon Road; addition of a new restricted employee access drive off of Beecher Road; revised internal circulation patterns and revised mechanical yard locations, all of which resulting on an overall revised site layout, all as depicted on the final Site Plan attached hereto as Exhibit A. Any increase in building height that is less than 5% of the building height herein approved shall be deemed a Minor Amendment. 1.4 As proposed, the Major Amendment includes the following modifications from the Site Plan as amended from the Minor Amendment: (a) total building square footage and total building area reduced by approximately 14.3%; (b) reconfiguration of two story buildings to single story buildings with a limited two- story office component; (c) height of buildings lowered by approximately 34.5%, but with mechanical on the roof, a reduction of approximately 27.4%; (d) total building coverage at the Development Site increased by approximately 58.7%; (e) total coverage of the Development Site increased by approximately 83.8%; (f) number of storm basins increased by 16.7%; (g) distance from nearest residential structures increased by approximately 71.8% on the south off of Faxon Road and approximately 34.8% to the southwest off of Eldamain Road; and, (h) number of access drives to the Development Site increased by 50% with the addition of the Eldamain Road emergency access and the Beecher Road access. 1.5 The purpose of this First Amendment is to set forth the specific development standards which shall be applicable to the Development Site as amended by the Major Amendment. To the extent a development standard is not specifically addressed in this First Amendment, the development standards as set forth in the Original Agreement, as amended by the Minor Amendment shall be in full force and effect. In the event of a conflict between the terms, development standards, phasing or timelines set forth in this First Amendment and the Original Agreement, as amended by the Minor Amendment, the terms of this First Amendment shall take precedence and be controlling. Any term not defined herein shall have the meaning as ascribed to it in the Original Agreement. K ARTICLE 2 -- DEVELOPMENT STANDARDS 2.0 Major Amendment Approval. The City Council, having considered the Application Materials and the record from the public hearing held before the Planning and Zoning Commission, does hereby find that the Major Amendment is consistent with the purpose and intent of the planned unit development regulations, facilitating a unified development that is consistent with the City's plans and policies for industrial development in the Eldamain Road corridor. The Major Amendment meets the applicable standards for approval under the UDO and provides additional benefit of Developer voluntarily agreeing to comply with certain Energy Industrial Use Standards (10-4-10) of the LIDO as more specifically set forth below. The City hereby approves the Major Amendment and the following plans which are incorporated as a part of the Major Amendment, subject to the terms more specifically herein set forth: (a) Site Plan, attached as Exhibit A; (b) Landscape Design Plan, attached as Exhibit B (c) Preliminary Engineering Plan, attached as Exhibit C (d) Color Building Renderings, attached as Exhibit D (e) Phasing Plan, attached as Exhibit E (f) Residential Comparison Setback Exhibit, attached as Exhibit F 2.1 The Developer hereby agrees to the following development standards at the Development Site: (a) Landscape Buffer: As illustrated in the Major Amendment, a 100 foot wide landscape buffer is required along Eldamain Road, Faxon Road and Beecher Road. In addition, the Developer agrees to install an approximately eight (8) foot tall berm within the landscape buffer along the Faxon Road right of way; provided that the only such intermittent gaps in the berm as are required to accommodate stormwater drainage. The Parties acknowledge and agree that the Landscaping plantings shall be in accordance with the requirements of Section 2.8 of the PUD Agreement and that the provisions of 10-4-10(A)(1) were waived with the Original Approval and are not applicable to the Major Amendment (b) Shared Use Path: As depicted on the Landscape Design Plan, the Developer shall dedicate a minimum of 25' Utility and Pedestrian Easement along the 3 Eldamain Road frontage. Developer shall construct a 10 foot wide asphalt shared use path within the Utility and Pedestrian Easement. Construction of the shared use path shall be completed by the Developer with the site development and utility improvements for each respective phase of the development. Upon completion of the pedestrian path and approval by the City Engineer, the pedestrian path improvement shall be conveyed to the City and the City shall be responsible for the ownership, operation, maintenance, repair and replacement of the shared use path. Notwithstanding the foregoing, the landscaping in the Utility and Pedestrian Path Easement shall be maintained, repaired and replaced, as required, by the Developer including the mowing of the grass. (c) External Building Separation: Pursuant to the Major Amendment, Developer has significantly increased setbacks to nearby residential structures. Along Eldamain Road and Faxon Road, Developer shall maintain a minimum separation from the nearest wall of a data center building to the nearest wall of a legally occupied residential dwelling unit as depicted on the Residential Comparison Setback Exhibit. The Parties agree that the minimum setback to the identified residential structures depicted on the Residential Comparison Setback Exhibit F shall be not less than seven hundred feet (700') along Eldamain Road and not less than eight hundred feet (800') along Faxon Road. Except as set forth herein, Section 2.3 of the PUD Agreement regarding Building Setbacks remains in full force and effect. (d) Emergency Generators: Developer agrees to limit the operational testing of emergency backup generators to the hours of 11 am to 5 pm on weekdays which are non -holidays consistent with the requirements of Section 10-4- 10(A)(6) of the UDO. (e) Nuclear Energy. The Developer agrees that on -site nuclear energy generation or storage is prohibited, including nuclear reactors, small modular nuclear reactors (SMRs), or any other nuclear -based energy generation system. For the avoidance of doubt, nothing shall prevent Developer from utilizing nuclear energy generated off -site. (f) Fencing: the Developer shall install a security style fence at least eight (8) feet tall around the perimeter of the data center campus areas as depicted on the Landscape Design Plan. n (g) Battery Storage: Utility scale battery storage systems shall be located a minimum of 50 feet away from any adjacent structure and be readily accessible by the Bristol Kendall Fire Protection District (°BKFD") which has jurisdiction over the Development Site. This provision shall not limit Developer's use of battery backup devices (UPS) that are specifically intended to provide instant emergency power to connected electronics during an outage. Such UPS devices may be located within a building or in a maintenance yard immediately adjacent to a building. (h) Building Code Enhanced Standards. The Developer agrees to install an advanced early fire detection in server rooms using fire-resistant construction on walls facing neighborhoods. Compliance with the National Fire Protection Association 855 all as required by Section 10-4-10(A)(14) of the City's Unified Development Ordinance ("UDO") is required. (i) Mechanical Screening and Fencing: A noise study prepared by Trinity Consultants, a copy of which is attached hereto as Exhibit G (the "Noise Study"), was submitted by Developer and has been reviewed and accepted by the City's 3rd party review engineer (Soundscape Engineering). The Developer agrees to be responsible for the continuous noise monitoring and agrees to the installation of the noise monitoring devices subject to regular maintenance, calibration, weather conditions or similar conditions necessary for the regular maintenance and operation of the noise monitoring devices. The City agrees that it is appropriate to install mechanical equipment on building rooftops and in adjacent mechanical yards as depicted on the Site Plan. Rooftop mechanical screening is subject to the height limitations contained in Sections 1.3 and 4.1 of this Amendment and all major mechanical equipment visible from surrounding rights of way shall be enclosed or screened by visual barriers. For the avoidance of doubt, enclosed or screened by solid barriers means screening around four sides of the major mechanical equipment but does not require structure located above or atop the major mechanical equipment. Solid barriers may also have perforations or louvers as may be necessary for air flow delivery to the enclosed equipment provided that the barrier appears solid. Any rooftop enclosure or barrier screening shall utilize sound -dampening materials as may be required by the noise studies discussed 5 in this Section. In no event shall the Developer be responsible for screening any electric substation. Notwithstanding the foregoing, the Parties acknowledge and agree that the Project is subject to the requirements of the City's Noise Ordinance, Title 4, Chapter 4 of the City Code ("Noise Ordinance"). The Parties further agree that the City's ordinance exempts the emergency operation of generators from regulation. As a condition to the issuance of a Building Permit for each building, the Developer shall submit to the City a detailed site plan illustrating the placement of all mechanical equipment. The Developer shall also be required to submit a final noise study consistent with the standards set forth on Exhibit H. The City's sound engineer shall review both the final noise study and the detailed site plan for compliance with the Noise Ordinance. The Developer will also present the final noise study's findings to the City Council at an information meeting. The final noise study shall evaluate the proposed mechanical equipment for each building and model sound levels as regulated by the Noise Ordinance. Minor modifications to mechanical equipment identified in the Noise Study that do not increase projected noise levels beyond the limits established by the UDO shall be approved by the Community Development Director without further review. For the avoidance of doubt, "minor modifications" shall mean any modification in the placement of mechanical equipment that keeps the equipment in the same general location as originally approved. Any modifications of the mechanical equipment that materially move equipment locations (substantial modifications) shall require the approval of City Council, which approval shall not be unreasonably withheld, conditioned, or delayed provided that the Developer's noise study shows compliance with the Noise Ordinance. The City shall have no obligation to issue a Building Permit until the applicable final noise study demonstrates projected compliance with the Noise Ordinance, and the Developer shall be required to install sound attenuation as may be required by the final noise study to comply with the Noise Ordinance. X (j) Water Allocation: Pursuant to a certain Utility and Infrastructure Agreement By and Between the United City of Yorkville, Kendall County, Illinois and C1 Yorkville LLC dated July 9, 2024, (the "Utility Agreement"), the City agreed to construct certain water and sewer improvements for the benefit of the Development Site and the Developer agreed to reimburse the certain costs for said construction. In Section 3.5 of the Utility Agreement, the City agreed to provide the Development Site water capacity of 500,000 gallons per day and sewer capacity of 300,000 gallons per day. In consideration of the closed loop cooling infrastructure proposed by Developer, the Parties agree to modify the water and sewer allocation set forth in Section 3.5 of the Utility Agreement as follows: Water Sewer Delivery Date Allocation Allocation (Average Day) (Average Day) Development 40,000 gallons 40,000 gallons Effective Date Site per day per day The City shall charge for water and sewer services based on actual usage in accordance with the then -existing tariff rates charged to industrial customers for similar water and sewer services. Water usage shall be monitored concurrently with the City's utility billing cycles; provided however, in the event the usage exceeds the average daily estimates of each utility billing cycle, or if any one day exceeds 1.7 times the average daily use of 40,000 gallons per day, the City shall impose a penalty equal to two times the then existing volumetric water rate on the difference between the observed average day and the Water Allocation set forth herein until compliance with the water allocation standards is met or the City mandates further improvements to the water service system at the sole cost of the Developer. For the avoidance of doubt, the provisions of this Section including the limits imposed by the Water Allocation, shall not apply to water demand associated with the Developer's construction activities, with the Developer initially filling the closed loop cooling system for each data center building, water demand 7 associated with fire service lines, or water demand associated with an emergency event. 2.2 The Developer has proposed the following three (3) phased development as depicted on the Phasing Plan. The Phasing Plan as depicted is illustrative only, and is not subject to Major or Minor Amendment standards: i. Phase 1, which includes limited site grading, development of the substation, stormwater basin 5, and construction of the primary entrance drive, is currently under construction. ii. Phase 2, located in the northwest corner of the property will include stormwater basins 1-3, as well as site infrastructure, berming, and landscaping within the Phase 2. Buildings 11 A and 11 B are located in Phase 2. Developer reasonably anticipates commencing construction of Building 11A first, but building construction order timing will be determined by tenant demand. iii. Phase 3, located generally south of the main entrance drive, includes stormwater basins 4, 6, and the largest stormwater facility, Basin 7, situated along Faxon Road and all grading, site infrastructure, berming and landscaping within the area depicted as Phase 3. Phase 3 includes six buildings. The order of building construction and this phase's building construction timing will also be based on tenant demand, however, the path construction shall be required prior to the issuance of the first building permit in this phase. 2.3 The Developer agrees to provide the following plans in accordance with the times hereinafter specified and meet the required standards: i. Lighting and Photometric Plan — Section 10-4-10(A)(10) of the LIDO requires lighting and photometric plans must be submitted at the time of application for final plat of subdivision or at such time the Developer submits for a building permit. Lighting standards at the Development Site must meet and adhere to the City's standards for outside lighting at all times as provided in Section 2.13 of the PUD Agreement. ii. Traf€ic Management Plan: Section 10-4-10(A)(11) of the UDO requires aTraffic Management Plan during construction at Development Site be provided as part of the building permitting process including a communication strategy and an K. on -site point of contact during construction. The City may conduct ongoing traffic monitoring at the Development Site during construction to determine compliance with the Traffic Management Plan. The Developer shall be responsible for the costs of such monitoring if performed by the City. If monitoring identifies material project -related traffic impact that exceed those disclosed in the Traffic Management Plan, the Developer and the City shall meet and confer in good faith to determine whether reasonable, proportionate measures are appropriate to address such impacts. No additional mitigation, fees, or improvements shall be required unless (i) the monitoring demonstrates project -attributable impact, and (ii) any such measures are consistent with applicable law and proportionate to the impact identified. iii. Emergency Operations Plan: An Emergency Operations Plan (EOP) shall be submitted for review by the City and the BKFPD with application for a building permit. The EOP must include: (1) Procedures for fire suppression, hazardous material spills, evacuation, and communication in case of an incident; (2) the location of any battery storage systems; (3) Training sessions/drills and or walkthroughs with fire and police shall be required prior to occupancy permit; (4) Designated contacts for emergency services; (5) A plan to broadcast information if an incident could affect the public; and (6) Agreement to work with KenCom emergency managers to be part of text or siren alert systems. ARTICLE 3 — ROADWAY IMPROVEMENTS Section 3.2 of the PUD Agreement is hereby deleted in its entirety and replaced with the following: Developer is responsible for reconstructing Faxon Road ("Faxon Road Improvements") from Eldamain Road east across the frontage of the Subject Property to the railroad tracks. Developer is responsible for reconstructing Beecher Road from the railroad tracks to Corneils Road, including making railroad crossing improvements to make the location Quiet Zone eligible (the "Beecher Road Improvements"). The Faxon Road Improvements and the Beecher Road Improvements shall collectively be known as the "Road Improvements The Road Improvements shall be constructed pursuant to the cross section attached hereto as Exhibit I to this Amendment, A preliminary cost estimate for the Road Improvements is attached hereto as Exhibit J. In lieu of Developer completing the design and physical construction of said Road E Improvements, the City has agreed to design and construct the Road Improvements subject to Developer's payment of the costs incurred by the City. The City shall acquire all rights -of -way necessary and complete construction of the Faxon Road Improvements, and, acquire all required rights -of -way and complete Beecher Road Improvements by November 30, 2027, less the BNSF Railroad crossing improvements, which will be completed by November 30, 2028. Upon execution of the contract for the engineering design of the Roadway Improvements the City shall send notice of same along with a copy of the design contract to Developer. Developer shall pay to the City the cost of the engineering design for the Road Improvements within thirty (30) days of receipt of the contract therefor. The City agrees to use best efforts to design the Road Improvements to minimize disturbance of existing utilities (i.e. ComEd poles on Beecher Road) and to minimize right-of-way acquisition. Should the City incur costs associated with the acquisition of right-of-way or should the City incur costs with respect to relocation of existing utilities, the Developer shall be responsible for all of said costs. The City shall provide Developer a courtesy copy of 60% design drawings for the Road Improvements and of the 90% design drawings along with an updated estimate of construction costs for each. When the City finalizes the contract for construction of the Road Improvements the City shall provide Developer a copy of the final construction contract and an invoice for Developer's share of the anticipated cost to construct the Road Improvements. The invoice shall reflect the contracted cost for construction of the Road Improvements less: i) sums contributed by a third party toward construction of improvements to the same section of roadway; and ii) any costs for which Developer is not responsible (the product of which calculation is the "Developer's Road Cost"). The Developer's Road Cost shall be multiplied by 115% to account for contingencies (the "Pre -Construction Estimate"). Developer shall pay the Pre -construction Estimate to the City within 30 days of the receipt of the invoice therefore. The City's construction of the Road Improvements shall be "Substantially Complete" upon installation of the surface course. Upon Substantial Completion, the City shall provide Developer an accounting of final costs associated with its construction of the Road Improvements (the "Final Accounting"). The Final Accounting shall include 115% of the cost to be incurred for the installation of the final surface course. If the Final Accounting, including the 115% for the cost for the final surface course, shows that the Pre -Construction Estimate paid by Developer was greater than the actual costs incurred by the City for the Developer was responsible, then the City shall 10 reimburse Developer the difference. If the Final Accounting shows that the Pre -Construction Estimate paid by Developer was less than the actual costs incurred by the City for which Developer was responsible, then the City shall issue a final invoice reflecting the balance due from Developer and Developer shall remit payment therefore within thirty days. If, for any reason, the City: i) fails to secured the necessary rights to facilitate construction of the Roadway Improvements, ii) reduce the scale of the Roadway Improvements, or iii) elects not to proceed with the Roadway Improvements, the Developer's right to proceed with the development of the data center campus shall be impaired and Developer's financial obligation with respect to the Road Improvements shall be reduced accordingly. ARTICLE 4 — ADDITIONAL APPEARANCE STANDARDS 4.1 Applicable Appearance Standards: As the result of the Major Amendment, the Appearance Standards as provided in Section 2.11 of the PUD Agreement shall now provide: The proposed updated elevations continue to primarily feature light-colored precast concrete panels, complemented by medium and dark aluminum composite panel accents and a glass curtain wall system at the entrance. Additional design elements include prefinished metal coping and horizontal and vertical relief lines, which help break up the building mass and provide visual interest. As depicted on the Color Building Renderings, while the buildings are now designed as single -story structures, the main entrance will feature a two-story element accommodating approximately 32,000 square feet of office space, with an overall height of approximately 3E feet. The remainder of the data center building will have a height of approximately 24 feet, excluding the rooftop equipment penthouse. Notwithstanding the foregoing, the City waives the requirements of Section 10-5-8-c-4(b)2 of the UDO requiring recesses, projections, windows, and other ornamental/architectural features due to the setbacks from the abutting roads and the Developer's obligations for the landscaping pursuant to 2.1(a) of this First Amendment and 2.8 of the PUD Agreement. 11 4.2 Ground/Wall-Mounted and Roof -Mounted Mechanical Screening Requirements: Per Section 10-5-4 of the UDO; ground/wall-mounted and roof mounted -mechanical units that are visible from any public right of way or adjacent residential property shall be screened from public view. The previously approved PUD Agreement allowed the petitioner to deviate from this requirement by screening only the ground -mounted mechanical equipment but was not required to provide screening for any rooftop mechanical units. The ground -mounted mechanical equipment will no longer be screened as previously proposed with vinyl fencing equal to the height of the generator units (excluding any stacks protruding above the unit) but will now have a solid screen wall constructed of a light-colored concrete panel approximately 18 feet to 24 feet tall providing full -height coverage of the exterior equipment within this "mechanical yard". ARTICLE 5 — IN GENERAL 5.1 Term: the term of this First Amendment shall be the same term as provided in Article 5 of the PUD Agreement. 5.2 Counterparts: this First Amendment may be executed in two or more counterparts, each of which shall be deemed an original but all of which shall constitute the same instrument. 5.3 All terms of the Original Agreement not amended by this First Amendment shall be in full force and effect. 5.4 The Developer has voluntarily agreed to pay to the City an "Improvement Contribution". The Improvement Contribution will be paid to the City in one lump sum of $15,000,000.00, payable on the issuance of the first building permit. The City will use the Improvement Contribution to fund educational initiatives and municipal improvements for the betterment of the community as itemized on Exhibit K. The educational initiatives will help improve educational outcomes and result in the type of educated workforce necessary to operate the data center campus. The municipal improvements will help to create a strong and more resilient community within which employees of the data center campus will live and work. 12 5.5. Pursuant to a certain Utility and Infrastructure Agreement By and Between the United City of Yorkville, Kendall County, Illinois and C1 Yorkville LLC dated July 9, 2024, (the "Utility Agreement") the City agreed to facilitate the development of the Development Site by reimbursing the Developer for certain costs related to the Water/Sewer Project, as defined therein, payable from Utility Taxes generated by the project at the Development Site as provided in Sections 1.5, 3.2, 3.3 and 3.4 of the Utility Agreement. The Developer has advised the City it has determined it to be in the best interest of the City to forego any reimbursement and agrees that said Sections 1.5, 3.2, 3.3, and 3.4 of the Utility Agreement are hereby deleted, canceled and deemed void. The balance of the agreement shall remain in full force and effect. 5.6 Severability. Should any provision of this First Amendment or application thereof to any party or circumstance be held invalid, and such invalidity does not affect other provisions or applications of this First Amendment which can be given effect without the invalid application or provision, then all remaining provisions shall remain in full force and effect. Our analysis considers projected sound levels from data center cooling equipment, back-up generators, transformers, and other auxiliary equipment. Additionally, measurement results from a 24-hour background noise survey are included for reference. 1.0 Noise Code The City of Yorkville, IL Noise Code is summarized below. Yorkville, Illinois Code of Ordinances Title 4, Chapter 4 —_Noise Ordinance No person shall operate or cause to be operated any source of sound in such a manner as to create a sound level which exceeds the sound level limits in the table below. The sound level meter shall be set to A -weighting with slow meter response, with a measured Lmax sound level. B. Measurement may be made at any height above grade, at or near locations that are regularly occupied by people. For example, a measurement may be made at a position three feet (3) to the exterior of a second -floor window since people can be expected to occupy the second -floor room. C. Measurement may be made inside a structure on the receiving property, in any space that is classified as Inhabitable and constructed with necessary City construction permits As outlined in Table 2 of Section 4-4-5, a 5 dB penalty applies to impulsive sound sources, and a 10 dB penalty applies to tonal sources. Operational noise of the data center equipment is anticipated to be continuous rather than impulsive, and not subject to the 5 dB penalty. Accordingly, we understand that the use of back-up generators during a utility outage is exempt from the Noise Code. However, routine daytime generator testing must comply with applicable daytime noise limits. Illinois Pollution Control Board Within the Illinois Administrative Code, the Illinois Pollution Control Board specifies allowable noise levels based on the land use classifications of both the noise source and the receiving property. This state-wide Code, enforceable by law enforcement agencies, includes specific octave -band sound levels. Title 35. Environmental Protection — Subtitle H. Noise — Ch. 1: Pollution Control Board A person must not cause or allow the emission of sound from any property -line noise source located on any Class A, B, or C land to any receiving Class A land that exceeds any allowable octave band sound pressure level specified in the following table, when measured at any point within the receiving Class A land. Sound pressure levels must be measured at least 25 feet from the property -line noise source. We have received confirmation that the CyrusOne Yorkville Data Center campus will be classified as Class C land. We note that the allowable noise levels at residences (Class A) are 61 and 51 dBA (day/night), which is in -line with levels specified in the Yorkville Code. The project is also expected to comply with the stricter requirements as a Class B emitter. Discrete tones are allowed if the source is at least 10clB quieter than the octave -band Code limit. Equipment attenuation will be studied with the manufacturer to ensure noise emissions are not tonal after attenuation is applied. 2.0 Site Survey The following section summarizes our procedure and findings from our site survey conducted from September 3 to September 4, 2024. 2.1 Measurement Locations We performed three 24-hour measurements in September 2024 at the locations shown in Figure 1, below. i Figure 1: 24-Hour Measurement Locations Leq — Or the equivalent continuous sound level, represents the average sound level over a specified period of time. L90 - Or the 90th percentile noise levels, represents the noise level exceeded 90% of the time within each hour, effectively capturing the background noise during the quietest periods. This metric helps assess the'worst-case' noise conditions, providing an understanding of the site's baseline noise environment. Each full-size building includes 56 air-cooled chillers, 7 RTUs, 57 back-up generators, and 56 UPS fans. The campus also contains a substation with 8 transformers. The following sound data has been provided by the manufacturer and included in our model. Transformer sound data is subject to change as equipment selections are finalized. Applicable code limits are included in the table and are based on the land use at each receptor, as well as whether the location falls within the City of Yorkville. Receivers R1, R5, R6, R7, R9, and R10 represent nearby residential zones or individual residences where the noise code is enforced. Receivers R2, R3, R4, and R8 are located either outside the City of Yorkville or on agriculturally zoned land without existing structures, and therefore are not subject to applicable noise code limits. Nighttime modeling assumes operation of the chillers, RTUs, UPS fans, and transformers, as generator testing is expected to occur only during daytime hours. Daytime noise levels reflect the same operating conditions, with the addition of two emergency generators per building to represent routine testing. Final noise levels may vary as coordination with equipment manufacturers continues; however, compliance with applicable Code limits will be maintained. Noise level receivers are modeled at 5 feet above the ground. Noise levels at existing nearby buildings with taller occupied floor elevations are expected to be similar. Based on our professional experience in the field of environmental noise impact, we offer the following list of elements for your consideration. 1.0 Background C I Yorkville LLC, a wholly owned subsidiary of CyrusOne, is seeking approval from the United City of Yorkville for the development of CHI 11, a 228-acre data center campus and on -site substation development. The original PUD was approved on July 9, 2024, and C 1 Yorkville has submitted a major change to the PUD, including an updated initial sound study dated April 22, 2026. The project is also required to submit a final noise study before permitting approval. The City requested that Soundscape Engineering provide a list of recommended requirements for noise impact studies to guide this final noise study submission. 2.0 Recommended Data Center Noise Impact Study Elements A comprehensive data center noise impact study is recommended to include the following elements: 1.
