CITIZEN COMMENTS
Mary Jo Klaus shared that she walked the Route 34 business corridor. Nearly all businesses along the
corridor are annexed into the City of Yorkville except for Purcell's Ace Hardware and Star Emporium,
which remain unincorporated. She believes that both properties meet the statutory requirements for forced
annexation under Illinois law because they are surrounded by annexed properties, are not adjacent to other
unincorporated land or farmland, and together comprise less than 60 acres. Ms. Klaus further stated that
leaving the properties unincorporated creates public safety concerns. She also noted that the mayor owns
Purcell's Ace Hardware and stated that he should recuse himself from any discussion or vote involving
the proposed annexation because of potential conflicts of interest. She urged the City Council to initiate

Bulk Rock Salt Purchase
City Council – August 11, 2026

Summary
Proposed alternate bid for bulk rock salt for the upcoming snow season.
Background
Bulk rock salt is normally purchased through the State of Illinois bid through the CMS
(Central Management Services) office. We have used this process for well over a decade with
great success. Unfortunately, this year was different. Yorkville, along with over 250 other
communities, counties, and state entities in Illinois did not receive any bids for salt.
In my 26 years of bidding salt, this has not happened. Evidently, one of the major salt
producers in the US decided to close one of their salt mines in Louisiana and not sell any salt this
year. This took away an estimated 2 million tons of salt from the market. When you combine
that with average to above average winters for a lot of the nation that deals with snow and you
will get a salt shortage, which is where we are today.
The good news is that we have secured 2300 tons of salt for the year. The bad news is
that it is much more expensive than last year, and we will not be getting our full amount of 3500
tons as planned.
With over 250 entities in Illinois and an unknown number of entities across the US not
getting salt, we realized we had to act very quickly to secure salt for next year. Below is a
timeline of events that explains how we got to where we are today.
Tuesday July 28 – We received an email with a letter attached letting us know that we
were one of the entities that did not receive bids for bulk rock salt for the upcoming
season. I touched base with Fran Klaas because I noticed that almost all entities in
Kendall County did not receive bids.
Wednesday July 29 – Start calling for bids and to find out what happened and if we even
have a chance of getting salt. Left messages or spoke to 7 different vendors regarding
purchasing salt for the upcoming season. Kendall County and the City of Plano each
received a flier from a different local company that claimed to have salt for the season.
Kendall County reached out and set up a time on July 30 for a call. Kendall County
volunteered to ask if they had enough salt for all agencies in Kendall County that wanted
to get salt through this vendor.
Thursday July 30 – Kendall County speaks to the vendor and receives good news. They
can accommodate all Kendall County orders and the salt meets the IDOT specs. In order
to participate in this bid, we needed to commit immediately to secure the salt and agree to

the following conditions: $115 per ton for plain road salt and a ~$15/ton trucking fee.
This makes the total price approximately $130 per ton. Waiting for contract to review
July 31 – only received call backs from 2 vendors for salt out of the 7. One of the quotes
was extremely high and the other was $111.41/ton from a vendor we currently use for our
water treatment plant salt. Once the contract is received, we will review. We also heard
from Compass Minerals, who was our supplier last year and is a very large salt producer
in Kansas, is not bidding out any more salt this year. Their contracts are full, and they
don’t foresee bidding on anymore contracts. However, they did say to try back in 4-6
weeks to see if there are any updates. Waiting 4-6 weeks is really not an option at this
point for us, we need to secure salt while we can.
August 3 & 4 – receive contracts from both vendors, reviewed, and made selection.
Midwest Salt was substantially less expensive than the other bidder. The price for salt,
delivered to our new facility is quoted at $111.41 per ton. The other vendor ended up
being $132.85 per ton AND the trucking company could add a fuel surcharge on top of
that, but it is unknown at this time. With the difference in price, we are able to purchase
an additional 300 tons of salt for the upcoming season and still stay within the $262,500
budgeted amount.
Receiving no bids for salt is unprecedented territory for the City. Since we aren’t using
the State Purchase through CMS, we will need to follow our purchasing procedures to be able to
use our approved MFT funds. Since this is a unique circumstance, and time is of the essence, we
did not proceed with the formal bidding process of posting and RFP and opening sealed bids to
award the contract. If we were to go through that process, I am afraid that the price of salt would
be astronomical, or there would not be any bidders because the available salt would be spoken
for already. Instead, we solicited bids from 7 different vendors with 2 returning viable bids. We
selected the lowest responsible bidder and recommend that bidder to be awarded the contract for
bulk rock salt for the upcoming winter season. In addition, we have an ongoing relationship with
this vendor and have had very good luck with them throughout the years. Since we did not go
out for formal bids, we must approve this contract with a supermajority vote.
We currently have $262,500 approved in the FY27 budget and approved through IDOT
to use MFT funds to purchase bulk rock salt. The proposed contract would utilize $256,243
of the budgeted amount.
Recommendation
Staff recommends awarding the contract, by supermajority vote, for bulk rock salt
purchase for FY27 to Midwest Salt of West Chicago, IL in an amount not to exceed $256,243.
MEMORANDUM
TO: Governmental Units
FROM: Jack Eck
DATE: July 28, 2026
SUBJECT: JPMC Rock Salt, Bulk 2026/2027 – NO BID RECEIVED
As part of the 2026/2027 rock salt procurement, your jurisdiction was included in the procurement
but did not receive any bids. As a result, we are providing participating entities with the following
options for securing rock salt for the upcoming winter season.
Option 1 – Source Rock Salt Independently
You may choose to withdraw your commitment to the State of Illinois rock salt procurement for
the 2026/2027 season only and procure rock salt through your own purchasing process.
Option 2 – Remain in the State of Illinois Procurement for Emergency Sourcing
You may elect to remain in the State’s procurement while we continue efforts to identify possible
sources of rock salt through an emergency purchase. If you should choose this option, please be
mindful of the following:
• There is no guarantee that we will be able to source your location through this emergency,
as there are limited amounts of rock salt available in the market.
• If a supplier(s) is identified, pricing may be higher than anticipated due to the current
market conditions and the nature of this emergency.
• By electing to remain in the emergency procurement, your unit of government agrees to
accept the pricing of the emergency award.
Please carefully consider these options based on your operational needs and winter
preparedness plans.
To ensure we can proceed accordingly, please notify Jack Eck (Jack.Eck2@illinois.gov) of your
decision by end of day on August 6, 2026.
We appreciate your cooperation and understanding as we work to address these challenging
market conditions. We remain committed to pursuing all available options to secure rock salt for
participating agencies.

2.2. Credit Hold. If Buyer has any invoice past due, or credit is limited, suspended, or
terminated by Seller, or Buyer is otherwise in breach of these payment terms, Seller
shall have no obligation to accept, confirm, process, or fulfill any further orders under
this Agreement until Buyer's account is brought current or Seller reinstates credit
availability. Seller's exercise of this right shall not (i) excuse, reduce, or extend Buyer's

breach of Seller's delivery obligations hereunder, or (iii) constitute a waiver of any of
Seller's other rights or remedies under this Agreement or applicable law.
3.Minimum Quantity Shortfall
3.1. If Buyer’s total deliveries as of March 31, 2027, are less than one hundred percent
(100%) of the Total Quantity, Buyer shall fulfill the remaining commitment through one of

priced at that season’s new rate. If Carryforward Tons still aren’t fully delivered by the
following season’s end, they roll forward again, under this same rule until 24 months
from April 15, 2027, after which they’re forfeited with no refund. Notwithstanding the
foregoing, for any Carryforward Tons not delivered, picked up, or incorporated into a
new agreement under Section 4.2 by September 1, 2027, Seller shall have sole
discretion, either to continue honoring the rate and terms of this Agreement as to those
tons (subject in all cases to the 24-month limit above), or to deem them forfeited with no
refund.
4.2.Upon execution of a new agreement between the parties for a subsequent season, any
outstanding Carryforward Tons and their applicable rate shall be incorporated into that
new agreement as a priced line item, and this Agreement shall thereupon terminate and
be superseded in full subject to Section 11 (Term, Expiration, and Survival).
5.Warranty. This product shall comply with the specifications provided to Buyer by Seller.
SELLER MAKES NO OTHER WARRANTY OF ANY KIND WHATEVER, EXPRESS OR
IMPLIED; AND ALL IMPLIED WARRANTY OF MERCHANTABILITY AND FITNESS FOR A

EXCLUDED FROM THE AGREEMENT.
6.Inspection, Demurrage, and Detention
6.1.Buyer may inspect the product prior to delivery; however, upon delivery Buyer
acknowledges that the product delivered is in all respects accepted. Should Buyer reject
the product at the time of inspection, Buyer shall provide Seller with a written notice of
rejection via email or personal delivery to the Seller representative listed above, which
notice shall apply only to the load inspected and which notice shall specify the reasons
for the rejection. The parties agree that rejection of a load does not affect the remaining
tonnage subject to this Agreement.
6.2.Buyer shall unload and release all transportation vehicles and equipment promptly so
that no demurrage, detention, or other expenses resulting from delay shall be incurred;
however, if any claims or demurrage charges are incurred by reason of any action or
inaction by Buyer, then Buyer shall promptly reimburse Seller for such damages.
7.Excused Performance; Force Majeure
7.1.All orders are subject to Seller’s ability to make delivery at the time and in the quantities
specified herein. Seller shall be excused from performance for any and all causes
beyond its reasonable control that impedes its ability to perform under this contract,
including but not limited to, any act of god, explosion, accidents, riots, pandemics,
Page 3 of 7
floods, labor disputes, or any other event that made performance impossible or
impractical under the circumstances. If Seller is unable to deliver a specific order in full
within 45 days of Seller’s confirmation of receipt of that order, Buyer may, at its option,
cancel that order. Notice of cancellation shall be in writing to the Seller representative
listed above. Any refunds due shall be paid within seven (7) business days of notice
from Buyer of such cancellation.
7.2.In the event Seller is unable for any reason to supply the total requirements of its
customers, Seller may allocate its available supply of the product among its customers
in a manner of its choosing.
8.Indemnification. Buyer shall indemnify, hold harmless, and defend Seller, its employees
and agents, from any and all claims and expenses, including its reasonable attorneys' fees,
arising out of any claims by any third parties, including but not limited to, claims by Buyer's
employees and agents, excepting only claims for intentional misconduct by Seller.
9.Limits of Liability. In no event shall Seller be liable to Buyer or any third party for any
indirect, consequential, incidental, special or exemplary damages. Buyer's actual damages
are limited to the amounts actually paid to Seller under this Agreement, regardless of the
basis for any such claims for damages.
10.Dispute Resolution. Any controversy or claim arising out of or relating to this contract, or
the breach thereof, shall be settled by arbitration administered by the American Arbitration
Association in accordance with its Commercial Arbitration Rules and judgment on the award
rendered by the arbitrator may be entered in any court having jurisdiction thereof. Any claims
under $75,000 shall proceed under the AAA Expedited Procedure rules. All claims shall be
heard by a single arbitrator, selected pursuant to a list of arbitrators published by the AAA,
which shall include as many former judges of the Circuit Court of Cook County, Illinois as are
then available. The place of arbitration shall be Chicago, Illinois. The arbitration shall be
governed by the laws of the State of Illinois. Each party will, upon written request of the other
party, promptly provide the other with copies of all relevant documents. There shall be no
other discovery allowed. Time is of the essence for any arbitration under this agreement and
arbitration hearings shall take place within 90 days of filing and awards rendered within 120
days. The arbitrator shall agree to these limits prior to accepting appointment. The arbitrator
will have no authority to award punitive or other damages not measured by the prevailing
party's actual damages limited by the amounts of any payments previously made by Buyer
to Seller under this agreement. The arbitrator may determine how the costs and expenses of
the arbitration shall be allocated between the parties; however reasonable attorneys' fees
shall be awarded to the prevailing party. Except as may be required by law, neither a party
Page 4 of 7
nor an arbitrator may disclose the existence, content, or results of any arbitration hereunder
without the prior written consent of both parties.
11.Term, Expiration, and Survival
11.1.Term. This Agreement commences on the Effective Date and continues through
March 31, 2027 (the "Initial Term"), unless earlier terminated as provided herein. Buyer's
right to place new orders for the Total Quantity expires at the end of the Initial Term.
This Agreement does not automatically renew; any subsequent season's pricing and
quantities shall be governed by a new agreement between the Parties.
11.2.Survival. Notwithstanding expiration or termination of this Agreement for any reason,
including under Section 4.2, the following continue in full force until fully satisfied: (i)
Buyer's obligations regarding any unpaid invoices; (ii) Sections 3 and 4 (Minimum

Name Department
This memo serves as a supplement to the PowerPoint presentation regarding the proposed
improvements.
To clarify the design standards established by IDOT, here are a few excerpts that pertain to the
project:
If a roadside hazard is within the clear zone, the designer should select the treatment
which is judged to be the most practical and cost-effective for the site conditions. The
range of treatments include:
eliminate the hazard (flatten embankment, etc.)
relocate the hazard
where applicable, make the hazard breakaway (e.g., signposts, luminaire
supports)
shield the hazard with a roadside barrier
delineate the hazard
do nothing
The hazard in this case is the trees located with the calculated clear zone. The design manual
further states:
The goal of any roadway project should be to eliminate all roadside hazards within the
clear zone. When the hazard cannot be eliminated, efforts should be made to provide a
treatment to minimize the impact of the hazard to the motorist or to provide a barrier to
protect the motorist from the hazard. Whether objectively or subjectively, the decision
will be based upon the traffic volumes, roadway geometry, proximity of the hazard to the
traveled way, nature of the hazard, installation costs and, where applicable, crash
experience.
In this case, the clear zone is calculated to be 24’ off the edge of pavement per the design
manual.
When making engineering design decisions, the design manual suggests the following when
applying engineering judgement:
Memorandum
To: Bart Olson, City Administrator
From: Brad Sanderson, EEI
CC: Eric Dhuse, Director of Public Works
Jori Behland, City Clerk
Rob Fredrickson, Finance Director
Date: June 8, 2026
Subject: Kennedy Road and Freedom Place Intersection Improvements
Can the hazard be eliminated or property treated?
What is the greater hazard, the roadside hazard or the roadside barrier?
The designer must realize that the barrier is also a hazard and if a clear decision cannot
be made, the general rule of “when in doubt, leave it out” should apply.
Finally, regarding trees, the manual states the following:
Trees with an expected mature size greater than 4 inches are considered fixed objects.
Consider the removal of an individual tree where it is determined that the tree is both an
obstruction and to be in a location where they are likely to be hit. Because tree removal
can be expensive and often has adverse environmental impacts, it is important that this
countermeasure be used only when it is an effective solution. When a tree is in a
vulnerable location and cannot be moved, consider a traffic barrier to shield the tree.
However, a roadside barrier should only be used when the severity of impacting the tree
is greater than impacting the barrier.

•Design criteria established by IDOT, Bureau of Local Roads and
Streets (BLRS) Manual
•BLRS requires that a safe area be provided adjacent to all
roadways to minimize the chance of damage and injuries should a
vehicle leave the roadway
•The safe area is known as the “clear zone” and is determined
based on traffic volumes, posted speed limits, and other design
factors such as ditch slopes
•The clear zone along Kennedy Road is required to be twenty -four
feet (24’) wide as measured from the edge of the traveled roadway

•Kramer Tree Specialists, Inc. was retained by the City in March
2026 to provide general observation of the tree conditions
•It is not realistic to relocate the existing trees as they are too large
and several share interconnected root systems
•Many of the 13 trees were observed to exhibit signs of heartwood
decay and may have structural stability issues
•Individual tree assessments can be performed for all 13 trees for
$22,000 - $30,000
•Consider planting new hardwood trees at other locations to partially
offset the loss of the mature trees

•Design Alternative No.1 (original design) would be fully compliant
with BLRS requirements. It would result in thirteen (13) tree
removals
•Kramer Tree Specialists observed that the trees are in decline
•New hardwood trees could be planted elsewhere to partially offset
the loss of the mature oaks
•The design has already been completed and is ready for bidding
•Staff supports and recommends this option
ANALYSIS AND RECOMMENDATIONS
Ensure the title font size is 28 and text font size is 18 or close to.Add a background photo by clicking “insert picture.” Use a photo from the ‘Brand Image’ catalog. Or utilize “Online Pictures or Stock Images”
•Design Alternative No. 2 would not comply with BLRS requirements
and may result in potential legal liability for the City
•Greater risk of damage / injuries should a vehicle leave the
roadway
•Eight (8) of the thirteen (13) trees could be saved
•Risk of long-term deterioration of the trees that remain as a result
of construction activities
•The design has already been completed and is ready for bidding
•Staff does not recommend this option due to the lack of full
compliance with BLRS requirements

•Design Alternative No. 4 would fully comply with BLRS
requirements and would require removal of eight (8) trees from
clear zone
•Kramer Tree Specialists observed that the trees that would be
removed are in decline. New hardwood trees could be planted
elsewhere to partially offset the loss of the mature oaks
•This is the most expensive option and would completely reconstruct
Kennedy Road through the intersection. A re -design of the
improvements would be required
•Staff recommends against this option and feels the added cost is
not worth the resulting benefits
